1. During the period of the Volunteer service with Employer and for a period of two (2) years following the Volunteer’s last working day with Employer, the Volunteer shall not (i) engage or attempt to engage in his own business and/or another’s business which is directly or indirectly in competition with the Employer, in the Parish(es) of East baton Rouge, West Baton Rouge, Ascension, or Iberville parish in the State of Louisiana, or within 100 miles of said parishes, whether as an individual, partner, stockholder, member, officer, director, agent, employee or in any other capacity, or (ii) mislead any future potential customers or individual(s) that the Volunteer is still affiliated with or employed with Employer. 2. These covenants not to compete or solicit are made upon the Volunteer’s recognition that Employer’s business operations and customer lists represent a true property interest, having been developed by Employer at great expense. Further, this covenant is in recognition of the fact that Employer’s customers become customers essentially as a result of Employer’s efforts, expenses, promotional activities and good will. 3. Volunteer agrees not to make, at any time, any critical or disparaging remarks about Employer while he is a volunteer of Employer. Volunteer agrees that upon request by Employer, Volunteer shall turn over to the Employer all documents, data, notes, correspondence, photographs, printed matter, and computer records in Volunteer’s possession which were generated or used during any of the business of Employer, with a written certification that the materials thus turned over constitute all such in Volunteer’s possession, and that Volunteer has retained no copies thereof, except for such materials Volunteer is required by law to retain. Volunteer hereby acknowledges Employer’s ownership thereof. 4. Volunteer further agrees that Volunteer shall not at any time in the present or future seek to destroy the materials or to use them to the detriment of disparagement of Employer. Volunteer acknowledges that he has received and will receive during his employment with Employer such information as a result of said employment, that disclosure of same could be detrimental in various ways to Employer, and that disclosure of any such information will result in damage to the Employer. 5. It is further agreed that if for any reason a court shall hold any paragraph of this Agreement unenforceable, the remaining paragraphs contained in the Agreement shall be enforced to the greatest extent permitted by such court. 6. By reason thereof, Volunteer agrees Employer shall be entitled, in addition to any other remedies it may have under this Agreement, at law, or otherwise, to immediate injunctive and other equitable relief to prevent or curtail any breach of this Agreement by Volunteer. Volunteer agrees to indemnify Employer for all costs and attorney fees incurred in enforcing this Agreement should Employer prevail in any litigation over a breach of any provision of this Agreement.
