Overnight Parking Agreement
Request for Overnight Parking Must be submitted prior to leaving the property. Vehicle may not be in any visitor or reserved spaces unless the space is currently being rented by applicant. Requests must not exceed seven (7) calendar days. Any requests in excess of the seven (7) will be charged a storage fee of $125.00. BY APPROVING THIS FORM, I HEREBY ACKNOWLEDGE THAT I AM THE LEGALLY AUTHORIZED OPERATOR OF THE ABOVE VEHICLE. I HAVE REQUESTED OF LAZ PARKING SERVICES ON BEHALF OF THE PROPERTY OWNER THAT I BE ALLOWED TO PARK MY VEHICLE ON THE PROPERTY FOR AN EXTENDED PERIOD OF TIME. Canvas South - Fitness Center Acknowledgment and Release
Tenant or licensee (or an employee of a tenant or licensee) of Canvas South (as defined below), wish to use the fitness center (together with the equipment located therein, collectively, the “
Fitness Center
”) in the building in Canvas South located at 3090 Bristol Street, Costa Mesa, California 92626 (the “
Building
”), which Fitness Center is currently made available by Owner (as defined below) to occupants of Canvas South. “
Canvas South
” means the project consisting of the land, buildings and other improvements located at 3070, 3080 and 3090, Costa Mesa, CA 92626 which are owned by BRE/OC SCCC L.L.C, a Delaware limited liability company (“
Owner
”). In addition, if Owner, acting through its managing agent or any health club, personal trainer, health coach, fitness instructor or other party, sponsors any fitness-related classes, programs or activities at or in connection with Fitness Center, including any outside activities or events and transportation thereto (collectively, “
Sponsored Activities
”), I may wish to participate in one or more of such Sponsored Activities. Any use of the Fitness Center, together with any Sponsored Activities, shall be referred to herein collectively as “
Fitness Activities
.” 1. Neither Owner, its managing agent for the Fitness Center (the “
Fitness Center Manager
”), its managing agent for the Building, nor any of their respective officers, agents, employees, partners, directors, shareholders, affiliates, or other representatives (together with their successors and assigns, collectively, the “
Owner Parties
”) have made any representations or warranties regarding the Fitness Center or any Sponsored Activities, including any representation or warranty that the Fitness Center or any Sponsored Activities will continue to be available for any particular period of time. It is acknowledged that, as of the date hereof, Owner has engaged Industrious CM 3090 Bristol Street LLC, a Michigan limited liability company, to act as the Fitness Center Manager. 2. The Owner Parties are not required to provide any instructions, directions, rules or regulations relating to the use of the Fitness Center. However, I will read and fully comply with any such rules and regulations that may be reasonably established by or on behalf of Owner from time to time, including the initial rules and regulations attached hereto as
Exhibit A
. 3. My participation in any Fitness Activities will involve risk of accident, illness (including abnormal blood pressure and heart rate, fainting and heart attack), other physical injury, and loss of personal property. It is my responsibility to obtain a medical examination for myself before engaging in my Fitness Activities. I will not use any fitness equipment that I do not know how to operate. 4. I hereby waive, and release and discharge the Owner Parties from, any liability or claim for any injury, accident, illness or loss (including any loss of or damage to property) in connection with my Fitness Activities, including any such liability or claim resulting from any negligence of any Owner Party or from any negligence, discrimination, harassment or other misconduct by any third-party personal trainer, health coach or fitness instructor. 5. I shall indemnify, defend and hold harmless the Owner Parties from and against any obligation, loss, claim, action, liability, penalty, damage, cost or expense (including reasonable attorneys’ and consultants’ fees and expenses) imposed or asserted by any third party as a result of or in connection with my Fitness Activities. 6. I will pay any fee charged by or on behalf of Owner, now or in the future, for my Fitness Activities. 7. I will not lend my security access card to anyone or allow anyone into the Fitness Center with my card on penalty of revocation, without notice, of my fitness center privileges. 8. If required by Owner, I will execute a reasonable membership application agreement as a condition to my Fitness Activities. 9. Owner and its managing agent are relying upon this Fitness Center Acknowledgment and Release in permitting me to participate in Fitness Activities.

Canvas North/South Parking Rules & Regulations
This agreement licenses you to park and lock one vehicle in a parking stall in a non-designated area in the parking garage located at 3070, 3080, 3090, 3100, 3150 Bristol Street in Costa Mesa, California. You park at your sole risk, upon payment of the monthly parking rate plus a late charge if applicable. Only a license to park is granted hereby, and no bailment is created. We do not provide guards or assume liability for criminal acts. We are not liable for fire, theft, damage or other loss to the vehicle or its contents, loss of use or any loss due to or attributable to bodily injury or death. Monthly rate for rental of parking space is payable one (1) month in advance and must be paid NO later than the fifth day of each month. Payments are accepted between the 15th of the preceding month and 5th of the month. After the 5th, unpaid cards will automatically be deactivated, and this agreement will automatically be canceled, daily parking rates will apply. NO deductions or allowances from the monthly rate will be made for days customer does not use parking facility. NO REFUNDS WILL BE MADE FOR UNUSED PORTIONS OF A MONTH. Cards purchased after the fifteenth of the month will be prorated for the balance of the month. Proration is only available to new tenant parkers. Parking rates may be increased at any time with 30 days notice. 1. Monthly parking cancellations need to be submitted in writing before the first of the new month. 2. For accounting purposes, the monthly rental period runs from the first of one month to the first of the next month. 3. A key card fee will be required for all lost, damaged and/or stolen cards/AVI tags. 4. Keycard holders should not take tickets from the ticket dispenser. If you have taken a ticket to gain entrance due to your keycard malfunctioning or misplacement, please contact the parking office for assistance. No signatures will be accepted as parking validation or payment, unless approved by parking management. 5. Each monthly parker is issued a keycard that activates the parking equipment. This card is numbered, recorded and assigned to a specific parker only and cannot to be transferred or reassigned without the parking office’s consent. Under no circumstances should a monthly parker render, exchange or assist any other parkers or visitors to gain entrance or exit with their keycard. Monthly parking privileges will be forfeited, and the keycard will be voided immediately. Furthermore, the monthly parker will be required to pay the other person’s parking fees if this practice is observed. 6. LAZ Parking reserves the right to collect all non-valid keycards. Customer agrees to follow the instructions of garage personnel and posted signage. All monthly parking agreements are on a month to month basis, unless stated otherwise in your lease agreement. 7. LAZ Parking and Building Management cannot be responsible for contents of vehicles parked in the facility. Please do not leave keycard or other valuables in plain view. When LAZ Parking employees provide assistance (tandem, stack), please do not submit all keys. Ignition and door keys are the only keys required. 8. Handicapped stall usage is strictly monitored. Parking Enforcement routinely inspects for permit compliance. 9. All vehicles shall be parked entirely within painted stalls, and no vehicles shall be parked in areas which are posted or marked as “no parking” or on ramps, driveways, and aisles. Only one (1) vehicle may be parked in a parking space. In no event shall Tenant interfere with the use and enjoyment of the Parking Facilities by other tenants of the Building or their employees or invitees. 10. When parking your vehicle, only head-in parking is permitted. No reverse-in parking. 11. Persons using the Parking Facilities shall observe all directional signs, arrows, and any posted speed limits. Unless otherwise posted, in no event shall the speed limit of five (5) miles per hour be exceeded. 12. Please contact the parking office immediately when changing vehicles (i.e. new car) or deleting a keycard. 13. All damage must be reported in writing to the parking office before leaving the facility. Vehicles will only be released to owners, unless an authorized release is submitted to the parking office. 14. No unauthorized outside services such as: mechanical repairs, tune-ups, oil changes, window tinting, installation of phone, stereo and car alarm, washing, detailing, etc. will be allowed on the premises. 15. Any Reserved Space allocations or assignments are subject to change or cancellation with 30 days notice. 16. The monthly parking card supplied entitles the assigned card holder to occupy (1) one parking space. The card must be used to enter and exit the parking garage at all times. By accepting (with or without your signature) a parking keycard, you have accepted the parking rules and regulations mentioned above. Failure to comply with the aforementioned Rules and Regulations may result in a loss of parking privileges. 17. This is your entire agreement, and no LAZ Parking employee may modify or waive any of its terms. This contact may be cancelled at any time with 30 days notice by either party.

EXHIBIT A - Fitness Center Rules and Regulations
The Building is currently equipped with an exercise fitness center located on the first floor of the Building. Access to the fitness center is controlled by the use of electronic cards. Access to the fitness center will only be provided upon receipt of a signed Fitness Center Acknowledgment and Release. A copy of the Acknowledgement and Release will be kept on file at the office of the Fitness Center Manager. The fitness center is currently equipped with showers and changing area with lockers. The following initial Rules and Regulations are intended to make the exercise fitness center safe, enjoyable, and pleasant for all users. These Rules and Regulations are applicable to all users and may be changed from time to time in order to provide for the safe, orderly, and enjoyable use of the fitness center. 1. Current Tenants Only. Only those individuals who are employees of a current tenant of the Building and who have completed a Fitness Center Acknowledgment and Release may use the fitness center. No guests are permitted. The fitness center and its equipment shall be used only for exercise and weight training. 2. Hours of Operation. The fitness center may be used only during the hours of 5:00 a.m. to 8:00 p.m. The fitness center may be closed without notice as deemed necessary by Owner or its managing agent, whether to perform maintenance, repairs or renovations, or otherwise. 3. Clothing. The minimum acceptable attire in the fitness center shall be gym shorts, tee shirts, and appropriate footwear. Any conventional exercise attire is permissible, including leotards and tights, warm-up suits, etc. Sneakers, tennis shoes, or similar footwear must be worn at all times. Street shoes or boots are not acceptable footwear. 4. Conduct. Any conduct which unreasonably interferes with the use or enjoyment of the fitness center or its equipment by other persons, or disrupts or interferes with normal, safe, orderly, and efficient operation of the fitness center or its equipment, is prohibited. Personal radios, tape recorders, or other similar equipment may not be used without headphones. 5. Use of Tobacco Products. Smoking of any kind or other consumption of tobacco products is prohibited. 6. Solicitations and Petitions. Solicitations for the sale of any product, service, or charitable contribution, and petitions of any kind are prohibited. 7. Food and Beverages. Food and beverages (other than bottled water and sports drinks) are prohibited and shall not be brought into the fitness center at any time. No glass bottles or glass drinking containers are to be brought into the fitness center, including any shower area. 8.Notices, Complaints, or Suggestions. Users shall promptly notify the Fitness Center Manager if they discover any unsafe or hazardous defect or condition relating to the fitness center or its equipment, or any serious breakage, sickness, fire, or disorder at the fitness center. Complaints or suggestions as to the operation, maintenance, services, or equipment at the fitness center should be registered directly with the Fitness Center Manager. 9. All l Rules and Regulations apply to any shower facilities. 10. Violation of Rules. Failure or refusal to comply with these Rules and Regulations may result in the loss of individual privileges. 11. Maintenance. No user shall leave any litter, trash, debris, or articles of clothing at the fitness center. 12. Lockers. Any lockers are only for the use of persons while they are using the fitness center. Personal items shall not be left in lockers overnight or otherwise for extended periods of time. Any lock left on a locker while the user is not physically in the gym will be removed and all items turned into the management office. Please respect others who wish to use the lockers. 13. Gym Wipes. Users shall wipe off equipment after use.
