This Agreement is by and between the National Association of Specialty Pharmacy, Inc. (“NASP”) and the author(s) of the written paper, poster, or other submission identified above as the “Work” (individually and collectively, “you”) and concerns publication, presentation and distribution of the Work, including (without limitation) at the National Association of Specialty Pharmacy Annual Meeting & Educational Conference (“Conference”), and other use(s) by NASP as described more fully herein, including publication in an open access supplement of the Journal of Drug Assessment (“Supplement”).
1. Participation. By your signature below, you agree to prepare and submit a Work to NASP that is acceptable, in the sole judgment of NASP, for presentation at the Conference and publication and/or distribution by NASP. You agree to make such changes in the Work as NASP and/or the publisher of the Supplement (“Publisher”) may reasonably request prior to the Conference and/or publication in the Supplement. You further agree that NASP and/or the Publisher may revise the Work as necessary to conform to the formatting requirements for publication, and you agree to cooperate with NASP in connection with NASP’s use of the Work under this Agreement and consent to NASP’s use of your name, likeness and biographical information in connection with NASP’s use of the Work under this Agreement, with no additional right of approval over any such revisions or usage.
2. License. You hereby grant to NASP a non-exclusive, irrevocable, worldwide license to use, produce, publish, modify, create derivative works from, reproduce, distribute, and/or sublicense the Work, including but not limited to publication in the Supplement, and to do so in any and all media and formats, whether now known or later developed, throughout the world. This license is non-exclusive and does not prevent you from using or republishing the Work or related materials elsewhere.
3. Representations and Warranties. You represent and warrant that the Work is original and does not infringe the copyright or violate any other contractual or proprietary rights of any third party, that it contains no matter that is libelous or otherwise violates the personal rights of any third party, including but not limited to the rights of privacy and publicity; and that you have the authority to enter into this Agreement. You further represent and warrant that you have disclosed all relevant affiliations, financial sponsorships, and commercial assistance. You agree to indemnify and hold harmless NASP, the Publisher, and their officers, directors, employees, and agents, from and against any damages, liabilities, costs and expenses (including reasonable attorneys’ fees and court costs) to the extent they relate to your breach of a representation or warranty under this Agreement.
4. Miscellaneous. This Agreement will benefit and bind you and NASP, and our respective successors, assigns, and licensees. This Agreement contains the entire agreement between you and NASP on the subject matter hereof and supersedes any and all prior communications, representations, or agreements, verbal or written, relating to the subject matter. This Agreement may only be amended by a writing signed by both parties.
