VOLUNTEER agrees not to use, either personally or on behalf of any other party; disseminate, or in any way disclose any confidential Information of ORGANIZATION to any person, firm or business, except to those employees and agents of VOLUNTEER whose knowledge of the confidential Information is required in order for VOLUNTEER to complete projects and must have prior written approval from ORGANIZATION to do so. VOLUNTEER agrees to: (a) hold all Confidential Information in confidence; acknowledge the ORGANIZATION’S proprietary rights therein and shall exercise at least the same care with respect thereto as it exercises with respect to VOLUNTEER’s own confidential information, but in no event with less than reasonable care; (b) take all reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information in order to prevent any Confidential Information from falling into the public domain or the possession of unauthorized persons; and (c) not use, disclose or disseminate or allow to be disclosed or disseminated any Confidential Information to any third party without the prior written consent of ORGANIZATION.  VOLUNTEER agrees to notify the ORGANIZATION of any misuse, misappropriation or unauthorized disclosure of any Confidential Information promptly upon becoming aware of any such misuse, misappropriation or unauthorized disclosure by any person including the VOLUNTEER.

    7. NON-WAIVER

Waiver or non-enforcement by either party of a term or condition shall not constitute a waiver or a non-enforcement of any other term or condition or of any subsequent breach of the same or similar term or condition.

    8. AMENDMENTS

    9. ENTIRE AGREEMENT
