ADDITIONAL TERMS AND CONDITIONS
General Terms & Conditions:
- Vendor is an independent contractor and is not an employee of Pennsbury School District, Edgewood Elementary or Edgewood Elementary PTO.
- Vendor will only provide services under this contract to Edgewood Elementary students as part of the Virtual Cub Clubs experience. These programs will not be offered to the general public.
- Vendor will comply with all applicable Pennsbury School District policies, regulations, and procedures, including Policies regarding background checks, confidentiality of student information, antidiscrimination, and conflicts of interest. These policies can be found at the Pennsbury School District website at www.pennsburysd.org.
- Commencement time and ending time of the program shall be strictly adhered to by both parties.
- Edgewood PTO may use Vendor's name, picture, photographs, or likenesses in advertising and publicizing the program.
- Vendor will inform Edgewood PTO as soon as possible if it becomes necessary to replace essential personnel for the program, and Edgeowood PTO reserves the right to cancel under such circumstances.
Indemnification & Risk of Loss:
- Vendor assumes all risk of damage or loss to his/her merchandise, personal property, and personal effects.
- Vendor releases and discharges Edgewood PTO and its board members, officers, employees or agents, and its affiliates, from any and all claims, causes of action, losses or other damage resulting from, arising out of, or relating in any way to his/her program.
- Vendor shall indemnify Edgewood PTO and its board members, officers, employees or agents, and its affiliates, and hold them harmless from losses, damages, or claims in connection with his/her program.
Photographs & Use of Likeness of Minors
- Vendor acknowledges that its participants are students at Edgewood Elementary and are minors, whose likeness cannot be reproduced or used for purposes of advertising or business or personal use without explicit permission by the participant's parents or custodial guardians.
- Vendor agrees to obtain permission, in writing, from parents or custodial guardians before taking pictures or screen shots of participants for any reason.
- Vendor also agrees to obtain permission, in writing, from parents or custodial guardians before using said pictures or screen shots of participants in any advertising, publicity or marketing materials.
Services:
- Vendor is responsible for providing a secure, safe virtual platform for students to use to access the program.
- Vendor is responsible for contacting all students prior to beginning of class to let them know what supplies they will need and share the virtual platform link that you are using for the program.
- Vendor agrees to begin and end class on time per the terms set forth above. In the event of an emergency, please contact participants as soon as possible to advise if the program must be canceled or rescheduled.
- Vendor will copy Edgewood PTO on all emails and correspondence sent to participants at edgewood.el.clubs@gmail.com.
Payments:
- Vendor agrees to submit an invoice in full after the first class session has beenc completed, confirming the final number of participants in attendance.
- Edgewood PTO maintains a no-refund policy after the first class has been completed. You should confirm this policy in your outreach to participants before the program begins.
