TERMS AND CONDITIONS

Definitions:
"Advertiser" means the party purchasing television advertising.
"Nubian Television or TV" means the tne network broadcasting the advertising.
"Ad Materials" means the creative materials for the advertising, such as the video, audio, and text.
"Insertion Order" means the contract between the Advertiser and Nubian Television that specifies the terms of the advertising buy.

"Marketing Material" is at the complete discretion of Nubian Television team.

Term:
Each package offering is for one month or a 4 week term. Example: one post per week is equivalent to a total of 4 posts per month within the one month term. Advertiser can purchase multiple terms.

Schedule and Delivery:
The Advertiser agrees to provide the Ad Materials at spec to Nubian Television at least 10 business days prior to the scheduled air date. Nubian Television agrees to air the advertising on the agreed-upon schedule. Nubian Television reserves the right to make changes to the schedule due to unforeseen circumstances, such as programming changes or technical difficulties.

Price and Payment:
The Advertiser agrees to pay Nubian Television the agreed-upon price for the advertising. The payment terms are specified in the Insertion Order.

Guarantees:
Nubian Television guarantees that the advertising will be aired the agreed-upon number of times. Nubian Television does not guarantee the ratings or viewership of the advertising.

Indemnification:
The Advertiser agrees to indemnify and hold Nubian Television harmless from any claims arising from the advertising, including claims for copyright infringement, trademark infringement, defamation, or other torts.

Dispute Resolution:
Any disputes arising out of this agreement will be resolved through binding arbitration.

Severability:
If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Governing Law:
This agreement will be governed by and construed in accordance with the laws of the State of Massachusetts.
