by and between "High Peak Logistics, LLC”, hereafter referred to as DISPATCHER, and "Trucking Company", hereafter referred to as CARRIER. DISPATCHER is a transportation dispatcher, handling the necessary paperwork between SHIPPERS and/or BROKERS and the CARRIER in order to secure “Freight” for said CARRIER.

WHEREAS, CARRIER is a Motor CONTRACT Carrier subject to the jurisdiction of the ICC: NOW, THEREFORE, in consideration of the promises and covenants hereinafter contained it is mutually agreed by and between parties’ hereto as follows:
OBLIGATIONS OF DISPATCHER
1. DISPATCHER agrees to handle paperwork, phone calls, and faxes from the BROKER or SHIPPER to tender commodity shipments to CARRIER for transportation in interstate commerce by CARRIER between points and places within the scope of CARRIER’S operating authority.

2. DISPATCHER bears no financial or legal responsibility in the transaction between the BROKER or SHIPPER and you the CARRIER.

3. DISPATCHER will:

A. Make 100% effort to keep truck(s) loaded.

B. CARRIER will be contacted (by phone call/text/email) about EVERY load we find to offer, and the driver will ACCEPT or REJECT the load.

C. Invoice the CARRIER for time of service; also provide a copy of each Load Confirmation Sheet.

D. Payment is due to DISPATCHER at time of invoice.
OBLIGATIONS OF CARRIER
1. CARRIER agrees to pay flat rate fee of 8% per load or as per the agreed upon % related to terms of workload. You will be invoiced once weekly,the invoice will be sent out Friday, for all your weekly loads, and due Sunday.

2. Carrier agrees to pay a non-refundable retainer fee of $175 upfront for the securement of services.

3. CARRIER gives DISPATCHER authority to provide his signature for rate confirmation sheets, invoice and associated paperwork necessary for securing cargo and billing purposes. The terms of this agreement shall be continuous, provided that either party may terminate this agreement at any time by giving 7 calendar days written notice.

4. BROKER/SHIPPER agrees to pay CARRIER promptly, following receiving the invoice. The amount to be paid by BROKER/SHIPPER to CARRIER shall be established between parties on a per shipment basis prior to commencement of each individual shipment. A load confirmation including details of shipment and revenue to be paid will be supplied via EMAIL by SHIPPER/BROKER/DISPATCHER to CARRIER. Confirmation will be signed by DISPATCHER and returned via FAX or EMAIL to SHIPPER/ BROKER.

5. DISPATCHER will invoice the CARRIER as per the terms of the agreement via Email. Payments that are due for services rendered are not contingent on outstanding payments due to the CARRIER for loads that he/she has hauled for the SHIPPER OR BROKER. Payments can be made to High Peak Logistics, LLC by PayPal, Square, Zelle or Bank transfer. The agreed term rates will be required to be paid to High Peak Logistics, LLC as per the conditions of the agreement.

6. A 5 day grace period after the date of the invoice was sent to CARRIER will be allowed before the account becomes overdue. At 10 days the account will be suspended and the non-refundable retianer fee will be applied. During the suspended account DISPATCHER WILL NOT secure any loads for CARRIER. Failure to pay for services rendered will result in termination of the agreement immediately unless otherwise determined by the DISPATCHER.

NOTE: We will only send one invoice per Trucking Motor Carrier number (MC# If you have multiple drivers under one MC# you as the MC holder will need to collect from your leased-on drivers if applicable.
In NO event will High Peak Logistics, LLC be liable for any incidental, consequential, or indirect damages for the loss of profits, or business interruption arising out of the use of our services.

A cancelation of loads on the behalf of the CARRIER FOR ANY REASON the Carrier is still LIABLE for the agreed (%) of the load to the Dispatcher. Excluding equipment breakdown.

DISPATCHER is NOT responsible for:

1. Advances (All advances will have to be handled directly between Carrier and Shipper / Broker)

2. Handling and storage of paperwork (All documents will be sent to Carrier unless other arrangements are made)

3. Detention (We will not pay for but we will work on your behalf to secure)

We DO NOT take a percentage of detention.

4. Under no circumstances should you ever remove an empty trailer after delivery of a load. High Peak Logistics, LLC will not be responsible for your actions or loss of revenue of such actions.

5. TONU (We will not pay for but we will work on your behalf to secure)

We DO NOT take a percentage of TONU.

6. Any actions taken outside the scope of the rate confirmation. This will be the carrier’s responsibility. No Exceptions. Any verbal instructions by receiver or any other party such as but not limited to #4 above are not the responsibility of DISPATCHER.

Follow only the instructions on the Rate Confirmation.

7. DISPATCHER DOES NOT take ownership or responsibility for any cargo or trucks.
