Company Policies Signature* This field is required.INSURANCE CLAIMS The following rules and policies go into effect as of 05/01/2019 In the event any claim (damaged freight, property, etc.) is filed against Soko Express for a load that a particular driver did, that driver will be responsible for that claim. Soko Express reserves the right to deduct the set amount that Soko Express is required to pay for the claim from the driver’s paycheck. In the event that a driver’s vehicle is damaged during the transportation of freight, Soko Express will not be responsible for the damage and all costs associated with the repairs will be solely the driver’s responsibly. SOKO EXPRESS is not responsible if the driver is injured during the loading of the freight, unloading of the freight, or any time in between, from start to finish. LATE ARRIVALS The pickup and delivery times listed on the Rate Sheet are sent to the driver and are to be followed. The times listed on My Virtual Fleet are NOT always accurate. Please pay attention to the time zone listed on the Rate Sheet and assume the times listed and discussed are local. It is the driver’s responsibility to confirm the correct time zone and times for pickups and deliveries. The driver must confirm with Soko Express regarding the time zone if they are unsure. Failure to do so in the event that the driver is late to pickup or delivery will be considered the driver’s fault and could cost the driver financially. This will be considered a LATE ARRIVAL. It is the driver’s responsibility to pick up and deliver the freight on time. Failure to do so may result in financial penalties as well as termination. Soko Express on-time policy is: If a shipper deducts any amount on the rate confirmation because of a driver being late to pick up or delivery, that amount will be deducted from Friday's pay. New drivers are on a probationary contract period for the first 3 months and can lose their Soko Express contract at any time. Customers will fine us for the loads and at times have fined Soko Express upwards from 20% to 100% of the agreed rate. Soko Express will carry over all fines to contractor's pay. If the driver is late to pick up or delivery strictly due to situations out of their control, such as weather delays, traffic, or a breakdown, they should contact the office ASAP! In the event that the shipper changes the number of pieces or the weight of the shipment from the time Soko Express books to load to the time the driver picks it up, the price of the load will not necessarily change. The Brokers reserve our entire van when they book a load with Soko Express and therefore do not pay extra if the piece count or weight on a shipment change.

Company Policies Continued Signature* This field is required.HAND LOADING AND UNLOADING In the event that the shipper or consignee are requesting the driver to hand load or hand unload the freight, the driver MUST CONSULT with SOKO EXPRESS first to confirm that it is ok to do so. DO NOT TOUCH THE FREIGHT WITHOUT CONSULTING THE DISPATCH TEAM. THE ORDER IN WHICH LOADS ARE DISTRIBUTED Our Mission is to be fair when looking for loads. Soko Express follows these general guidelines in the event that multiple drivers are in the same area. 1. Driver who has been waiting for the longest. 2. Driver who has earned the least amount in recent weeks. 3. Driver who has been with Soko Express the longest. Soko Express does not have to follow these guidelines. We may assign loads outside of these guidelines on occasions we seem to be necessary. LOADS Due to the consequences of canceling loads once they are awarded by the shipper, a driver must complete a load that has already been booked. Refusal to do so will result in termination of contractor agreement. Soko Express offers coverage across the entire US and Canada and our drivers are required to cover loads anywhere in the USA and Canada that are booked. Soko Express will only bid on loads that can fit in the driver’s vehicle and that do not exceed the manufacturer's maximum payload capacity. All booked loads that can fit into a driver’s vehicle and that do not exceed the manufacturer's suggested maximum payload must be covered. In the event that a driver is dispatched to pick up a load that cannot fit their vehicle due to dimensions or weight, the driver will be compensated for that load. Please read below for more information. The driver must notify Soko Express of any delays (traffic, breakdowns, weather, etc.) that they run into while on the way to pick up a load or while doing a load. Failure to do so may lead to termination. The driver MUST NOTIFY Soko Express if he decides to change locations after completing a load or while waiting for a load. This is crucial as we quote our customers based of our drivers’ locations and unless we are notified that they have changed their location, our offers will not reflect the correct ETA to pick up. The driver will be fined for accepting a load and then cancelling the load or moving away from your location without notifying the dispatch team at Soko Express. We lose customers when drivers cancel loads. We have a zero tolerance policy and multiple cancellations will lead to termination of contractor agreement. Soko Express will enter a verbal agreement with Fleet Owners regarding what information they want their drivers to know and not know, i.e. the price. All rate agreements are sent to the owner's of the vehicle and they reserve the right to pay their driver's whatever the fleet owner and the driver have agreed upon. Soko Express is not responsible for pay disputes between driver and fleet owner. Soko Express takes Seventeen (17%) of all agreed rates for the first 10 loads. That is our dispatch fee. After 10 loads and if driver tracks, communicates, and is professional Soko Express will lower fee to Fifteen (15%). Soko Express does not pay for detention time, when drivers are waiting to pick up or deliver, or any canceled loads. Soko Express only pays for completed loads. If the circumstances come and drivers wait more then two (2) hours to pick up or deliver, they need to contact the dispatch team and let them know. The dispatch team will then contact the customer and ask for detention time. Each broker/customer has their own prices and rules regarding dentition time and cancelled loads. Cancelled loads are also known as Truck Order Not Used (TONU) and Soko Express dispatch team will try to work with the customer to compensate the driver for their time. This is not guaranteed, so please make sure you remember your dispatcher's name and follow up with them regarding TONU’s and Detention time.

Policies Continued 2 Signature* This field is required.PAPERWORK It is the driver’s responsibility to submit a hard copy Proof of Delivery (POD) both electronically (fax, email, text, etc.) and physically for each load competed. Please follow all guidelines in the “New Hire Packet”. To briefly summarize; driver's must mark "Delivered" in My Virtual Fleet, and and then use CamScanner to take a photo of the Proof of Delivery (POD) and email CamScanned photo to dispatch@sokoexpress.com . PLEASE EMAIL POD, DO NOT UPLOAD POD TO VIRTUAL FLEET! Drivers are also responsible to physically mail in the original copies of the PODS at the end of every week to our office location. We will hold your pay if you do not use CamScanner and/or do not physically mail us the original POD’s. Some of our customers request original POD’s and others except clean copies of the PODS. We pay you every Friday, but we don’t get paid until we receive the POD's. The driver is required to write the Load Number at the top of the Bill of Lading (BOL) paper they are given at the shipper. The load number is always listed on the initial email sent to the driver when Soko Express books a load. COMMUNICATION Driver must always communicate with the dispatch team if they are looking for loads or are done for the day. Driver must notify the dispatch team if they change locations or pick up another load for another carrier. Drivers are responsible to notify the dispatch team in the morning via text or call when they are available and update their location throughout the day. Furthermore, From the time a driver picks up a load, until the time they deliver the load and supply us with the proper paperwork for that load via email, fax, or text message, the driver MUST always be accessible to Soko Express. Failure to answer phone calls may lead to disciplinary actions including points, or termination of contract agreement. The driver is obligated to pay off the balance within 3 months from quitting in the event that those final checks were not enough to cover. Please verify your checks every Friday to ensure that there are no accounting errors. Soko Express has the right to withhold any checks or amount if the driver has caused a fine or penalty upon Soko Express. CONCLUSION I understand that I am no way an employee of Soko Express, but merely a contractor who is providing my own equipment (i.e. van, gas, insurance) to transport freight for Soko Express and perform all services required for transportation. I understand that Soko Express is taking 17% of all agreed rates as part of their dispatch fee for the first ten (10) loads. After ten (10) leads, Soko will keep 15% of the agreed rate and I will keep 85%. I certify that the facts set forth in this application are true, complete, and correct to the best of my knowledge. I understand that any misrepresentations, falsifications, or omissions on this application can be grounds for rejection of my application or if I am employed by this company, for my immediate termination from employment. I authorize Soko Express to make any necessary inquiries and investigations into my education, military, or employment history. SOKO EXPRESS LEASE AGREEMENT Signature* This field is required.This agreement is entered by and between the below listed Soko Express (The "Lessee") and Owner Operator (The "Lessor") The terms of this agreement are: 1. “Lessor”, as an independent contractor, shall at no time be considered an employee of Soko Express. Lessor will furnish adequate equipment and perform all services required for transportation. 2. Lessor shall transport freight for Soko Express using Soko Express MC# 981836 and DOT 2913277. 3. Lessor shall comply with all statutes, rules and regulations of Federal and State Governments, and all Administrative Agencies thereof. 4. Lessor shall pay all costs and expenses associated with the performance of such transportation services. 5. Lessor shall secure any and all licenses, trip permits, fuel tax permits, and other licenses and permits that may be required on said vehicle and for which lessor has not already secured the same. Lessor shall pay all operating and maintenance expenses incurred for the operation of the equipment during the term of the lease. 6. Lessor shall provide and maintain a valid “Certificate of Insurance” and file it with Soko Express. Lessor shall also keep and maintain comprehensive general liability, automotive liability, property damage, and cargo insurances. The policies shall provide coverage to Soko Express as an Additional Insured to the same extent as provided to the name insured, provide at least thirty (30) days prior notice to Soko Express of cancellation or termination, and contain standard cross-liability endorsements allowing Soko Express to claim and recover under the policies notwithstanding that it is an additional insured. Such policies shall be sufficient to defend, hold harmless, and indemnify Soko Express harmless for all losses resulting from negligence on the part of Lessor. Minimum coverage for general liability and/or automotive liability shall be $1,000,000 per loss. Minimum coverage for Cargo insurances shall be $100,000 per loss. The insurance required under this agreement shall, at all times be written by insurance companies which are admitted, authorized, and licensed to conduct business in the State of Pennsylvania and are acceptable to Soko Express. 7. Lessor shall be responsible for the freight during the course of his/her transportation thereof and shall obtain and deliver to Soko Express a shipping document covering each shipment lessor drove. 8. Lessor is not guaranteed money for detention time or for dry runs by Lessee or by the broker. Detention time is defined as time spent waiting and dry runs, defined as going to pick up freight and freight not being ready or cancelled freight. Lessor shall ask their dispatcher to ask the broker for any detention time accrued or for any dry run. 9. Lessor must submit to Soko Express all delivery receipts for Soko Express' load's on a daily basis, pursuant to Soko Express policy regarding submission of freight documents. 10. Lessor is required to notify Soko Express upon arrival at the location where the load is being picked up and once freight has been loaded. Lessor shall contact Soko Express every 3 hours during freight transportation. Lessor is also required to notify Soko Express when they arrive at the delivery location and when they get unloaded. 11. Lessor shall provide service commencing from the date contained herein and shall continue until canceled, in consideration of compensation to be paid. Compensation shall be payable pursuant to Soko Express policy. 12. This agreement shall be continuous. Any termination requires at least 30 (thirty) days written notice on the behalf of either party. Termination shall be released by either party with respect to accrued liability arising hereunder prior to such termination. This agreement is intended to set forth the terms and conditions of, and charges payable for, such transportation Lessor may perform for Soko Express, provided that this contract is not construed as an agreement for specific transportation regarding time, place, amount, or duration. 13. Lessor shall not subcontract any loads to any other carriers or Lessors. The lessor should not have other drivers in the vehicle while transporting freight for Soko Express without the written consent of the Lessee. 14. It is the Lessor’s duty to notify Soko Express of any changes in ownership, lease, rental, control status, and or any insurance changes of all equipment operated on behalf of Soko Express benefit.
