SUMMIT GUEST SPEAKER AGREEMENT

This Summit Guest Speaker Agreement is being entered into by Wendy K Laidlaw LTD (“Summit Host”) and  (“Guest Speaker”) on Monday, this 12th day of October 2020 (“Effective Date”).

 
1. Summit Description

 The Ultimate Emotional Health Summit is a virtual online summit taking place on Monday 26th - Wednesday 28th October 2020. (“Summit”) .

 

2. Guest Speaker Participation

Guest Speaker shall participate in Summit by:

- pre-recording an interview with Summit Host that is 25-30 minutes in length,
- and/or providing a download gift for summit attendees (“Work Product”)
- agree to promote to clients, list and/or followers 7-9 days prior to the event.

Guest Speaker makes no express or implied guarantees, warranties or representations regarding the information presented during the course of the Summit Work Product, but confirms that he/she has made every effort to provide information that is accurate, appropriate and up to date.

Summit Host shall not be liable for any losses, damages or injuries that result due to any Summit attendee’s reliance, act or failure to act with regard to the information presented by Guest Speaker.

 
3. Deadlines

Guest Speaker and Summit Host shall conduct a video recorded interview on conducted via Zoom Platform. Should either party be unable to attend at the agreed-upon time, that party shall provide the other party with timely notice and a new interview time will be scheduled.

4. Commissions

Guest Speaker has the opportunity to earn affiliate commissions of through the Ambassador Referral Program and promoFon of UlFmate EmoFonal Health Summit to their own clients, list and/or followers. A unique domain name (UltimateEmotionalHealth.com/YOURNAME) will be provided to the Guest Speaker to share with their clients, list and/or followers.

If Guest Speaker’s clients, list and/or followers proceed to purchase the “All-Access Pass Offer” (consisting of Lifetime Access to Interview Recordings, Bonus Deep Dive Recordings, Audiobook and Transcripts e-Book) then an affiliate commission of 50% (paid in Dollars) will be payable via Paypal within 45 days of the end of Summit. See separate Affiliate Agreement.

All-Access Pass Offer” pricing to attendees of Summit will be as follows; ‘Early Bird’ Before Summit price will be £67, During Summit price will be £97, After the Summit  price will be £127.

 

 

5. Promotion

In lieu of monetary compensation, Guest Speaker shall receive promotional benefits wherein Summit Host will include Guest Speaker’s information on Summit sign up page.

Summit Host shall collect email address and name informaFon from Summit attendees, but such information shall not be shared with Guest Speaker.

 

 

6. Independent Contractor Relationship

Guest Speaker’s relationship with Summit Host shall be that of an independent contractor. Nothing in this agreement is intended to, or should be interpreted too, create an employment relationship.

The Guest Speaker and Summit Host acknowledge that this Agreement does not create a partnership, joint venture or employment relationship between them, and is exclusively a contract for the performance of the Work Product related to Summit.

 

 

7. Intellectual Property Rights

Guest Speaker agrees that all Work Product developed or created by him or her within the performance of the Work Product pursuant to this Agreement will and shall be the sole property of Summit Host, as part of the Summit.

8. Limitation of Liability

In no event shall Summit Host be held liable for any losses, damages or injuries resulting from full performance of this Agreement, to the extent allowed by law.

 

9. Dispute Resolution

In the event that a dispute arises out of or in connection with this Agreement, the parties agree to attempt to first resolve the dispute through friendly means.

If the dispute is not resolved within a reasonable period of time, this Agreement shall be governed in all respects by the laws of England and the United Kingdom. Each party irrevocably consents to the exclusive personal jurisdiction of the local and/or state courts of England, as applicable, for any matter arising out of or in relational to this Agreement.

However, in actions seeking to enforce any order or any judgment of such local and/or state courts located in England and the United Kingdom, such personal jurisdiction shall be nonexclusive.

Either party may cancel this Agreement without penalty by giving at least 48 hours notice to the other party.

If any provision of this Agreement is unenforceable, that provision shall be deemed amended to achieve as near as possible the same economic effect as the original provision and the remainder of this Agreement shall remain in effect and not be impaired. Both parties agree that neither shall be liable for failure to perform or delays in performance caused by circumstances reasonably beyond his or her control.

This Agreement constitutes the entire contract between Summit Host and Guest Speaker. This Agreement supersedes any previous negoFaFons, commitments, agreements or understandings, oral or written, surrounding the Work Product.

This Agreement may not be altered, updated, modified or changed in any manner except by a written agreement signed by both parties.

IN WITNESS THEREOF, by their respective signature below, the parties have caused the Agreement to be executed and effective as of the effective Date.
