FROM APRIL 01, 2023, WE HAVE A PRODUCT REGISTRATION CHARGE WHICH IS RS 3000/- PER PRODUCT/ARTICLE/SKU 1. Food Products - For all new Food Products the minimum net Markdowns considered will be 30% on MRP. 1a. Frozen and Chilled Foods - For all new Food Products the minimum net Markdowns considered will be 35% on MRP. 2. Non-Food Products - For all new Non-Food Products the minimum net Markdowns considered will be 40% on MRP. 3. For F&V (Fruits & Vegetables) Vendors the terms of trade would be on the daily sale of products sold (consumption basis). 4. All the above markdowns do not include any GST. GST will be added to the basic purchase price and thereafter 30% Markdown on MRP will be calculated. 5. Vendor must be registered under regular GST scheme and must be in a position to provide a fully compliant GST invoice. Vendor must also have a valid FSSAI (if dealing in food products) and Shop Act license. 6. Goods subject to 100% RTV. RTV would include but is not limited to product defects, quality complaints, all damages, expiries and breakages. 7.Doorstep delivery to our central warehouse - Transportation cost to be solely borne by the Vendor. For Frozen, Chilled, Temperature sensitive products, Color Cosmetics, Fragile high value products the delivery would be at the individual stores. 8. Credit period will be 30 (thirty) days after receipt of material and the 1st Payment will be released only after second order is placed to the Vendor. In some cases the payment would be based on sale (consumption) basis, as per mutually agreeable terms. 8a. IMPORTANT FOR THOSE MANUFACTURERS SERVICE PROVIDERS REGISTERED UNDER MSME -Credit period will be subject to a maximum of 60 (SIXTY) days after receipt of material and the 1st Payment will be released only after second order is placed to the Vendor which could exceed 60 days in come cases. Also in some cases the payment would be based on sale (consumption) basis which would be as per mutually agreeable terms in writing. 9. All payments will be ONLY via NEFT subject to the Vendor registering on our Vendor Portal. No physical cheques will be issued at any time. 10. EAN / GS1 (numeric barcodes) codes of a suitable size must be printed on every product. 11. The Vendor/Manufacturer/Marketer undertakes to comply totally by the FSSAI Act 2006 and Regulations namely the FOOD SAFETY AND STANDARDS (PACKGING AND LABELLING) REGULATIONS, 2011 and the LEGAL METROLOGY ACT 2009 and namely the LEGAL METROLOGY (PACKAGED COMMODITIES) RULES, 2011. 12. The Vendor/Manufacturer/Marketer undertakes that in the event of non-compliance of above acts rules and regulations, the Vendor/Manufacturer/Marketer will be solely responsible for any action undertaken by the authorities and the Vendor/Manufacturer/Marketer undertakes to indemnify and keep indemnified Dorabjee and Company Private Limited, for all liabilities and claim that mat arise due to such non-compliance including cost of litigation etc. 12a. The Vendor/Manufacturer/Marketer undertakes that in the event of non-compliance of any payments towards GST by the Vendor/Manufacturer/Marketer, the said Vendor/Manufacturer/Marketer will be solely responsible for the same and we reserve the complete right to hold/deduct/debit the said GST amounts payable by the defaulter Vendor/Manufacturer/Marketer from the payments of the said Vendor/Manufacturer/Marketer or any new successor Vendor/Manufacturer/Marketer that is supplying us in present time. The Vendor/Manufacturer/Marketer undertakes to indemnify and keep indemnified Dorabjee and Company Private Limited, for all liabilities and claim that mat arise due to such non-compliance including cost of litigation etc. 13. We reserve the right to change these terms without notice. 14. We reserve the right to de-list any products once registered if we feel it is not in our interest to sell the same. 15. If the Vendor or the Principal indulges in special offers / price offs or any reduction in MRP of any Product(s) in any other Modern Trade or eCommerce Site / Marketplace then Dorabjee's would reserve its right to provide the same offer / price off at its stores with a view to be on par with the market and debit the vendor with suitable debit note accordingly.
