***In respect of the mutual benefits, promises, understanding and covenant contained herein, this Agreement is confirmed and concluded between Organizer, Participant and Facilitator for the purpose of training Participant in Tax Preparation and QuickBooks Accounting software.***
§ 1.) Duration and Nature of Training
The internship will take place at Facilitating Company and/or Organizing Company and will be solely assigned by Organizer as the practical internship/work-experience semester.
Training: Facilitator’s main purpose is training Participant on tax preparation and Organizer’s main purpose is training Participant on QuickBooks software accounting.
The internship commence minimum of 6 months & 20 hours a week; from (date started +6 months)_________to___________subject to extension of the internship duration when so agreed between Organizer, Participant and Facilitator.
§ 2.) Roles and Obligations of Organizer and Facilitator
The Organizing Company and the Facilitating Company declares itself able to impart practical experience and know- how to the Participant.
Together the Organizing and Facilitating Companies are:
1. To offer instruction and training to the Participant during the internship duration.
2. To certify confirmation of Participant’s working schedule, training description and personal conduct during the internship
3. Facilitating Company vows that only Organizing Company reserves the sole authority to consent to extension of internship, job placement of Participant or any related job activity during the internship period and for a period of twelve (12) months after the end of internship. If any future assignments are granted to the Participant by Facilitating Company it must be first discussed and confirmed with and approved in writing by Organizing Company.
4. Facilitating Company agrees that it cannot at any time discuss future negotiations of assignments and training outside of this Agreement with the Participant.
5. Organizing Company agrees that Facilitator and Participant has a training relationship which could grow into a job or service opportunity for Participant and as such will exercise fair judgment to ensure mutual benefit of both Participant and Facilitator when granting future relationship or work assignments.
6. Copies of all Time Sheets and Training Description performed by and for Facilitating Company must also be submitted to Organizing Company.
7. Although Facilitating Company’s main training focus is tax preparation; Organizing Company consents to have Facilitating Company offer training in QuickBooks only from the ProAdvisors hip training courses. Facilitating Company at any time cannot have Participant be trained on any QuickBooks work for its Company or any of its clients companies or its affiliates companies without the written consent of the Organizing Company.
8. Although Organizing Company’s main functions is training on QuickBooks, Organizing Company will at any time train Participant on tax preparation.
§ 3.) Obligations and of the Participant
The Participant is obliged:
1. To report to training:
2. (Organizer or Facilitator) and for training was done on those days.
3. To make use of every opportunity to improve her/his field of knowledge.
4. To fulfil all training requirements.
5. To observe the given working rules and company guidelines, and to manage all tools, instruments, machines and materials with due care and attention.
6. To respect the interests of the Organizing Company and will not at any time circumvent Organizing Company by discussing training, work or service to any of Organizing Company’s clients or associate business partners or Facilitators if such work or training is not mentioned in this Agreement.
7. To respect all training arrangements subscribed and directed by Organizing Company and to observe the codes and practice of confidentiality of business affairs, trademarks, contracts, any and all confidential business and financial materials and information of both the Facilitating Company and the Organizing Company.
8. To inform the Organizing Company immediately on every working day on which he/she cannot be present to fulfil assigned training schedule.
9. Vows that he/she is working solely for an Organizing Company and cannot be assigned on training, service or any job related assignment unless notified first and approved in writing by Organizing Company.
10. Softwares and access to the company resources should not saved, shared and kept after the internship unless approved by the management. Proper turnover after the internship has to be done before the end of the last day.
§ 4.) Cancellation /Termination of Contracts
Before the end of the first three (3) months all parties in this Agreement cannot withdraw from this contract. Thereafter ,any withdrawal from the contract is only possible under the following circumstances:
1. Immediate terminations must be mutual and well founded.
2. Two weeks notice must be given in cases where the Participant is forced to withdraw from the internship/contract, due to personal reasons.
3. Written notice must enclose an adequate explanation of the grounds for withdrawal and has to be set up.
§ 5.) Certificate (Working record)
Upon completion or premature withdrawal of the Participant from the Organizing Company, the Organizing Company will provide a written testimonial for the Participant. This testimonial will give information about the contents and duration of the internship. Proper references to other employees afterwards will be given, if your internship are impressive and have done excellent performance during the internship program.
§ 6.) Remuneration and Other Relationship Obligations
For this position, the interns will not get paid (unpaid internship period with no benefits).
§ 7.) Non-Solicitation & Non-Cirmcumvention
Participant further covenants and agrees that during the Term, and for a period of two (2) years immediately succeeding the termination of this Agreement, Participant will not directly or indirectly solicit the services of, nor employ, any of Facilitator's or Organizer's employees, agent, clients, vendors to perform bookkeeping, taxation, general office services or any other services similar in nature to the services performed by Organizing and Facilitating companies during the term of this Agreement. Participant consents and agrees that in addition to any other rights that Organizer and Facilitator may have at law or in equity, if Participant shall violate or attempt to violate the letter or spirit of this letter provision, Organizer and Facilitator will suffer irreparable harm and will therefore be entitled to injunctive and/or any other equitable relief against Participant. The terms of this paragraph shall survive the termination or expiration of this Agreement. Both Organizing Company and the Facilitating Company will provide this Internship Agreement from the Organizing Company and the Facilitating Company unless agreed and approved in writing.
§ 8.) Disagreements, Conflicts
Before resorting to litigation any conflicts arising from the terms of the contract should be arbitrated through consultation among the Organizing Company, the Facilitating Company and Participant.
§ 9.) Copies of the Contract
Copies in triplicate of the contract are to be signed by the Organizing Company, Facilitating Company and the Participant.
§ 10.) Compensation
Compensation is unpaid unless the management or the associated companies will hire you to be part of the company during or after the internship.
