ACRL 2021 Virtual Rules and Regulations
In submitting this application and contract, the Exhibitor agrees to comply with all rules, restrictions and directives issued by ACRL in connection with ACRL’s Virtual. This includes, but is not limited to, information contained in the Exhibitor Prospectus, Exhibitor Application and Contract, confirmation materials, and the Rules and Regulations outlined below.

Application and Contract for Exhibit Space:
This contract is for a virtual exhibit, the formal confirmation by ACRL and/or its agents and Corcoran Expositions, Inc. acting as Management of the Exposition, referred to hereafter as “ACRL,” and payment in full of charges for the virtual exhibit constitute a contract for the right to use the same.

Eligibility to Exhibit:
ACRL reserves the right to exercise its sole discretion in acceptance or refusal of applications. Show Management reserves the right to make the final determination in the best interests of the event and may refuse exhibit opportunities to any exhibitor for any reason.

Virtual Exhibitor Etiquette:
Company sales representatives agree to act professionally in the virtual environment, the same way they would act at an in-person event. The
ALA Virtual Meeting Code of Conduct
applies to all participants including Exhibitors at the virtual event. Examples of unprofessional behavior may include contacting attendees aggressively or too often, or attempting to conduct business or make sales presentations in public areas outside of the booth (for instance in a discussion forum, public video chat, or educational session). The ACRL reserves the right to deactivate the accounts of any sales professionals that the ACRL deems to be compromising the integrity or intent of any aspects of the Virtual at any time.

Non-endorsement:
ACRL does not endorse any programs, products or services and no endorsement of Exhibitor’s programs, products or services should be inferred. The views expressed in Exhibitor materials do not necessarily reflect the positions of ACRL.

Terms of Payment:
Full payment is required upon receipt of receiving invoice. All invoices must be paid prior to March 12, 2021, to participate in the Virtual.

Cancellation of Space:
No refunds will be provided for virtual booths. Any request to change exhibit opportunities must be made in writing to Show Management at
kristy@corcexpo.com

Force Majeure:
In the event of any circumstances beyond the control of ACRL, including, but not limited to; acts of God, floods, fires, natural disaster, war, strike, or terrorism, or threat of war, strike, or terrorism, that render the holding of the Expo in the good faith opinion of ACRL to be impractical, impossible, or inadvisable, ACRL may, in its sole discretion, cancel the Virtual and shall have no obligation to Exhibitor other than the return of the unused prorated portion of the booth rental fee. Exhibitor releases ACRL from any and all claims for damages, which may arise in consequence thereof.

Amendments:
Any and all matters and questions not specifically covered by the preceding Rules and Regulations shall be subject to the decision of ACRL. These Rules and Regulations shall be binding on Exhibitors equally with the foregoing conditions. Exhibitors shall be notified in writing of any amendments to these.

Indemnification and Insurance:
Each party agrees to indemnify and hold harmless the other, its agents, and employees, from and against all claims, liabilities, and expenses, including reasonable attorneys' fees, arising from acts, omissions, or breach of this Agreement by the party or its agents or employees. The parties shall each maintain appropriate and sufficient insurance to cover their obligations under this Agreement.
