    By signing at the bottom of this document, the undersigned real estate investor (“Investor”) agrees with, acknowledges, and understands the disclosures below.

    1. Investor acknowledges that a relationship and a common ownership exists between New Western, Sherman Bridge Lending, Acquisition Holdings, LLC, Bama Capital LLC, Bear Flag Properties LLC, Big State Property Ventures LLC, Black Canyon Equity LLC, Capitol Warrior LLC, DFW Holdings, LLC, Discovery City Holdings LLC, Falcon Mutual LLC, First Landing Investments LLC, Fountain City Renewal LLC, Goldline Investments, LLC, Harkor Homes, LLC, HEB Homes LLC, Investcar LLC, Jet City Homes LLC, K Town Homes, LLC, Lucky City Investments LLC, Music City Holdings LLC, NWA Residual, LLC, Pinellas Equities LLC, Pocono Properties LLC, Power House Holdings LLC, Salt Lake Warrior LLC, Satex Financial, LLC, SBR Empire LLC, SDAL Holdings LLC, Second City Renewal LLC, SKA Properties, LLC, Soup To Nuts, LLC, Southern State Investments, LLC, Stockpile Property Ventures LLC, Texas Capitol LLC, Texan Mutual, LLC, TriOaks Capital LLC, United Colorado LLC, and Westoplex Renewal Co. LLC. Investor acknowledges that information will be shared among these entities.
    2. Investor further understands that NO associates at New Western REPRESENT Investor in any capacity. Even though Investor may receive information and opportunities from New Western or its affiliates, it is the sole responsibility of Investor to conduct its own due diligence in any business dealings. Investor further understands that if Investor was introduced to New Western by a third-party, then Investor shall defend, indemnify and hold New Western harmless from and against any claims by any third-party for compensation or otherwise in connection with a transaction between Investor and New Western.
    3. Investor acknowledges New Western is involved with investment real estate. It is the sole responsibility of Investor to do all DUE DILIGENCE concerning any potential purchase of real property. Any information provided by an associate of New Western is a guide and should not be the sole basis of a purchase and/or sale decision.
    4. Investor further realizes the seller of the real estate property may or may not have TITLE to the property. Seller may have a contract on the property to purchase the property on a future date. Investor shall not access any property without being accompanied by a New Western representative.
    5. Investor is fully aware that purchases are made AS-IS. Due to the nature of the transaction, the seller will have no knowledge about the condition of the property and cannot provide its own Seller’s Property Disclosure form. Seller will provide to Buyer the Seller’s Property Disclosure form if Seller received the same from Seller’s vendor. The condition of the property is SOLELY Investor’s responsibility to discover.

  • AFFILIATED BUSINESS ARRANGEMENT AND DISCLOSURES NOTICE (Cont.)

      1. Investor further acknowledges any email message or other electronic message and the contents thereof are intended solely for the addressee. Investor acknowledges that information within any email message may be legally PRIVILEGED AND CONFIDENTIAL. Any electronic transmission is sent in trust, for the sole purpose of delivery to the intended recipient. Investor may not reproduce, disseminate, or forward the contents of any electronic transmission received from any New Western associate without the expressed written consent of New Western.
      2. The identities of any individual and/or entity made available through New Western’s Certified Buyers Program or introduced to Investor by New Western (“New Western Contacts”) and any information relating to real property offered, advertised, or made available through New Western is confidential and proprietary. Investor, including Investor’s agents, representatives, and assigns, shall not, for a period of two (2) years, initiate, solicit, negotiate, or enter into a contract for real estate with any New Western Contact or seek to by-pass, compete with, exploit, avoid or circumvent New Western from any business opportunity by utilizing any New Western Contacts or confidential or proprietary information obtained from New Western to New Western’s detriment.
      3. Investor further acknowledges the undersigned may be exposed to copyrights, patents, trademarks, and trade secrets of New Western or its affiliates during routine business transactions (“INTELLECTUAL PROPERTY”). Investor agrees to not copy, disclose, use, sell, or offer for sale any and all Intellectual Property.
      4. Investor agrees that any liability or claim arising out of or in connection with a BREACH OF ITS OBLIGATIONS under Paragraph VI or Paragraph VII of this document is difficult to estimate in light of any probable loss and difficulties of proof of loss and the inconvenience or nonfeasibility of otherwise obtaining an adequate remedy. Receiving Party agrees that if any liability of Receiving Party to Disclosing Party is proven to have arisen out of a breach of its obligations under Paragraph VI or VII of this Agreement, any such damages owing shall be liquidated in an amount equal to TWENTY-FIVE THOUSAND DOLLARS ($25,000.00) per occurrence.
      5. Investor understands and acknowledges that New Western has expended and continues to expend significant time and expense on its personnel and that the loss of personnel would cause significant and irreparable harm to New Western. Investor agrees and covenants NOT TO directly or indirectly SOLICIT, hire, recruit, or attempt to solicit, hire, or recruit, any New Western’s personnel. This provision explicitly covers all forms of communication.
      6. Investor agrees that ELECTRONIC SIGNATURES have the same legal effect as handwritten signatures as laid out in the Uniform Electronic Transactions Act. Investor acknowledges that Investor may opt out of the use of electronic signatures at any time and for any reason.
