BACKGROUND
- The Client is of the opinion that the contractor has the necessary experience and abilities to provide the agreed services to the Client.
- The Contractor is agreeable to providing such services to the Client on the terms and conditions set out in this agreement.
In consideration of the matters described above and of the mutual benefits and obligations set forth in this agreement, the Client and Contractor agree as follows:
SERVICES PROVIDED:
The Client hereby agrees to engage the Contractor to provide the Client with the following services:
- The Delivery of Workshops and Coaching to Clients target group.
- The Contractor will use own published work and sources to deliver the service.
- The Delivery of one or more service areas including: Female Ex-Offender Programmes, Mindset And General Coaching, Faith Based Mentoring or Employment Support services.
- The Contractor will be responsible for faciliating and collecting any monitoring or evaluations of the service delivery.
- Any other services which the Parties may agree on.
TERMS OF AGREEMENT
- The term of this agreement will begin on the date of this agreement and will remain in full force and effect indefinitely until terminated as provided in this agreement.
- This agreement may be terminated by either party.
CURRENCY
- All monetary amounts referred to in this agreement are in GBP CURRENCY.
PAYMENT
-The Contractor will charge the Client for the services at the rate of £75.00 per hour.
-The first payment will be charged immediately, with the remaining 50% to be payable on completion of service. We will only proceed with 50% intially as this is required to secure the booking.The Contractor will provide monthly email invoices to the Client for tax purposes.
The Payment as stated in this Agreement does not include Value Added Tax.
Any Value Added Tax required will be charged to the Client in addition to the Payment.
The Contractor will be responsible for all income tax liabilities and National Insurance orsimilar contributions relating to the Payment and the Contractor will indemnify the Client in respect of any such payments required to be made by the Client.
The Contractor will be solely responsible for the payment of all remuneration and benefits due to the employees of the Contractor, including any National Insurance, income tax and any other form of taxation or social security costs.
The Contractor will only be reimbursed for any expenses only when pre- approved and incurred in connection with providing the Services of this Agreement.
CONFIDENTIALITY
In order to avoid ‘client-poaching’ and from other competitors to copy the Client’s marketing strategies, all information relating to the Client’s business will be kept completely confidential, unless agreed otherwise. This refers to the business name, employees’ personal information, along with any data or information including, but not limited to, accounting records, business processes and client records.
Confidential information (the "Confidential Information") refers to any data or information relating to the business of the Client which would reasonably be considered to be proprietary to the Client including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Client and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.
The Contractor agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Contractor has obtained, except as authorised by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
OWNERSHIP OF INTELLECTUAL PROPERTY
All intellectual property and related material (the "Intellectual Property") that is developed or produced under this Agreement, will be the property of the Contractor. The Client is granted a non-exclusive limited-use licence of this Intellectual Property.
Title, copyright, intellectual property rights and distribution rights of the Intellectual Propertyremain exclusively with the Contractor.
RETURN OF PROPERTY
Upon the expiry or termination of this Agreement, the Contractor will return to the Clientany property, documentation, records, or Confidential Information which is the property of the Client.
CAPACITY/INDEPENDENT CONTRACTOR
In providing the Services under this Agreement it is expressly agreed that the Contractor is acting as an independent contractor and not as an employee. The Contractor and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.
NOTICE
All notices, requests, demands or other communications required or permitted by theterms of this Agreement will be given in writing and delivered to the Parties at the following addresses:

or to such other addresses as either Party may from time to time notify.
ADDITIONAL CLAUSES
Contract of Service can only be early terminated 3 days prior to work being performed. For any other unforseen circumstances, this would need to be addressed in writing , email acceptable. Due to the nature of service and resources and preparation being carried out prior to service, 3 days notice will be required for all cancellations or terminations of contracts.
Rates are fixed at £75.00 per hour
Should Client be not satisfied with service either Party may from time to time notify the other.
MODIFICATION OF AGREEMENT
Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorised representative of each Party.
TIME OF THE ESSENCE
Time is of the essence in this Agreement. No extension or variation of this Agreement will operate as a waiver of this provision.
ASSIGNMENT
The Contractor will not voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without the prior written consent of the Client.
ENTIRE AGREEMENT
It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressly provided in this Agreement.
GOVERNING LAW
This Agreement will be governed by and construed in accordance with the laws of
England.
WAIVER
The waiver by either Party of a breach, default, delay or omission of any of the provisions of this Agreement by the other Party will not be construed as a waiver of any subsequent breach of the same or other provisions.
