  • This agreement dated and effective this the between Simon Harrison Real Estate, LLC, (hereinafter "Broker"), and and/or their assigns for the mutual purpose and the consideration agreed to herein, (hereinafter "Buyer"), as follows;

    1- - EXCLUSIVE AGENT- Buyer authorizes broker to act as the Exclusive agent for buyer in the purchase of any property, improved or land, on terms acceptable to Buyer and meeting these requirements:

    2- COMPENSATION TO BROKER- Buyer guarantees and agrees to pay broker a commission of six percent of the gross sale price, at or before closing, transfer or occupancy for finding and presenting the properties which is the subject of this agreement. In lieu of the above, Broker may elect to accept a portion of the seller's offered brokerage commission, plus ten percent of the difference between the last asking price, and the ultimate contract price.

    3- BUYER agrees that Broker, in its sole discretion, may cooperate with other individuals, companies or agents and that any fees thus incurred shall not be allowed to increase the amount of payment due under this agreement from Buyer to Broker. Additionally, Buyer agrees to pay for these goods and services when billed. These goods and services include, but are not limited to, appropriate due diligence and all closing costs.

    4- BUYER'S COOPERATION- Buyer agrees to provide such financial information or other information as may be requested by broker to facilitate an offer by buyer to make an offer to purchase and complete a purchase under this agreement.

    5- BROKER'S USE OF BEST EFFORTS- Broker agrees to use its best efforts to represent the buyer in any negotiation or purchase of property subject to this agreement and to perform any rights and duties hereunder in compliance with the laws of the State of New York.

    6- CONFIDENTIALITY BY BUYER- Buyer agrees not to reveal confidential information as disclosed by broker about any property subject to this agreement.

    7- CONFIDENTIALITY BY BROKER- Broker agrees not to reveal confidential information obtained from or about buyer save and except in furtherance of the purpose of a transaction as permitted by this agreement.

    8- PROPERTY LIST REQUIRED- Broker shall provide Buyer with a written list of subject properties for which broker is due a commission hereunder if purchased by Buyer, (email, fax, or mail), and presented for consideration. Buyer agrees that Broker is to receive compensation as stated in Article 2 hereinabove for a purchase of any property so listed.

    9- TERM- The term of this agreement shall be from the date first listed above until 5PM on the twelve month anniversary of the date, and shall extend and apply to and include any purchase by buyer of subjects as listed in article 1 and 8 within 24 months of the termination of this agreement.

  • 10- ENTIRETY- This agreement constitutes the entire agreement between buyer and broker relative to this subject matter and supersedes and prior statements or negotiations between the parties.

    11- - NOTICE- Any correspondence or notice permitted or required under this agreement shall be made by personal delivery, certified or registered United States mail with receipt requested or by national courier, with receipt or delivery, or by email address below.     12- ATTORNEYS FEES- If Buyer purchases a property which has been listed with, shown or presented to buyer by broker without paying the compensation due to Broker under this Agreement, Buyer agrees to pay all attorney's fees incurred by broker in collecting said compensation.

    13- APPLICABLE LAWS AND CONSTRUCTION- If any term or condition of this agreement shall be found to be invalid by a court of competent jurisdiction, the remainder of this Agreement shall remain in effect insofar as possible and is to be construed and enforced according to the laws of The State of New York.

    14- LIABILITY- Buyer agrees to hold Broker harmless in any suit relating to the subject properties including, but not limited to, errors and omissions by the Broker or their assigns.
