Authorization of Use
I. Parties - The Texas Archive of the Moving Image (“TAMI”) is a non-profit educational organization working with moving images relating to the history of the State of Texas. TAMI’s mission is to identify, collect, preserve, and make available such moving images for the use and education of current and future generations. Video Owner owns certain film(s) and/or video(s) in digital format listed above, and Video Owner desires to provide such films to TAMI for use in furtherance of its mission. II. Authorization of Use - Video Owner provides TAMI a permanent, irrevocable, and non-exclusive right to use the copy of the films in furtherance of its mission. TAMI shall have discretion to determine how to display or use the copy of such films provided to TAMI. Such use may include, but is not limited to, duplication, representation, exhibition, and dissemination of these films in whole or in part, in any form including electronic means, and use of the films in promotional materials. III. Attribution and Use - TAMI hereby agrees to acknowledge, to the extent practicable, that the videos were made available through the generosity of Video Owner. TAMI will use its best efforts to ensure that Video Owner is acknowledged and credited as the donor of the films in any public exhibitions of the films or portions thereof. Video Owner agrees that such acknowledgment and attribution is solely a courtesy to Video Owner who further agrees that this section does not create or expand any legal or equitable rights against TAMI or any other person for failure to provide sufficient acknowledgment or attribution. TAMI may, in its discretion, enter into agreements for use of digitized films or portions thereof. It is understood that TAMI, its agents or employees, in entering into agreements to provide services to third parties that refer, relate to, or use the films or other artifacts in the TAMI collection, will do so to further the public service mission of TAMI, including the application of any costs recovered. IV. No Warranty - TAMI will retain the digital copy for a period of 6 months after the original materials after submission of materials, at which point TAMI reserves the right to deaccession any materials that do not further its mission.
