JackRabbit Deliveries is a restaurant marketing company that facilitates meal delivery to consumers by making the connection between independent drivers and customers to their home or workplace. Jack Rabbit Deliveries will receive orders from consumers and send them to the restaurant. JackRabbit will provide Restaurant with a Wi-Fi enabled tablet to receive the Jackrabbit orders. In the absence of operating Wi-Fi or working tablet Jackrabbit will call in orders Restaurant will provide an estimated pick-up time to Jack Rabbit Deliveries, in a timely fashion, with the same quality food served in the restaurant.

1. Jack Rabbit Deliveries will arrange and pay for the delivery of the food by a contracted, insured, independent delivery driver.

2. This agreement shall be for a term of 30 Days. This agreement shall automatically renew for additional 30 Day terms unless either party gives the other party written notice that it does not intend to renew at least 10 days prior to the expiration of the agreement.

3. JackRabbit Deliveries will purchase meals from the restaurant at the discount rate of 0%. This discount shall be off the restaurant’s regular menu price as printed in the restaurant’s menu. Special order items not on the restaurant’s regular menu will be quoted by the restaurant, and JackRabbit Deliveries will receive the same discount on those items. JackRabbit Deliveries may increase the price of the items charged to its customers in an amount necessary for JackRabbit Deliveries to receive an industry standard profit margin on the meals purchased from the restaurant. Restaurants will be paid by JackRabbit Deliveries weekly, by ACH Direct Deposit. It is understood that JackRabbit Deliveries also charges delivery and processing fees to its customers, and these fees and any tips belong solely to JackRabbit Deliveries.

During the term of this agreement, Restaurant agrees that it will not enter into any exclusive delivery service agreement that may exclude JackRabbit Deliveries from offering the delivery service, The Restaurant further agrees to help market JackRabbit Deliveries and promote JackRabbit Deliveries as its preferred delivery service. Restaurant agrees to allow marketing material approved by the restaurant to be displayed in high traffic areas of the Restaurant.

4. JackRabbit Deliveries will contact the restaurant with any issues regarding food quality or incorrect preparation. Any adjustments to the customer, or extra delivery expenses incurred by JackRabbit Deliveries, will be deducted from the monies paid to restaurant. JackRabbit Deliveries will be responsible for any adjustments to the customers due to the handling of the food, order-taking errors or timeliness issues controllable by JackRabbit Deliveries.

5. JackRabbit Deliveries will be responsible to collect and remit any applicable sales taxes directly to Restaurant with food payment.

6. Restaurant will provide JackRabbit Deliveries with a current menu. Restaurant will notify JackRabbit Deliveries of any menu changes as soon as possible. Restaurant will inform JackRabbit Deliveries of any delays in food preparation. JackRabbit Deliveries will allocate additional time for orders over $150.

7. JackRabbit Deliveries will carry insurance as required by state law. Restaurant will provide upon request, a copy of its liability insurance to JackRabbit Deliveries.

8. Restaurant will indemnify JackRabbit Deliveries from any claims, or expenses due to any product defects, contamination or mishandling by restaurant of its product.
