The Georgia Motor Vehicle Dealer educational courses (collectively the “Course”) provided by Automobile Dealer Training Association LLC (the “Company”) are intended for individuals seeking mandated Georgia dealer licensing training. You may use this Course and the course material, dealer manual, and website information, and other documents obtained during the Course (the “Course Documents”), only for lawful purposes within the stated context of the Company’s intended and acceptable use of the Course, as determined by the Company.&#13;&#10;&#13;&#10;No fees or tuitions paid to the Company are transferable or refundable.&#13;&#10;&#13;&#10;NO GUARANTY OF RESULTS.&#13;&#10;The Company makes no representations or guarantees regarding the effectiveness or timeliness of the Course in meeting the dealer licensing requirements of the Georgia State Board of Registration of Used Motor Vehicle Dealers or the Georgia State Board of Registration of Used Motor Vehicle Parts Dealers. The Company does not guarantee that completing all Course requirements will result in users being granted or renewing a dealer license. The Company is not responsible for any decisions made by the Georgia State Board of Registration of Used Motor Vehicle Dealers or the Georgia State Board of Registration of Used Motor Vehicle Parts Dealers regarding motor vehicle dealer licensing applicants, for any reason.&#13;&#10;&#13;&#10;The Company makes no representations or guarantees regarding the truthfulness, accuracy, completeness, timeliness,  or reliability of the Course Documents or of any other form of communication engaged in by Course users. Persons attending the Course should conduct or seek their own independent legal review of the applicable Georgia state statutes and laws, keeping in mind that laws and their interpretations differ and change over time, before relying on any information disseminated or contained in the Course or Course Documents.&#13;&#10;&#13;&#10;DAMAGE LIMITATIONS.&#13;&#10;In no event shall the Company (or any of its officers, directors, employees or agents) be liable for any amounts in excess of the total of all payments made by you to the Company for participation in the Course.&#13;&#10;&#13;&#10;In no event shall the Company (or any of its officers, directors, employees or agents) be liable for any special, incidental, punitive, or consequential damages whatsoever, including, without limitation, incidental, consequential or punitive damages, lost profits, or damages resulting from information obtained or discussed, or omitted from publication or discussion, in the Course or Course Documents, or otherwise resulting or arising from your participation in the Course, whether based on contract, tort, or any other legal theory, and whether or not the Company is advised of the possibility of such damages.&#13;&#10;&#13;&#10;INDEMNIFICATION.&#13;&#10;You agree to defend, indemnify, and hold harmless the Company (and its officers, directors, employees, and agents) from and against any third-party claims, actions or demands (including, without limitation, costs, damages and reasonable legal and accounting fees and expenses, through all stages of arbitration, mediation, and litigation, including appeals) alleging to result from or be connected to your participation in the Course, your interpretation and/or use of the Course or Course Documents, or your breach of these Terms of Use.&#13;&#10;&#13;&#10;It is expressly agreed that any complaint, claim, or action, based on any agreements, actions , or omissions arising from or related to the Course or these Terms of Use (“Terms”), shall be filed exclusively in the Superior Court of Bibb County, Georgia, These Terms are made and entered into in Fulton County, Georgia, and the parties expressly  agree to the same as the proper forum, jurisdiction, and venue for any disputes arising hereunder. Each party hereby waives its rights to trial by jury of any matter litigated in that proceeding.
