Once all information is received, the data release will be complete within ten business days of the Requested Data Release Date (such completed date, the “Data Release Date”). The Requested Data Release Date may be changed, by written notice sent prior to the Requested Release Date, only by License Holder, to their Software Platform representative.
By signing this Release, I, as the “License Holder” hereby relinquishes all rights to facility related data currently in the above noted platform. Following the Data Release Date, License Holder will no longer have any access to the Facility Data, including printing, payment processing and any other related functions.

License Holder shall indemnify and defend the corporate owner of the Software Platform, its respective parents, subsidiaries and affiliates, and each of their respective officers, directors, partners, members, employees, agents, representatives and successors (individually, “Indemnified Party'' and collectively, "Indemnified Parties") and hold them harmless to the full extent permitted by law against any loss, liability, damage, cost or expense which the Indemnified Parties may suffer or sustain, arising from or relating to, in whole or in part, this Release, including, but not limited, to any change in the Requested Data Release Date.

The Facility Data is provided and transferred “As Is” with all faults. In no event shall any of the Indemnified Parties be liable to License Holder or the transferee set forth below for the inaccuracy or the incompleteness of the Facility Data.

I would like to order a monthly archive that will be processed up to 5 business days after the transfer by the Storable Implementation Team, who will then email me my Archived Database Access Codes. I understand 1/2 the current monthly subscription will apply on a month-to-month autopay schedule until I submit a Cancellation form.I will export/print all reports prior to the database transfer, and do not need an archive.

By signing this form, the signatory represents and warrants that (a) the information in this DataTransfer Form is correct, (b) the signatory has the power and authority to bind Owner to thisData Transfer Form, including the Data Transfer Terms and Conditions, and (c) Owner accepts the Data Transfer Terms and Conditions set forth below.

Data Transfer Terms and Conditions

Owner hereby requests and authorizes SpareFoot, Inc. and its affiliates (collectively, “Storable”)to transmit, transfer and/or provide access to certain Owner account data (“Owner Data”) to theperson or entity Owner designates in the above form (each, an “Owner Transferee”)(collectively, the “Transfer”). In consideration of the time and efforts required of Storable toeffect the Transfer, and for other good and valuable consideration, the receipt and sufficiency ofwhich is hereby acknowledged by Owner, Owner agrees as follows:
1. Owner represents and warrants to Storable that: (a) it has complied with and willcontinue to comply with all applicable rules, regulations, judicial or governmentalauthorities (“Laws”) to authorize the Transfer of the Owner Data as provided for herein;(b) it will ensure that any Owner Transferee complies with all applicable data protectionand privacy Laws; and (c) it has the authority to request the Transfer of Owner Data on aglobal basis, including without limitation all necessary consents required underapplicable Law.
2. Owner does hereby release, and forever discharge Storable and its current and formerofficers, directors, employees, agents, investors, attorneys, shareholders, administrators,affiliates, parents, divisions, and subsidiaries, and predecessor and successorcorporations and assigns (“Storable Parties”) from all legal or equitable claims, actions,or liabilities of any kind or nature relating to (i) the Transfer of Owner Data as authorizedby Owner, or (ii) the use, processing, security, and handling of such Owner Data by anOwner Transferee following the Transfer.
3. Owner agrees to indemnify, defend and hold the Storable Parties harmless from andagainst all claims, suits, demands, actions, proceedings and litigation (collectively,“Claims”) relating to activities undertaken by Storable pursuant to this Data TransferForm, including without limitation: (i) the Transfer of Owner Data as authorized byOwner, (ii) the use, processing, security, and handling of such Owner Data by an OwnerTransferee following the Transfer; provided, however, that this indemnification shall notapply to the extent that the aforementioned Claims are caused directly by the negligentor wrongful performance by Storable of its obligations under this Global Owner DataTransfer Form.
4. Notwithstanding anything in this Owner Data Transfer Form to the contrary, Storableshall not be liable to the Owner or any other party for any special, incidental, indirect,consequential, punitive, or exemplary damages of any kind arising from this Owner DataTransfer Form or relating to the obligations hereunder.
