Secure guard LLC is engaged in the business of providing Security officers to patrol private property and is duly licensed by the State of Ohio in that business. While on duty, each uniformed Officer shall wear a badge or patch bearing the words "Secure guard" and shall carry an identification card by the Department of Public Safety as required by section 4749 (A)(3) of the Ohio revised Code. The client agrees that it will not, either during the term of this agreement or for a period of one year following its termination, hire for its own employment any of the Secure guard employees who performed services at any time in carrying out the terms of this agreement. Secure guard agrees to carry out its responsibilities in protecting persons and property to the best of its abilities. However, it is not the insurer of safety and cannot be held responsible for the criminal acts of others. This agreement constitutes the sole agreement of the parties and supersede any prior understandings or written or oral agreements between the parties respecting the subject matter of this agreement. LIMITS OF LIABILITY Client acknowledges that Secure guard is not an insurer, and that the security services provided hereby do not constitute maximum security. The Security Services are intended to act as a deterrent and to provide only a degree of security to carry out the written operating procedures or post orders. The amount payable to Secure guard under this agreement are not based upon the value of the Clients property, nor the property of others located in or about Client's premises. The services provided under this agreement are solely for the benefit of the client and neither this agreement nor any services rendered hereunder shall create or be deemed to create any rights in any other party as a third party beneficiary. Client agrees to indemnify and hold Secure guard harmless against any and all claims by such third parties. Secure guard shall maintain for its own protection Comprehensive General Liability Coverage. Secure guard shall not be liable for any claim, demand or liability resulting in whole or part from any negligent or willful act of client, or any of Client's employees, officers directors or representatives. Secure guard and Client have signed this agreement intending to be bound hereunder by its terms and conditions.
