General Terms & Conditions

1. General
Futuristico Innovations S.L. (CIF ES-B16537813) (hereafter “Comodo”) provides virtual office services with affiliated services such as but not limited to; Business Registration, Reception Services, Mail handling, Personalized Telephone Answering, Conference room facilities, Internet connection, print- and copy facilities (see Article 5, “Services”), to {yourName4} ({idNumber}) {businessName} ({vatNumber}) (hereafter “Member”) that requires representation in Palma. Comodo is located at La Rambla 13, 07003 Palma de Mallorca.
This is an agreement for services.
Under no circumstances shall this contract be considered a rental or a sub-rental agreement. The sole and exclusive object of the contract is the granting of services. All mentioned prices are excluding VAT (IVA).
2. Duration
a. Member shall utilise the “A” option, as indicated on the front page of this agreement, for a minimal duration of 12 (twelve) months, the “B & C” options shall be utilised for a minimal duration of 3 (three) months commencing on {fechaDe13}.
Thereafter this agreement shall automatically be extended for a 3 (three) month period. Member may terminate this agreement by giving a minimum 3 (three) months written termination notice to Comodo (terminate@comodoco.com), though always respecting the minimal duration or extended duration period.
b. Comodo always has the right to terminate this agreement giving 1 (one) month written notice to Member.
c. This agreement is non-transferable and shall be solely valid to Member.
3. Payment terms
Comodo shall invoice Member 7 days prior to the beginning of each applicable month for virtual office services. Extra provided services, e.g. telephone usage/cost or secretarial support shall be charged at the end of each month. Payments are due within 7 days after date of invoice. Comodo has the right to charge Member a 2% (minimum 20€) penalty over the total invoice amount per invoice plus a 15€ administration fee, for every written reminder notice for invoices that are not paid within 14 days after receipt. This shall also apply for each 7-day period thereafter. Late payments may ultimately result in termination of this agreement, with Member’s obligation of paying all outstanding invoices remaining in full force.
Member shall inform Comodo in writing about any disagreement(s) concerning an issued invoice within 7 days after receipt thereof. Thereafter the invoice shall be deemed correct, with the full payment obligation by Member.
Upon entering this agreement, Member shall pay a 2 (two) month refundable prepayment for option “A” and a 1 (one) month refundable prepayment for options “B” and “C”, in addition to the monthly fee. The prepayment shall be utilised during the final months of this agreement.
Comodo may increase the fee for general office services and other services at the beginning of each year (January), in accordance with the listed inflationary price index figure (I.P.C.).
4. Services
a. Secretary
Secretary and reception Services can be obtained during regular working days from 09:00 till 17:00. Member shall be charged a minimum of 5 (five) minutes for services rendered. To ensure availability and timely completion Comodo advises Member to book this service in advance at the office reception.
b. Conference room
Member has the right to use the conference room – the Office secretary shall coordinate conference room availability. Member is advised to make bookings in advance. Under no circumstances shall a conference room be utilised without prior consultation with the Office secretary.
c. Managed mail
Member’s mail shall be sorted by the Office secretary and safely kept in Member’s personal office mailbox. If required mail can be forwarded to Members designated address worldwide. Further mail requirements should be discussed with the Office Reception. In the event Comodo receives more than 5 (five) items of mail per day on behalf of Member then Member shall pay a handling fee of 1,00 EUR per additional item.
For parcel receipts and/or registered mail, Comodo shall charge 1,19 EUR per item. For items larger than 2 (two) kilograms, Comodo may charge Member an additional handling fee of 0,50 EUR per kilogram.
d. Mail & Fax notification
Member shall be notified via e-mail each Friday of received mail. For packages and registered mail, Member shall be notified immediately (within one hour after receipt). Memebr can also request notification of a specific letter or parcel by phone or other available communication method.
e. Internet
Comodo shall provide Fast (wireless) Internet availability to Member at Comodo’s locations.
f. Personal phone number
Member shall inform the Office secretary when an additional personal telephone number is required. When Comodo has a number available Member is able to utilise the number within two days. If no number is available a new line and number shall be ordered. This may take several weeks.
5. Confidentiality
Member shall at all times respect the privacy and hold confident other Member’s activities within the Office. Furthermore, this offer and the contents thereof shall be treated confidentially and not be communicated with any Member or third party that is not of relevance to this agreement.
6. Non-compliance
Comodo shall communicate to a Member in writing when Member has failed to act reasonably in compliance with this agreement. At Comodo’s discretion this agreement may be terminated giving only 7 days notice to Member after Member has declined to comply fully with this agreement. All services shall be terminated beyond this date and Member shall vacate the Office.
7. Liability
Comodo shall under no circumstance be held liable by Member for damaged goods due to fire or any other cause or when for any reason business or work can not be conducted from the Office, notwithstanding wilful misconduct or gross negligence.
8. Validity
The nullity of any of the provisions herein shall affect neither the validity of the Agreement as such nor the validity of these General Terms and Conditions.
9. Jurisdiction
Concerning any legal issues or claims that may arise from this agreement, the parties hereby agree on the exclusive jurisdiction of the courts of Palma de Mallorca, and thereby expressly renounce to resort to any other jurisdiction they might be entitled to by law. Moreover, this AGREEMENT shall be governed by and construed in accordance with the laws of Spain.
