Confidentiality / Engagement
This Agreement ("Agreement") is entered into as of the date on the signature page hereto (the "Effective Date"), by and among Franchise Analyst, LLC, Jonathan Anderson, Franchise Consultant, and the party identified on the signature page hereto. The Parties (as defined below) may disclose to one another certain information, which the Parties consider to be confidential, for use by the Parties in evaluating a prospective franchise resale (the "Evaluation") with each such party when disclosing information being the "Disclosing Party" and when receiving the information being the "Receiving Party". The term "Party" (as used in the singular or plural) shall mean the parties to this Agreement and their representatives. The term "representatives" shall include a Party's affiliates and subsidiaries, and each Party's directors, officers, partners, employees, agents, stockholders, advisors, attorneys or subcontractors. NOW, THEREFORE, Franchise Analyst, LLC, Jonathan Anderson, Franchise Consultant will share with you, the Receiving Party information on franchise businesses, the Receiving Party Agrees not to directly or indirectly engage with, contact or have any conversations with the Franchisor or selling Franchisee parties without the express written consent of Franchise Analyst, LLC., and/or without introduction directly from the Franchise Analyst, LLC, Jonathan Anderson, Franchise Consultant. Any contact with a franchisor or franchisee mentioned in any format, conversation, electronic, analog or digital without acknowledgement of Franchise Analyst, LLC, Jonathan Anderson, Franchise Consultant is prohibited and I agree,
