This Agreement is effective as of the date signed (“Effective Date”) and is entered into by Franchise Analyst, LLC, Jonathan Anderson, Franchise Consultant, and the undersigned party (“Parties”). In connection with the evaluation of a prospective franchise resale (“Evaluation”), the Parties may exchange confidential, non-public, and proprietary information. Each Party may act as a disclosing or receiving party, and “Party” includes its affiliates, subsidiaries, and respective officers, directors, employees, agents, advisors, and representatives.Franchise Analyst, LLC and Jonathan Anderson, Franchise Consultant, may disclose confidential franchise-related information to the undersigned Receiving Party solely for Evaluation purposes. The Receiving Party agrees not to directly or indirectly contact, communicate with, or engage any franchisor, selling franchisee, or related party referenced in any form or medium—electronic, digital, or otherwise—without the prior written consent of, and formal introduction by, Franchise Analyst, LLC and/or Jonathan Anderson, Franchise Consultant. Any unauthorized contact is strictly prohibited and constitutes a breach of this Agreement.
