By execution of this Agreement and approval of all paperwork by VetFamily Pty Ltd (“VetFamily”), the Member Practice (“Member” or “Members”) becomes a participant in VetFamily’s program for the purchase of veterinary pharmaceuticals, laboratory services, and other products and services for use in the operation of a veterinary practice or veterinary clinic (collectively, the “Program”). VetFamily has negotiated pricing arrangements with various manufacturers, wholesalers and service providers (“Partners”), allowing members to obtain the benefit of participation in the Program. Member/s agree to allow VetFamily to act as an agent to collect, aggregate and redistribute rebates back to Members based on their purchases of partner products.

TERMS OF MEMBERSHIP

1. During VetFamily membership the Member agrees to come under VetFamily’s arranged Provider agreements.
2. VetFamily Membership enables Members to access the pricing arrangements from VetFamily Partners.
3. Members are under no obligation to use VetFamily’s Partners.
4. Once Membership has commenced, the Member must advise VetFamily in writing to opt out of the Program. Cancellation will occur at the end of the month that the form is submitted. Cancellation within a calendar quarter may mean rebates for that quarter are unable to be paid.
5. All information, data, marketing plans, materials, pricing structures and other program details supplied by VetFamily and its industry partners are strictly confidential.
6. VetFamily Members allow VetFamily to access their purchase data from VetFamily partners. This information is supplied on the understanding it will be held confidential and not disclosed to third parties without prior written consent of VetFamily.
7. Member information and data is treated with strict confidentiality by VetFamily. VetFamily is provided with the Member’s purchase data in order to manage rebates payable to the Member.
8. Member agrees to VetFamily generating a recipient created tax invoice quarterly upon payment of supplier rebates to the Member.
9. Failure to continue Membership shall not invalidate the enforceability of the Confidentiality Clause or other agreements signed in conjunction with Membership, which shall continue in full force and effect.
10. Provet is the preferred wholesale Partner of VetFamily. To gain access to the commercial terms that VetFamily has negotiated with Provet, you must commit to purchase at least 90% of your wholesale supply requirements through Provet.
11. VetFamily will provide Members with the identity and pricing of goods and services available through the Program.
12. Members will place orders directly with Partners and will pay Partners directly under terms and conditions agreed upon with Partner. Any billing disputes about goods or services obtained under the Program shall be resolved between Partner and Member. VetFamily makes no warranty and is not a legally responsible party with respect to any disputes regarding the quality of goods and services obtained from Partners.
13. Members will promptly be notified of changes in the identity of Partners and changes in pricing. VetFamily will exert all reasonable efforts to maintain a wide range of Partners, but Member acknowledges that the identity of Partners and pricing is subject to change.
14. By becoming a member you agree to the monthly membership fee as specified at the time of your onboarding with our membership team. You acknowledge and accept that these fees may be subject to change in the future. Should there be any changes to the membership fees, we will provide you with notice of such changes. Your continued use of membership after the effective date of the fee change constitutes your agreement to the new fees.
15. VetFamily agrees to honour any promotion on membership fees that is current in the market.
16. Venue for any legal proceedings with respect to this Agreement shall be held in New South Wales.
