and the Hudson Gold Team of Weichert, Realtors, 273 Grov Street, Jersey City, NJ 07302, a duly licensed real estate broker in the State of New Jersey.
This Confidentiality Agreement shall commence upon the date of execution and be valid for the lesser period of either two (2) years or the date of the next sale/passing of title, and pertains specifically to the potential sale of the Property located at: Hudson County Real Estate Portfolio ("Property")
Upon execution of this Agreement, Weichert, Realtors will offer Buyer/Investor/Broker confidential information regarding this Property. Buyer/Investor/Broker agrees that all of this information, whether written or oral, will be held in confidence by it and all of its partners, employees, and agents and will not reveal or otherwise make any of this Property’s information available to any other person or entity, except to those of receiving parties’ agents who need to review such information for purposes of determining whether Buyer/Investor/Broker will enter into the “Transaction.” Buyer/Investor/Broker agrees not to approach or try to deal directly with either (a) the current tenants; or (b) the ownership of the property.
The Parties will construe this Agreement in accordance with the laws of the State of New Jersey. If any provision of this agreement is found to be void by any court of competent jurisdiction, the remaining provisions will remain in force and effect. If either Party prevails in a court of competent jurisdiction in connection with the enforcement of the terms of this Agreement, it shall be entitled to recover all actual and reasonable expenses, attorneys' fees and costs of suit.
This Agreement contains the entire understanding between the Parties and waiver, amendment or modification of this Agreement will be subject to the above conditions and must be attached hereto.
Upon execution of this Agreement by signature below, the Parties agree that any individual, firm, company, associates, corporation, joint ventures, partnerships, subsidiaries, employees, agents, heirs, assign, designees, or consultants of which the signee is an agent, officer, heir successor, assign or designee is bound by the terms of this Agreement.
ACKNOWLEDGED, AGREED AND ACCEPTED:
