Ladies and Gentlemen:
The undersigned hereby indicates an interest in making a capital contribution to, CrossWork Midas, LLC (the “Fund”), registered in the State of Delaware, in the amount set forth under the undersigned’s signature below (the “Commitment”). Together with this agreement, the undersigned is delivering a check (or transfer of funds) in an amount equal to the Commitment, payable to the order of “CrossWork Midas, LLC". The offering is made exclusively through the offering documentation at midasppm.crosswork.us. By making a contribution to CrossWork Midas, LLC you are agreeing with all the terms therein.
For United States investors, in order to enable the Fund to meet the requirements of Regulation D under the Securities Act of 1933, as amended with regard to accredited investors, the undersigned hereby represents that (1) the undersigned’s net worth is at least $1 million or (2) the undersigned had an individual income in excess of $200,000 in each of the two most recent years or joint income with their spouse in excess of $300,000 in each of those years and has a reasonable expectation of reaching the same level in the current year or (3) the undersigned is an “accredited investor” as defined in Section 2(15) of the Securities Act of 1933, as amended and in Rule 501 promulgated thereunder. The undersigned agrees to provide proof of their accredited investor status.
The Fund’s acceptance of the Commitment shall be conditioned on among other things, the Fund’s and the undersigned’s acceptance of key documentation which may be required by the Fund to meet unique, jurisdictional regulatory and legal requirements. Prior to the acceptance the undersigned’s funds shall be held in and escrowed in a separate account from the Fund’s account.
