CONTENT LICENSE AGREEMENT

Nexstar Media Inc. and our affiliate companies (collectively “Nexstar”) own, operate, program or provide services to 199 television stations, NewsNation, 122 websites and 316 mobile apps throughout the United States.

You recently posted and publicly made available content found here:

Nexstar would like to use your Content to make it available on our Station KSWB via broadcast, our Website fox5sandiego.com, the other television stations and websites we own, operate or provide services, web and mobile applications, our branded social media pages, NewsNation, The Hill, Best Reviews, and any other property that is provided by or managed by Nexstar, including any type of property that may be available in the future, as well as our third party syndication partners’ network of websites, applications, social media pages, and other properties (collectively, our “Properties”).

Before we use your Content we need you to confirm that you are the owner of the Content and that we have your permission (license) to allow Nexstar to use your Content, which are both covered in the next two paragraphs.

You warrant and represent that you are over 18 years of age and the owner of the Content, that the Content was created by you, that you have all necessary rights in and to the Content to grant the license below, and no third party can object to your grant of the license below (including but not limited to any person appearing in the Content).

You hereby grant Nexstar Media Inc., its affiliate companies, and their successors, licensees and assigns, for good and valuable consideration, receipt and sufficiency of which you hereby acknowledge, a non-exclusive, irrevocable, sublicensable, perpetual, royalty-free license to use, make copies, retain, transmit, reformat, display, embed, broadcast, distribute and monetize the Content on the Properties. Nothing in this agreement shall (i) interfere with other uses of the Content by you; (ii) obligate Nexstar to use your Content; or (iii) entitle you to any payments. If Nexstar does use your Content, you agree to indemnify, defend and hold Nexstar and its affiliates harmless from our use of your Content on our Properties.

This license agreement shall be interpreted under the laws of the State of New York without regard to the conflicts of law provisions thereof. The illegality, invalidity or unenforceability of any provision of this agreement shall in no way affect the validity or enforceability of any of the remainder of this agreement, which shall be enforced to the maximum extent permitted by law.
