  • 1.            Application of Terms and Conditions

    Currency Research organises and promotes conferences and events for the cash and payments industry. It provides benefits to Sponsors supporting these conferences and events, subject to these Standard Terms and Conditions.

     

    2.            Definitions

    Currency Research (referred to as ‘CR’ from hereon): the company that provides services related to organising and promoting conferences and events for the cash and payments industry. CR is incorporated as Currency Research (USA) Corp, PO Box 863627, Plano, TX 75086, USA, and Currency Research Malta Limited, Ewropa Business Centre, Level 3, Suite 701, Dun Karm Street, Birkirkara BKR9034, Malta.

    Sponsor: the company that supports (financially and otherwise) the conference or event organised by CR, receiving certain benefits in return.

    Event: a conference or similar event (in person or virtual) bringing together members of the cash and payments industry and other interested parties.

    Sponsor Prospectus: a document, specific to each Event or a bundle of Events, detailing the summary of benefits, charges and commitments agreed to by CR and the Sponsor.

    Sponsorship: the services and benefits provided by CR, and the payment and promotional services provided by the Sponsor.

     

    3.            Basis of Sponsorship

    The services and benefits to be provided by CR to the Sponsor, as well as the payments and other contributions to be made by the Sponsor, are detailed in the Sponsor Prospectus. Any variations to those Sponsorship terms, or to these Standard Terms and Conditions, shall not be binding unless agreed in writing between the Sponsor and CR.

     

    4.            Fees and Payment

     Unless otherwise agreed in writing, CR may invoice The Sponsor for services and deliverables in full and in advance commencing with their enrolment.  The Sponsor must pay each invoice upon receipt, or by such date as expressly agreed in writing. 

    If payment is not received within 30 days after due date the invoice will be subject to a late payment fee of 5% of the balance outstanding.  An additional 5% of the outstanding amount, including any late payment fees, will be due after each additional period of 30 days. Any sponsor fees remaining due at the start of the event will incur an additional 10% penalty. 

     

    CR may suspend the provision of any services or access to any deliverables if agreed payments have been due for more than 30 days.  CR may recover from The Sponsor any reasonable costs incurred in collecting overdue payments.

     

    5.            Changes to the Event

    CR reserves the right to (a) change the format, date, timing, venue and/or content of an Event; or (b) cancel an Event, in each case at any time and will provide you with notice of the same as soon as is reasonably practicable. Where CR changes the format, date, timing, venue or content of an Event the Sponsorship Benefits and/or Services will be delivered for the Event as altered. The Sponsor will not be entitled to a refund.

     

    Where CR cancels an Event, CR will provide the Sponsor with a credit equal to an amount reflecting total sums paid at the date of notification minus the value of any Sponsorship Rights and/or Services received prior to such date (calculated in good faith).

     

    CR will always use their best endeavours to avoid the cancellation of or substantial changes to an event, while at the same time considering external factors that might require such action.

     

    6.            Intellectual Property

    All Intellectual Property Rights in anything CR supplies are CR’s property or the property of their third party licensors, and will not transfer to the Sponsor by Contract. CR provides a royal-free license to the Sponsor to use the CR logo and CR event logo and other materials provided specifically for the purpose of promoting the Sponsorship. 

     

    All Intellectual Property Rights in anything the Sponsor supplies are the Sponsor’s property or the property of their third party licensors, and will not transfer to CR by Contract. The Sponsor provides a royal-free license to CR to use the Sponsor logo and other materials provided specifically for the purpose of promoting the Sponsorship. 

     

    7.            Insurance and Indemnity

    Each party must hold sufficient insurance to cover its potential liabilities under the Contract. This includes (without limitation) any insurance required by applicable law.

     

    The Sponsor acknowledges and agrees that they will indemnify Currency Research against any damages incurred by Currency Research as a result of a third party claim arising from the Sponsor’s  Event participation, except to the extent such damages were directly caused by Currency Research.

     

    8.            Liability

    CR are not responsible for goods or services which the Sponsor may purchase from third parties.

     

    Any claim for indirect, special or consequential loss or damage of any kind or for any loss of business or profit, revenue, anticipated savings, contracts, loss of or corruption to data, loss of use, loss of goodwill, interruption of business or claims of other parties or other similar pecuniary loss howsoever arising, even if Currency Research has been advised of their possibility, is expressly excluded.

     

    To have a valid claim against Currency Research relating to the Sponsor’s Event registration or participation, you must notify Currency Research within one month after the event ending date. To the extent permitted under applicable law, you agree to exonerate Currency Research from any liability relating to claims notified after that time limit.

     

    In any case, liability is limited to the price of the Sponsorship as detailed in the Sponsor Prospectus.

     

    9.            Termination

    Each party may terminate the Sponsorship, providing one or more of the following conditions is met:

    a)            immediately if the other party suffers an insolvency event; or

    b)            immediately, if the other party commits a breach of any material term of a Contract and (if such breach is remediable) fails to remedy that breach within a period of thirty (30) Business Days of being notified in writing that it is required to do so;

    On rightful termination of the Sponsorship by CR, the Sponsor shall immediately pay to CR all of CR’s outstanding unpaid invoices (together with any accrued interest if such invoices are outside their payment terms) and, in respect of Services supplied but for which no invoice has been submitted, CR may submit an invoice, which shall be payable immediately on receipt of invoice.

    On rightful termination of the Sponsorship by the Sponsor, CR shall immediately pay to the Sponsor:

    i)             before CR started promoting the Sponsorship, 100% of the payments already made by the Sponsor;

    ii)            after CR started promoting the Sponsorship, but before the actual Event takes place, 70% of the payments already made by the Sponsor;

    iii)           during the Event, 10% of the payments already made by the Sponsor;

    iv)           after the Event, no payment will be made.

     

    10.         Copyright

    By participating in the Event as a speaker, attendee or Sponsor, for all contributions provided for the event (e.g. oral presentation, print materials or handouts, PowerPoint slides, other digital media), you grant Currency Research an irrevocable, royalty-free, non-exclusive, sub-licensable, perpetual license to reproduce, use and distribute the contributions by any means (e.g. audio, video, photography, printed materials, digital media). You retain ownership of your pre-existing copyrights contained in the contributions. You warrant that the contributions are either owned, in the public domain, or licensed with full authority from the owner and grant Currency Research the rights identified herein and that the contributions contain nothing defamatory or otherwise unlawful.

     

    11.         Data Protection and Privacy

    CR operates in compliance with GDPR rules, and therefore requires the Sponsor to also use data provided to them by CR, particularly delegate and speaker details, under existing GDPR legislation and other data protection laws that may apply. All personal data provided may only be used by the Sponsor in the context of the Sponsorship. For the Sponsor to be using personal data beyond the purpose of the Sponsorship, as well as promoting and attending the Event, it is the Sponsor’s responsibility to seek agreement from the holder of such personal data.

    12.         Force Majeur

    Neither Party shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause that is beyond the reasonable control of that Party. Such causes include, but are not limited to: power failure, Internet Service Provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the Party in question.

     

    13.         Severance

    The Parties agree that, in the event that one or more of the provisions of these Terms and Conditions or the Contract are found to be unlawful, invalid or otherwise unenforceable, that / those provisions shall be deemed severed from the remainder of these Terms and Conditions (and, by extension, the Contract). The remainder of these and the Contract shall be valid and enforceable.

     

    14.         Applicable Law

    These Terms and Conditions, the Sponsorship and the Event shall be governed by, and construed in accordance with, the laws of the State of Texas, USA.
