This Agreement, made on the date executed below by and between Life Recaptured, Inc., hereinafter referred to as “Organization”, and the undersigned named individual, representing self and or company, who's date of birth, company name, address, and phone number has been entered within, hereinafter referred to as “Contractor.”
- If Contractor is charged with or has committed a crime or engages in any actions involving moral turpitude or which may bring Organization or any of its affiliates under ridicule, contempt, scandal, public disrepute, or which shock, insult, or offend the people of this nation or any class or group thereof or reflects unfavorably upon Organization, or which in the judgment of Organization is or may be detrimental to Organization or its affiliates, then Organization may immediately terminate this Agreement by written notice to Contractor.
- Contractor and Organization agree that they will not disparage or speak unfavorably about the other Party to third parties or in public or otherwise take any action or make any comment whatsoever that would harm, injure, or potentially harm, or injure the goodwill of the Party.
- Contractor agrees not to: (a) disclose Confidential Information to any third party; (b) make or permit to be made copies or other reproductions of Confidential Information, or (c) make any commercial use of Confidential Information. “Confidential Information” for purposes of this Agreement shall mean, proprietary information relating to Organization’s business including but not limited to business and financial records, customer lists, intellectual property, address and or location of safe homes, proprietary data, security measures, new products or services, forecasts, or any other proprietary business information that, if disclosed, could affect the business of the Organization.
- Contractor agrees it shall immediately return all original materials provided by Organization and any copies, notes, or other documents in Contractor’s possession pertaining to Confidential Information, upon the written request of Organization.
- Contractor agrees its duty to hold Confidential Information in confidence shall remain in effect until whichever of the following occurs first: (a) Organization sends Contractor written notice releasing it from its duty to hold information confidential, or (b) Confidential Information disclosed under this Agreement ceases to be confidential, as defined by law.
- The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights.
- This Agreement applies to all contractors associated with and/or involved in the activities of the Organization. This includes all activity associated with the Organization at its main office, safe home(s), and any other locations and activities associated with the Organization or its affiliates. All data, materials, knowledge, and information generated through the Organization, or having to do with the Organization, or persons associated with activities, is considered to be privileged and Confidential Information and is not to be disclosed to any third party.
- Any disclosure, misuse, or transmission of materials and Confidential Information whether intentional or unintentional could be cause for dismissal and /or prosecution according to applicable Florida laws. Contractor agrees and understands that disclosure of such Confidential Information may cause irreparable harm to the Organization and its participants.
