This Guaranteed Sales Agreement ("Agreement") is entered into as of the Effective Date (defined below), by and between:
American Leads Network ("Company"), doing business as Sales Source Media (DBA Sales Source Media)
Registered Address: 1942, Broadway STE 314C City, State, ZIP: Boulder, CO 80302
Authorized Signatory: Steven Knights Title: CEO, and Client ("Client" or "Agent/Agency").
Collectively referred to as the "Parties."
1. EFFECTIVE DATE
This Agreement becomes effective upon receipt of payment from the Client ("Effective Date").
2. SCOPE OF SERVICES
The Company agrees to provide a Guaranteed Sales Program across multiple insurance verticals, including but not limited to:
Final Expense Insurance
ACA (Affordable Care Act / Obamacare)
Medicare (Advantage & Supplement Plans)
Indexed Universal Life (IUL)
Term Life Insurance
Under 65 Private Health Insurance
2.1 Sales Package
The Company guarantees delivery of a fixed number of completed sales as agreed upon in the selected package ("Sales Package").
A "Completed Sale" ("Valid Sale") is defined as a customer who:Successfully signs an electronic application (E-App) through the Client; and
Pays the initial premium (first payment), where applicable based on product type.
For ACA and certain Medicare enrollments where no immediate premium is required, a sale will be considered valid upon successful enrollment confirmation and carrier acceptance.
A sale will only be counted once all applicable conditions are fully met and verified.
3. MARKETING & LEAD GENERATION PROCESS
The Company shall execute the following services:
3.1 Advertising Strategy & Execution
Design and development of advertising creatives.
Submission of ads to Client for approval prior to launch.
Deployment of campaigns across multiple digital channels, including but not limited to:Social media platforms
In-app advertising networks
3.2 Campaign Optimization
Continuous monitoring and optimization of campaigns.
Adjustments based on performance metrics.
Ability to pause/unpause campaigns upon Client request.
4. LEAD MANAGEMENT & QUALIFICATION
4.1 Inbound Lead Handling
All interested prospects will contact the Company via inbound calls or digital responses.
4.2 Pre-Qualification Process
The Company will conduct a structured pre-qualification process using:
Multiple call attempts
Email communication
4.3 Data Collection
The Company will collect and verify the following customer information prior to transfer:
Full Name
Phone Number
Residential Address
Age / Date of Birth
Health Conditions
Last 4 digits of Social Security Number (where applicable)
Height and Weight
Banking Information (Checking/Savings & Bank Name)
Beneficiary Details
4.4 Sales Transfer
Once a prospect is deemed purchase-ready, the Company will transfer the customer to the Client for policy enrollment.
5. SALES DELIVERY TIMELINE
Sales delivery will begin within 24 to 48 hours after payment confirmation.
Delivery timelines may vary depending on campaign performance, compliance checks, and market conditions.
6. SALES REPLACEMENT GUARANTEE
6.1 Replacement Policy
Any sale that cancels within 30 days of signup will be eligible for replacement.
6.2 Replacement Conditions
Client must submit a cancellation notification via email.
Replacement will be processed after verification of cancellation.
6.3 Product-Specific Conditions
Replacement eligibility applies to all verticals; however:ACA / Medicare enrollments must show disenrollment or invalidation.
Life insurance products must show policy lapse or cancellation.
7. CRM & TECHNOLOGY ACCESS
The Company will provide access to a call tracking CRM system, which includes:
Call tracking
Call recordings
Lead management dashboard
Campaign control (pause/unpause)
Team management tools
Sales tracking
Outbound follow-up capabilities
8. CLIENT REQUIREMENTS
To participate in the Guaranteed Sales Program, the Client must:
8.1 Licensing
Hold active licenses in a minimum of 5 U.S. states (where applicable based on product line).
8.2 Carrier Access
Be contracted with at least 3 insurance carriers relevant to the selected product(s).
8.3 Experience Requirement
Possess a minimum of 2 years of telesales experience in insurance sales.
8.4 Product Compliance
Client must be fully compliant and certified (where required) to sell ACA, Medicare, Life, or related insurance products.
9. CLIENT RESPONSIBILITIES
The Client agrees to:
Respond promptly to transferred leads.
Maintain compliance with all federal and state regulations.
Ensure proper handling of sensitive customer information.
Provide timely approvals for marketing materials.
10. PAYMENT TERMS
Full payment is required upfront unless otherwise agreed in writing.
No refunds will be issued once campaign execution has commenced.
11. COMPLIANCE & DATA PROTECTION
Both Parties agree to comply with all applicable data protection laws.
Client is responsible for secure handling of customer data post-transfer.
12. NON-CIRCUMVENTION & NON-SOLICITATION
The Client agrees not to directly or indirectly contact, solicit, market to, or attempt to transact with any leads, prospects, or customers generated by the Company outside of the scope of this Agreement.
The Client shall not bypass, circumvent, or attempt to bypass the Company to avoid fees or obligations.
This clause shall remain in effect for 24 months from the Effective Date.
13. CHARGEBACK, FRAUD & PAYMENT PROTECTION
Any chargebacks, payment disputes, or fraudulent claims initiated by the Client will constitute a material breach of this Agreement.
The Company reserves the right to suspend all services immediately upon detection of suspicious or fraudulent activity.
The Client is responsible for ensuring all payments made are authorized and legitimate.
14. LIMITATION OF LIABILITY
The Company does not guarantee policy retention beyond initial enrollment.
The Company is not liable for Client’s inability to close transferred prospects.
The Company shall not be responsible for carrier underwriting decisions.
15. TERMINATION
This Agreement may not be terminated once sales delivery has commenced.
Any termination requests must be submitted in writing.
16. NON-DISPARAGEMENT
Both Parties agree not to make any false or damaging statements regarding the other Party.
17. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by the laws of the State of Colorado, United States (unless otherwise agreed in writing).
Any disputes arising under this Agreement shall be resolved through binding arbitration in the State of Colorado.
This Agreement shall be governed by and construed in accordance with applicable U.S. laws.
18. ENTIRE AGREEMENT
This document constitutes the entire Agreement between the Parties and supersedes all prior agreements or understandings.
19. ACKNOWLEDGMENT
By signing this Agreement, the Client confirms understanding and acceptance of all terms, including the Guaranteed Sales structure, replacement policy, and operational process.
