  • Step 1 of 6 | ATS Service Agreement

    Each client has a choice of default "Gold Level Service" or "Platinum Level Service" per executed contract. This is not a time-term contract, but rather a fee agreement and authorization to perform work. We do NOT require the Agent-partner to submit an online form to send us an executed contract.  Our policy is once we receive an executed contract via email from our Agent-Partner it constitutes an authorization to perfom work and receive subsequent compensation upon closing and funding.

    In this agreement, the registering Agent signing up is referred to as either the "Agent-partner" or the "Agent-client."  Agent Transaction Solutions agrees to the following service standards in addition to the service level packages' minimum service agreement details.

    1. To be in consistent communication, and dedicated to the Agent-partner's files and business during regular business hours; Monday through Friday, 9:00 AM CST – 6:00 PM CST excluding Federal Reserve Bank Holidays.
    2. To ensure communication received after regular business hours and on weekends is promptly tended to the next business day.
    3. To copy the Agent-partner on ALL written communication.
    4. To call and check in with the Agent-partner a minimum of once weekly at a committed mutually agreed upon time to review files, discuss business, troubleshoot potential issues, and celebrate successes.
    5. To check-in and review service standards at the following critical milestones throughout our partnership; 3, 10, 25, 50, and every 100 files closed.
    6. To treat all parties to the transaction with respect and honesty with the mutually beneficial goal of a successful closing, and with specific and actionable communication and follow up.
  • 1. $300 GOLD LEVEL SERVICE PER SELLER -OR- BUYER FILE, FINANCING -OR- CASH FILE

    1. **SHARED ATS-GOOGLE CALENDAR
      1. One Google calendar will be created, maintained, and shared to the Agent-client for contract events of all files in escrow. 
      2. Critical dates and tasks are synced automatically to the calendar as the Transaction Coordinator makes changes in our software.
      3. This is a 'view only' calendar and is available to the Agent-partner for review purposes only.
      4. Email reminders via the calendar are available if requested.
    2. **UPON RECEIPT OF EXECUTED CONTRACT
      1. Licensed Realtor/Transaction Manager processes contract into our software and sync to the Agent-partner's shared ATS-Google calendar.
      2. As an additional set of eyes, check for accuracy and presence of all TREC or LREC docs required by the contract.
      3. Communicate discrepancies to Agent-partner and at the Agent-partner's direction, amends changes as needed.
      4. Deliver a professional introduction with attached Agent-partner branded Transaction Summary PDF with detailed contract, task, and critical date deadline information to recipients in the following two separate emails having cc'd the Agent-partner:
        1. One to our Agent-partner's clients, title company (plus loan officer and processor if a Buyer file), and having cc'd our Agent-partner.
        2. One to the co-operating agent, TC and/or assistant on the other side, loan officer, and processor.
    3. **AMENDMENTS
      1. Drafting requests will be accepted through text during business hours (preferred) or email outside of business hours.
      2. Amendments submitted during business hours will be routed for signatures the same day and followed through to escrow as needed.
      3. Amendments submitted after hours will be routed the next day before 11:00 AM CST.
      4. Drafting and routing of 'non-negotiated' amendments during the Inspection Period:
        1. Is the responsibility of the Agent-client.
        2. The TC may route the final agreed to amendment for signatures and execution, and delivery to the appropriate parties.
    4. **DOCUMENT COLLECTION AND/OR ROUTING
      1. Manage collection, routing  and/or delivery of docs related to the transaction such as the following:
        1. Escrowed contract, earnest money and/or option fee receipts and buyer letters of pre-qualification.
        2. Existing survey/elevation certificate (and T-47 in Texas), and new survey/elevation certificate ordering and tracking.
        3. All notices of seller’s disclosure as required by the contract and seller disclosure notice attachments.
        4. HOA docs including resale certificates and subdivision information, elevation certificates, insurance summaries, CCR's, bylaws, rules, finanicials, etc.
        5. ALL TREC/LREC and Texas REALTORS®/Louisiana REALTORS® forms and other documents as required by the broker and/or required by the transaction.
    5. **BROKER COMPLIANCE AND COMMISSIONS
      1. Continuously organize and submit file to Broker Compliance.
      2. Follow up for corrections and re-submissions.
      3. Provide a detailed breakdown of the commission request for an accurarcy confirmation by the Agent-partner prior to submitting for a commission disbursement authorization from the broker:
        1. Sales price
        2. Closing date
        3. Commission rate
        4. Team split
        5. Agent Referrals
      4. Create necessary paperwork to process and submit the CDA requeset to the broker, and track accuracy and delivery to the closing officer.
    6. **THROUGHOUT THE TRANSACTION
      1. Maintain consistent communication with Title Company. notify and collect updates and documents from other Agent as needed.
      2. Work with Buyer-clients to educate them on available home warranties, collect their order, place order, and forward order confirmation with the title company.
      3. Provide Agent-client with weekly status updates of their Transactions electronically.

    2. $450 PLATINUM LEVEL SERVICE PER SELLER FINANCING -OR- BUYER FINANCING FILE, CASH FILES $350

    1. The Platinum Service package includes all the features of the Gold Level Service package, plus one additional status update weekly, and layers in a higher level of client-care service and transaction coordination.
    2. Work closely with Lender to track critical appraisal dates; ordering, confirmation of scheduling, and delivery date tracking of appraisal.  Followup on re-inspections and progress of lender required repairs.
    3. Ensure clients are working with Lender to clear loan conditions, selecting insurance provider, and checking that financing approval deadline is met, and preliminary CD is signed on time.
    4. Work to collect paid invoices, receipts, and/or evidence of repairs as needed to satisfy any repairs required by the lender or as written between the parties.
    5. To help ensure a timely closing and communication to all parties; track clear to close from lender, ensure documents are delivered to title, and final CD is disclosed to all parties prior to closing.
    6. Concierge style notices available upon request; provide utility connection service contacts to buyers, collect information from sellers which aide buyers at move in, notify sellers or co-op listing agent re. inspection date/time, and with best practices to prepare for inspections.

    3. $600 DIAMOND LEVEL SERVICE PER SELLER FINANCING -OR- BUYER FINANCING FILE, CASH FILES $500

    1. The DIAMOND FILE TC service package includes all the features of the Gold and Platinum Level Service packages, and layers in an additional level of agent and buyer or seller client-care and transaction coordination services. Pricing is per side, per financing file closed.

    2. The Power of Enhanced Communication...
      Your transaction coordinator will provide the buyer and/or seller weekly easy to read "CLIENT-CARE" UPDATES of their purchase or sale containing key information relevant to the transaction; what's happened, what's coming up, and with key contract event deadline progress.

    3. Other touch-points as it pertains to each specific transaction include; send a heads up to both buyer clients and seller clients re. what to expect and how to prepare for the INSPECTION PROCESS, disclose a list of agent's specific insurance agent referrals to buyer clients, and ensure the lender receives the INSURANCE BINDER in a timely manner, ensure title has received a completed TITLE COMPANY QUESTIONNAIRE from the buyer or seller client as needed, provide INSTRUCTIONS TO PREPARE FOR CLOSING such as what to bring, who to speak with regarding wire transfers, where to go, etc.

      Create and provide two BRANDED SOCIAL MEDIA content graphics; one at time of Contract Pending and one at time of Closed & Funded.  Upon the agent prepping their client at closing for this communication, email the client a REQUEST FOR REVIEW or testimonial on behalf of their agent with specific instructions where to leave their review, and provide one follow up touch.

    “Both Sides” files 25% off each side, no termination fees for any file terminated at any time. This is not a time-term contract, but rather a fee agreement and authorization to perform work.
  • 4. $75 OFFER DRAFTING A LA CARTE SERVICE

    1. Licensed Realtor/Transaction Manager will draft purchase offers with necessary addendum as required by TREC/LREC, Texas REALTORS®/Louisiana REALTORS® and collect signatures from agent-client buyer clients, and route to cooperating agent upon request.
    2. Work with Agent-partner to revise offers as needed and send for signatures through to execution and escrow, withdrawal of offer, or seller's non-acceptance of offer.
    3. **OFFER DRAFTING TERMS OF SERVICE
      1. Requests submitted prior to 4:00 PM CST Mon-Fri will be routed same day. After hours will be routed next business day before 12:00 PM CST.
      2. The TC MUST receive a call or text from the Agent-partner to confirm receipt of the request, and the request is considered received when contact is made.
      3. Requests are capped at 4 per month per solo Agent-partner (does not apply to teams).
      4. Requests MUST be ordered at www.ctcmanagers.com by selecting the Realtor Portal link and choosing the Offer Draft Request order form.
      5. Invoice is due payable at time of 1st routing to Agent-partner's clients and ATS will invoice the Agent-partner via Wave Accounting.
  • 5. ATS TERMS OF SERVICE

    1. NO sign-up or onboarding fees.
    2. NO termination fees for files which terminate at any time.
    3. All "both sides" files will be 25% off each fee per side.
    4. The fee schedule above WILL NOT change during the 12 months following date of this agreement.
    5. Work begins upon email receipt of an executed contract as authorization from the Agent-partner to perform work.
    6. There is no requirement in this agreement that ATS shall obtain 100% of the Agent-partner's executed contracts.
    7. All transaction coordination fees are due at time of closing and funding, payable first through CDA, or invoiced online by ATS via Wave Accounting should payment through CDA not be available.
    8. A La Carte work begins after Agent-partner has successfully submitted their order at www.ctcmanagers.com via the Realtor Page link, and confired the order submission via text or voice with their transaction coordinator.
    9. All A La Carte fees are invoiced at time of completed initial offer draft submitted to buyer, and invoiced online by Agent Transaction Solutions via Wave Accounting.
    10. Agent Transaction Solutions LLC is contracted on retainer at will, executed "contract-to-contract" basis by the agent-client.
    11. The Agent-partner may discontinue service at any time, and with prorated payment for services rendered on any open files.
  • Acknowledge Receipt of ATS Service Agreement

    This is not a time-term contract, but rather a fee agreement and authorization to perform work.
  • Section 2 of 6 | Agent-Partner Agreement

    Note; best practices for working with a TC, hours of operation, billing, etc. This is not a time-term contract, but rather a fee agreement and authorization to perform work. We will re-review this and other information on this registration during your onboarding call.  Carefully review this information.  

  • The Agent-partner agrees to partner with their Transaction Manager to ensure open communication for a smooth transaction.  Overall, overly forward emails with documents that belong in your file to your TC. If you are not sure it belongs, it does, and should be forwarded. The more in your online file the better!

    1. DURING THE CONTRACT OPENING PERIOD
      1. Agent-partner will email their Transaction Coordinator a copy of executed contracts as soon as possible with a pre-qualification letter and/or lender contact information for both Buyer and Seller files (or add to their online file).
      2. Agent-partner will update MLS as needed to change ALL statuses of listings (it is a MLS violation to share MLS login information, and with fines up to $5,000 depending on local MLS rules).
    2. DURING THE CONTRACT INSPECTION PERIOD
      1. The Buyer Agent-Client orders and schedules inspections, and coordinates with the listing agent as needed.
      2. Drafts all major repair and other vague 'non-negotiated' amendments, and routes to the parties as needed.
      3. Agent-partner will text or email when a file is terminating so their Transaction Coordinator can close the file out in our system and be on the lookout for executed termination documents for the compliance file.
    3. DURING THE CONTRACT MID-POINT/PRE-CLOSING PERIOD
      1. Agent-partner will reply to Commission Summary notices that they are correct or with specific changes to be made; referrals need to be added, etc.
      2. Agent-partner will schedule and confirm closings with escrow officer and client(s).
    4. DURING THE COURSE OF THE ONGOING RELATIONSHIP
      1. Agent-partner will maintain consistent communication with their client(s).
      2. As termination documents are highly time sensitive and involve client's funds, drafting of and routing of release of earnest money and termination forms is suggested to be the responsibility of the Agent-partner whenever possible.
      3. Agent-partner will ensure when they see any communication that belongs in their file that to forward to their Transaction Coordinator if the TC is not copied on the email; title commitments, receipts, inspection reports, escrowed amendments, etc.

  • Section 3 of 6 | File Access and Other Information

    Provide information for only the platforms we need to manage your files. We recommend first changing access codes that are the same as those you use for personal accounts. We will never ask your for email account or MLS access information. Protection of sensitive data is of utmost priority to Agent Transaction Solutions.

  • Section 4 of 6 | Our Non-Disclosure and Non-Solicitation Promise to You

    Since you're providing the file storage application information above, this agreement is to protect you, your data, and your client relationships. Should you wish to provide your own NDNS agreement, we welcome you to do so. Please note, we cannot begin work without returning a fully executed agreement. Carefully review this information.

    1. Customer data, client data, business practices, lead generation sources, access codes for online document storage, and other highly confidential information may be disclosed to Agent Transaction Solutions LLC to determine whether Agent Transaction Solutions LLC could assist the registering agent-client with real estate agent licensed transaction coordinator related services in the states of Texas, USA, and Louisiana, USA.
    2. This Non-disclosure Agreement (this "Agreement") is made effective as of the date of this agent-client registration and subsequent acceptance by Agent Transaction Solutions LLC (the "Effective Date"), by and between:
      1. Delivered by the Agent-partner as the "OWNER"
      2. Received by Agent Transaction Solutions LLC as the "RECIPIENT"
    3. The parties agree to the information detailed below this paragraph as the Owner has requested and the Recipient agrees that the Recipient will protect the confidential material and information which may be disclosed between the Owner and the Recipient. 
  • I. CONFIDENTIAL INFORMATION

    The term "Confidential Information" means any information or material which is proprietary to the Owner, whether or not owned or developed by the Owner, which is not generally known other than by the Owner, and which the Recipient may obtain through any direct or indirect contact with the Owner. Regardless of whether specifically identified as confidential or proprietary, Confidential Information shall include any information provided by the Owner concerning the business, technology and information of the Owner and any third party with which the Owner deals, including, without limitation, business records and plans, trade secrets, technical data, product ideas, contracts, financial information, pricing structure, discounts, computer programs and listings, source code and/or object code, copyrights and intellectual property, inventions, sales leads, strategic alliances, partners, and customer and client lists. The nature of the information and the manner of disclosure are such that a reasonable person would understand it to be confidential.

    A. "Confidential Information" does not include:
    - matters of public knowledge that result from disclosure by the Owner;
    - information rightfully received by the Recipient from a third party without a duty of confidentiality;
    - information independently developed by the Recipient;
    - information disclosed by operation of law;
    - information disclosed by the Recipient with the prior written consent of the Owner; and any other information that both parties agree in writing is not confidential.

    II. PROTECTION OF CONFIDENTIAL INFORMATION

    The Recipient understands and
    acknowledges that the Confidential Information has been developed or obtained by the Owner by the investment of significant time, effort and expense, and that the Confidential Information is a valuable, special and unique asset of the Owner which provides the Owner with a significant competitive advantage, and needs to be protected from improper disclosure. In consideration for the receipt by the Recipient of the Confidential Information, the Recipient agrees as follows:

    A. No Disclosure. The Recipient will hold the Confidential Information in confidence and will not disclose the Confidential Information to any person or entity without the prior written consent of the Owner.

    B. No Copying/Modifying. The Recipient will not copy or modify any Confidential
    Information without the prior written consent of the Owner.

    C. Unauthorized Use. The Recipient shall promptly advise the Owner if the Recipient
    becomes aware of any possible unauthorized disclosure or use of the Confidential Information.

    D. Application to Employees. The Recipient shall not disclose any Confidential Information to any employees of the Recipient, except those employees who are required to have the Confidential Information in order to perform their job duties in connection with the limited purposes of this Agreement. Each permitted employee to whom Confidential Information is disclosed shall sign a non-disclosure agreement substantially the same as this Agreement at the request of the Owner.

    III. UNAUTHORIZED DISCLOSURE OF INFORMATION - INJUNCTION

    If it appears that the Recipient has disclosed (or has threatened to disclose) Confidential Information in violation of this Agreement, the Owner shall be entitled to an injunction to restrain the Recipient from disclosing the Confidential Information in whole or in part. The Owner shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages.

    IV. NON-CIRCUMVENTION

    For a period of AD INFINITUM after the end of the term of this Agreement, the Recipient will not attempt to do business with, or otherwise solicit any business contacts found or otherwise referred by Owner to Recipient for the purpose of circumventing, the result of which shall be to prevent the Owner from realizing or recognizing a profit, fees, or otherwise, without the specific written approval of the Owner. If such circumvention shall occur the Owner shall be entitled to any commissions due pursuant to this Agreement or relating to such transaction.

    V. NO WARRANTY

    The Recipient acknowledges and agrees that the Confidential Information is provided on an "AS IS" basis. THE OWNER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE CONFIDENTIAL INFORMATION AND HEREBY EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL THE OWNER BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH OR ARISING OUT OF THE PERFORMANCE OR USE OF ANY PORTION OF THE CONFIDENTIAL INFORMATION. The Owner does not represent or warrant that any product or business plans disclosed to the Recipient will be marketed or carried out as disclosed, or at all. Any actions taken by the Recipient in response to the disclosure of the Confidential Information shall be solely at the risk of the Recipient.

    VI. LIMITED LICENSE TO USE

    The Recipient shall not acquire any intellectual property rights under this Agreement except the limited right to use as set forth above. The Recipient acknowledges that, as between the Owner and the Recipient, the Confidential Information and all related copyrights and other intellectual property rights, are (and at all times will be) the property of the Owner, even if suggestions, comments, and/or ideas made by the Recipient are incorporated into the Confidential Information or related materials during the period of this Agreement.

    VII. INDEMNITY

    Each party agrees to defend, indemnify, and hold harmless the other party and its officers, directors, agents, affiliates, distributors, representatives, and employees from any and all third party claims, demands, liabilities, costs and expenses, including reasonable attorney's fees, costs and expenses resulting from the indemnifying party's material breach of any duty, representation, or warranty under this Agreement.

    VIII. ATTORNEY'S FEES

    In any legal action between the parties concerning this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.

    IX. TERM

    The obligations of this Agreement shall survive AD INFINITUM from the Effective
    Date or until the Owner sends the Recipient written notice releasing the Recipient from this Agreement. After that, the Recipient must continue to protect the Confidential Information that was received during the term of this Agreement from unauthorized use or disclosure for an additional AD INFINITUM.

    X. GENERAL PROVISIONS

    This Agreement sets forth the entire understanding of the parties regarding confidentiality. Any amendments must be in writing and signed by both parties. This Agreement shall be construed under the laws of the State of Texas. This Agreement shall not be assignable by either party. Neither party may delegate its duties under this Agreement without the prior written consent of the other party. The confidentiality provisions of this Agreement shall remain in full force and effect at all times in accordance with the term of this Agreement. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining portions of this Agreement shall remain in full force and effect and construed so as to best effectuate the original intent and purpose of this Agreement.
