FOREVER SWIM WEEK GENERAL CONTENT RELEASE FORM
1. I (known as "Attendee") for good and valuable consideration plus being allowed to participate in the private event(s), the receipt of which is hereby acknowledged, hereby irrevocably authorize Event and its Photographers to use photographs of me and authorize their assignees, licensees, legal representatives and transferees to use and publish (with my name or fictitious name) photographs, pictures, portraits, images, or digital video herein described in any and all forms and media and in all manners including composite images or distorted representations, for the purposes of publishing (including internet websites, social media, print and online publication 2. I waive any right to inspect or approve the finished Images, advertising copy, text, or other printed matter that may be used in conjunction therewith, or to the eventual use that the Images may be applied. 3. I release and discharge Photographers and Event Organizers and those acting under Photographer's or Event Organizer's authority from any and all liabilities, claims and demands arising out of or relating to any blurring, distortion, use in composite form, or alteration whether intentional or otherwise, that may occur or be produced in connection with the Images, or in connection with any processing, alteration, transmission, display, publication or other use of the Images. 4. I hereby forever release and discharge Photographer and Event, his heirs, legal representatives, agents, assigns and the party for whom the Images were made, from any and all claims, actions and demands arising out of or in connection with the use of said Images, including without limitation, any and all claims for invasion of privacy and libel.
Non-Disparagement. Attendee and Event respectively agree that neither the company nor attendee shall make any oral or written statement about the other party which is negative in nature or reasonably likely to disparage the other party, or otherwise degrade the other party's reputation in the business or applicable community and to mutually and reasonably refrain from any/all action(s) intended to harm any persons or entities, or promote or perpetuate unfavorable public content including social media personal, business or alike. Since it is very difficult to assess damages for such disparagement, Attendee and Event Organizers agree that for each instance of disparagement, that the damages shall be established and agreed to be One Hundred Thousand US Dollars.
Non-Disclosure. Attendee and Event Organizers respectively agree to keep in confidence, and not to disclose or use for own respective benefit or for the benefit of any third party (except as may be required for the performance of services under this Agreement or as may be required by law) any/all details associated with this contract included but not limited to publisher details, publisher contacts, fees paid, negotiation communications verbal and/or digital text.
Non-Solicitation. During the Restricted Period, which is from the date of signing of this agreement and for an 18 month period of time after that, Attendee shall not, directly, or indirectly through another Person, (i) induce or attempt to induce any other attendee, sponsor, videographer, photographer or Attendee to stop working with Event Organizers or affiliated entities, or in any way interfere with the relationship between the Event Organizers and or any of its affiliates or Subsidiaries and attendee thereof, (ii) hire, work with or otherwise invite as an attendee or retain for services any person who was present at the Event Organizers at any time during the 18 month period or (iii) call on, solicit or service any sponsor, Attendee, photographer, videographer, customer, supplier, licensee, licensor, lessor or other business relation of the Company or any of its Subsidiaries (including any Person that was a customer or supplier or other potential or prospective business relation of the Company or any of its Subsidiaries at any time during the 18 month period immediately prior to such call, solicit or service), induce or attempt to induce such Person to cease doing business with the Event Organizers or any of its affiliates or Subsidiaries, or in any way interfere with the relationship between any such any other attendee, sponsor, videographer, photographer or Attendee, customer, supplier, licensee, business relation, or other potential or prospective business relation and the Event Organizers or any of its affiliates or Subsidiaries (including making any negative statements or communications about the Company or any of its Subsidiaries or any of their respective stockholders, directors, officers or employees Attendees are also prohibited from competing with Event Organizers, its affiliates or subsidiaries at the venues used by Event Organizers for any event or trip which in any way would appear to compete with Event Organizers.
