This Patient Testimonial Release Agreement (“PTRA”) is entered into today (“Effective Date”), by Sono Bello (“Company A”), located at 5250 Carillon Point, Kirkland, WA 98033 and Launch DRTV ("Company B"), located at 2101 E El Segundo Blvd, Suite 301, El Segundo, CA 90245 and myself (“Testimonial”).

 

CONFIDENTIALITY AGREEMENT:

During "The Patient Ambassadors" work with Company A and Company B, Testimonial may come into possession of "confidential information" that belongs to Company A and Company B, including, whether in digital or hard copy format, and whether or not patentable or protected by copyright, patent, trademark, or similar laws, including but not limited to; agreements, clients, vendors, inventions, formulas, audio, video, film or other media, created, maintained or used by Company A and or Company B.

Testimonial agrees now, and after Testimonial’s work for Company A and Company B ends, a duty to hold all "confidential information" in the strictest confidence, and shall not disclose, acquire, use, induce or assist in the disclosure, acquisition, or use of any such confidential information with any third-party without Company A and Company B prior express written consent.

 

INDEMNIFICATION:

Testimonial agrees now, and after Testimonial’s work for Company A and Company B ends, not to disparage, directly or indirectly, Company A or Company B in any way or to make negative, derogatory, or untrue statements about Company A or Company B, its business activities, products, services, or any of its directors, managers, officers, employees, affiliates, agents or representatives, to any person or business entity.

 

Any posts shared by the Testimonial on social media discussing Sono Bello shall conform with the FTC’s Guides Concerning the Use of Endorsements and Testimonials in Advertising and shall include the text: #SonoBelloAmbassador or similar mutually agreed upon language.

This Patient Testimonial Appearance Agrement ("PTAA") is entered into today (“Effective Date”) by Sono Bello (“Company A”), located at 5250 Carillon Point, Kirkland, WA 98033 and Launch DRTV ("Company B"), located at 2101 E El Segundo Blvd, Suite 301, El Segundo, CA 90245 and myself (“Testimonial”).

I irrevocably grant Sono Bello and Launch DRTV, and its affiliates and licensees all rights in and to the sound and visual recordings made of me (the “Appearance”) today ("Effective Date").

The rights hereby granted to Sono Bello and Launch DRTV include perpetual, exclusive and unencumbered right to use, edit, reproduce, distribute, webcast, publish and otherwise exhibit the Appearance worldwide and throughout the universe, including excerpts in any and all forms of media known or hereafter devised, including but not limited to the internet, all television, satellite and closed- circuit transmission, in flight video, home entertainment (including home video, CD- ROM in current and future formats, and on-line services, both commercial and inter networks),  digital and interactive formats, and printed marketing material such as magazine ads, brochures and pamphlets.

In addition, the rights granted to Sono Bello and Launch DRTV include the right to use the Appearance or any portion thereof, my name, voice, likeness and biographical material to publicize and advertise the Appearance and/or the services of Sono Bello and Launch DRTV.

I hereby release Sono Bello and Launch DRTV, and hold Sono Bello and Launch DRTV, harmless from and against any liability based on any personal, property, residual, re-use or other right which I have or may have virtue of any such use of my name, voice, likeness or biographical material, or as a result of exhibition, webcast or distribution of the Appearance or any portion thereof.

I further warrant that I am at least 18 years or age and have the full right and legal capacity to sign this release. I have read this prior to signing it and I understand its contents. If I am or have been a member of any performing arts union or guild, I hereby acknowledge & agree that my Appearance does not constitute a performance, and that I am not entitled to any salary, wages or other similar compensation for such Appearance.
