IMPORTANT NOTICE TO NEWLY ELECTED OR APPOINTED DIRECTORS
Read now. Board service carries personal legal obligations under Chapter 718, Florida Statutes (the Condominium Act). Directors who ignore them risk removal, civil liability, and criminal exposure.
As a director of Town Arms Apartments, Inc., you are a fiduciary of every unit owner. Within your first 90 days, you must:
- Get certified within 90 days of election or appointment. You must either (a) file a written certification that you have read the Declaration, Articles, Bylaws, and current written policies, will uphold them, and will faithfully discharge your fiduciary duty, or (b) complete the DBPR-approved director education course (§718.112(2)(d)4.b). Education is required within 1 year before or 90 days after election, covering recordkeeping, financial reporting, elections, and meetings. Certificates are kept in the official records for 5 years.
- Complete the annual continuing education requirement. Directors must complete at least 4 hours of continuing education each year (§718.112(2)(d)). Verify the current requirement and course providers with DBPR.
- Read the governing documents and know the limits of your authority. You act only as the board, at properly noticed meetings. No individual director can bind the association, direct vendors, or override the documents.
- Meet your fiduciary duties. You owe unit owners loyalty and care (§718.111(1)). Act in good faith and in the association's best interest, avoid conflicts of interest, and disclose any you have. Self-dealing, kickbacks, and related-party contracts without proper disclosure and approval are prohibited and can be criminal (§718.111(1)(a)–(d), §718.3027).
