The Customer agrees that for all purchases made under this Agreement, THE ENTIRE BALANCE OF EACH INVOICE IS DUE ON THE DATE OF DELIVERY. Payments on the account must be RECEIVED on the date of delivery in the following manner unless other arrangements have been made with The Mill management: a check in the full amount of the invoice is to be provided to delivery driver on the date of delivery; a check or cash in the full amount of the invoice is to be given directly to the above referenced Sales Representative on the date of delivery; or a credit and/or debit card payment shall be made directly to The Mill on the date of delivery. The Customer has the option of leaving a credit and/or debit card on file with The Mill to process payment on or about the date of delivery. If other payment arrangements have been made with The Mill management, all terms contained within this Agreement remain in effect. The Mill is entitled to change the terms of payment at any time without prior notice to Customer.
The Customer agrees that finance and/or interest charges shall be added in the amount of one-and-one-half percent (1.5%) per month with a minimum monthly finance charge of one dollar ($1.00) to past due balances not received with five (5) days of the date of delivery and accumulating in the amount of one-and-one-half percent (1.5%) per month for each subsequent month thereafter, unless and until the entire balance due, plus the aforementioned interest, is paid in full. If the Customer's account is more than thirty (30) days overdue and The Mill is unable to establish contact with the Customer or Primary Contact regarding the balance, the Customer authorizes The Mill to use any payment method on file for the Customer to pay off the outstanding balance.
The Customer agrees that The Mill, if it so chooses, shall turn all accounts ninety (90) days or more past due to an attorney for COLLECTION. In the event that The Mill refers such collection matter to an attorney, if litigation is initiated, and/or if collection measures are instituted, The Mill shall be entitled to recover all reasonable attorney's fees and costs, including court costs, and interest incurred in pursuing collection from the Customer. The Customer expressly agrees that any action brought under this Agreement, including collection of debt, shall be governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles, and venue shall be in Harford County and any court of competent jurisdiction therein.
IN WITNESS WHEREOF, intending to be legally bound, the aforementioned Customer agrees to the foregoing terms for purchase items and/or services by the Customer from The Mill and timely payment thereof.
