    WELCOME ABOARD! Please read this document in its entirety, complete, and execute this agreement, then upload or fax the required documents listed below.

  • This agreement executed on the        {day} of       {month}, in the        {year}, is made by and between GoToLady Trucking & Logistics Solutions, LLC with address at P O Box 82243, Atlanta, GA. 30354 (hereinafter referred to as "Dispatcher"), and        with address at                   (hereinafter referred to as "Carrier").

    In consideration of the mutual promises of the parties, it is agreed that: 
    I        , The Owner of &/or The Driver of Truck#       {nameOF} of (the carrier) a licensed Motor Carrier, MC#      , {number} and/or DOT#      , {number}; hereby grants authorization to GoToLady Trucking & Logistics Solutions, LLC. to act as my agent for the sole purpose of searching for and booking shipments, processing all brokerage paperwork and obtaining Certificates of Insurance as required in order to expedite shipments and dispatch via telephone, fax or e-mail for my truck, Unit#     , DOT #      , License Plate#      , in the state of,        . All billing, invoicing and collections of revenue from customers, brokers, shippers, consignees, etc are the sole responsibility of the carrier. If revenue for a shipment or shipments are uncollectible, GoToLady Trucking & Logistics Solutions, LLC will be held harmless and no penalty or deduction of fees will be made. The carrier agrees to maintain all proper licenses and permits to conduct business as a motor carrier in the area of intended operation. Additionally, carrier agrees to maintain liability and cargo insurance at the amounts set forth by the home state of the carrier.

  • The Dispatcher

    GoToLady Trucking & Logistics Solutions, LLC. will book all loads via load boards  (         ), and handle all paperwork using       (Carrier Name), using MC#     , DOT#     , and     (BCO-3/Carrier Insurance Provider).
    The Dispatcher is not an exclusive service provider and may serve various Carriers. The Dispatcher shall serve many Carriers on a regular basis for various transportation needs to various geographic points throughout the country and other countries where the broker has an office or an affiliate.

  • The Carrier
    The Carrier is duly authorized by the FMCSA, with license number MC#        to provide transportation of property for Consignors and Consignees.
    The Carrier desires to engage in a contract of carriage with the Dispatcher that shall meet various needs of the Dispatcher in accordance with FMCSA Compliances as in accordance to the law, and dispatch carrier agreement.

  • Non-Exclusivity

    The Parties understand that this Agreement does not bind the Parties to a mutually exclusive relationship with each other and that Broker or the Carrier may enter into similar agreements with other services. However, must make Dispatcher aware of such agreement.

  • Broker Responsibility

    The Broker perform diligently in obtaining and maintaining for continuing freight traffic shipments with the Carrier. The Carrier shall transport by vehicle the shipment based on the transactions provided and instructed or by the Broker, subject to the availability of Carrier capacity in compliance with the specific shipment instructions and in accordance with the terms and conditions of this Agreement.

  • Billing and Payments

    GoToLady Trucking & Logistics Solutions, LLC. shall bill all charges for the transportation directly to the Broker under    (The Carrier). Carrier shall provide GoToLady Trucking & Logistics Solutions, LLC. (Dispatcher) with original bills of lading and delivery receipts to GoToLady via email.

    GoToLady Trucking & Logistics Solutions, LLC will be held harmless in the event of any and all claims. The carrier agrees to maintain an account with (an internet load board service), in the name of the carrier, with GoToLady Trucking & Logistics Solutions, LLC. as the point of contact for dispatching purposes. The fee for dispatch services will be based on a cap-scale starting at 8% for the first 30-days, 9% 2nd month, capping out at 10% throughout the remainder of contract, and is based off of the gross revenue of each shipment with no minimum charge.
     (The Carrier) shall pay GoToLady Trucking & Logistics Solutions, LLC. (Dispatcher) for the dispatching of cargo loads, and administrative processing of all paperwork associated with cargo within and not later than two (2) days or 48 hours from the receipt of the Dispatcher's invoice. Invoiced on Friday, payment must be received by 11:59pm Sunday night. All defaulted payments will be subjected to a $75/Late Fee

    As loads are picked up, an amount equal to the above stated percentage will be payable to: GoToLady Trucking & Logistics Solutions, LLC. Payments are to be conveniently paid with any Debit or Credit Card via Text or Email Invoice App. Processed by Automatic Bank Transfer, Direct Bank (Regions) Deposit, ZELLE Pay ONLY.

  • Carrier Responsibilities 

    The Carrier shall furnish electronic data interchange (EDI) periodically on each shipment and receipt in a format specified by the U.S. Electronic Data Interchange Standards as well as similar data requisites for automated payment of freight bills.

    The Carrier shall issue a Bill of Lading and shall assume full responsibility and liability for any and all loss, delay, or any damage to any shipment while in possession or control of the Carrier. The liability under this Agreement shall be for the full value of the property lost or damaged. 

    It shall be the responsibility of the Carrier shall maintain primary cargo insurance amounting up to the full value of the transported shipment but in no event in an amount less than $100,000.00 per shipment.

    The Carrier shall also maintain a primary public vehicle or for-hire liability insurance that shall cover the risks and liabilities associated with the carrier operations in connection with transportation services under this Agreement.

  • Indemnification 

    The Carrier shall indemnify, defend, and hold harmless the Dispatcher from any and all liability or claims for loss or damages to any freight in the possession and/or control of Carrier arising out of operations of transportation of freight or services under this Agreement.

  • Termination

    Either Party reserve the right to terminate this Agreement through a written notice sent to the other without cause at any time with fifteen (15) days’ notice by written request. Upon cancellation, any unused funds remaining in the deposit account will be refunded to the carrier within two (2) business days without penalty. 

     

  • Separability Clause

    Should any provision of this Agreement be held invalid by any competent court, the same shall apply only to the specific clause or provision and the remaining provisions shall remain valid and enforceable.

  • Non-waiver

    The failure of any party to insist upon the strict compliance with and performance of any of the terms, conditions, and covenants shall not be deemed as a waiver of said party may have over such breach. Only by expressed written consent and duly signed by the parties may a proper waiver be considered as having been made.

  • Relativity

    This agreement inures to the benefit of, and is binding upon the successions and assigns of the parties hereto.
