Confidentiality / Non-Disclosure Agreement

As we will ensure the strictest of confidentiality with all information you provide to us, we will need to share propriety information with you also, as we each assess if The Touch Up Guys Pty Ltd is a great fit for you. By Clicking Submit you agree to the terms below

Touch Up Guys Australia Pty Ltd (ABN 50624476802) (“Touch Up Guys”) of Unit 4, 8-10 Hampton Road, Touch Up Guys Pty Ltd Burleigh Heads, Qld. 4220: (“the Recipient”) with proprietary information and documentation described in Schedule 1 (“the Information”) for the purpose authorised in Schedule 2 (“the Purpose”), the Recipient acknowledges and

agrees that it will: -

1. Keep the information confidential.

2. Return the information on demand.

3. Not use the information for any other purpose than the Purpose without your prior written consent.

4. Obtain from its employees and agents a written undertaking in your favour to maintain the confidentiality of the information.

5. Neither divulge nor permit its employees or agents to divulge the information to any third party without prior written consent, other than to a subsidiary company to whom such disclosure is necessary for the Purpose.

6. Not make disclosure to a subsidiary company pursuant to paragraph 5 without first obtaining a written confidentiality undertaking from it in your favour.

7. Not make or allow its employees or agents to make any copy of the Information without your prior written consent.

8. Recognise that the Touch Up Guys Trade Marks and Logos are under exclusive license to The Touch Up Guys Pty Ltd.

9. Not use the words “Touch Up Guys” in any name, trade mark, logo or in a business name wheresoever registered or in a company name wheresoever incorporated without prior consent from The Touch Up Guys Pty Ltd and should the Recipient use the words “Touch Up Guys” and subsequently decide not to enter into a Franchise Agreement with The Touch Up Guys Pty Ltd, the Recipient shall forthwith cease use of the words “Touch Up Guys” in any way whatsoever.

10. Recognise the copyright attached to the Information.

11. Not challenge the rights to the Information or to the copyright subsisting therein.

12. Not for a period of twelve months after the cessation of its relationship with The Touch Up Guys Pty Ltd or at anytime during the term of its relationship with The Touch Up Guys Pty Ltd be engaged in or participate directly or indirectly with any business of which the principal activity is associated with cosmetic collision repair.

This agreement shall be constructed and applied in accordance with the laws of the State of Queensland in the country of Australia.

The Information

All information concerning the Touch Up Guys, which information shall include but not be limited to intellectual property, software management systems, reports and associated support procedures concepts, stationery, marketing material, correspondence, client database, information concerning ownership, financial structure and position of Touch Up Guys or Franchisees.

The Purpose

The information is to be used solely for the purpose of discussions and negotiations to enable applicants to decide whether to enter into an investment, by way of the granting of a Franchise Agreement, with Touch Up Guys or any of their related bodies corporate (as that term is defined in section 50 of the Corporations Law Australia) (“Touch Up Guys”)
