CoolWick Staff Contract

This agreement, dated below, is between COOLWICK, a Florida company, hereinbelow called COOLWICK and the abovenamed, who is an athlete in the sport of bowling, hereinbelow referred to as ATHLETE. 

COOLWICK is an apparel company for indoor and outdoor competitive/recreational activities, who is endorsed and publicized by the ATHLETE. 

COOLWICK and ATHLETE agree that the ATHLETE shall, under the terms and conditions set forth in the agreement below, endorse and publicize products in the COOLWICK apparel line.

This agreement shall commence on 1/1/2022 and shall continue in full force and effect until 12/31/2022. Termination can be by either party by giving a 60-day notice, in writing, to the other party. If either party terminates this agreement, ATHLETE hereby authorizes and grants COOLWICK the right to full use of any promotional material with the ATHLETE’s name, picture, or likeness for the life of that promotional material. Renewal of the contract will be determined on an annual basis, with an extension offer in writing to be made by COOLWICK. An offer may include an extension of the same contract, or one of the other contract options, to be determined by COOLWICK. The offer will be sent prior to 60 days before the contract is set to expire. To terminate either party must notify the other party 60 days in advance.

The ATHLETE shall wear the COOLWICK logo at all times while in the bowling center - including trade shows and events. (Competing in the PBA excluded; please wear CoolWick apparel before and after the squad is done).

ATHLETE must submit a photo of themselves wearing a CoolWick Jersey, preferably the upper half of the body with appropriate CoolWick logos apparent. Please submit by 1/31/22.

ATHLETES represent CoolWick at all times, and must conduct themselves in an appropriate and professional manner. This is to be adhered to at all times. 

The ATHLETE will use the following hashtag on all social media outlets (athlete will provide under CONTACT INFORMATION section): #CoolWick. They will also link or @CoolWick on the same social media outlets. This is to be done no less than 1x per week for the duration of the contract. 

ATHLETE hereby authorizes and grants to COOLWICK the right to full use of the ATHLETE’s name, pictures, and any testimonials, as well as any other material for the activities related to the promotion of the products of COOLWICK, in its sole discretion.

COOLWICK may, as its sole option, terminate this agreement immediately if ATHLETE fails to follow the above-mentioned duties.

ATHLETE will be eligible for apparel incentives listed under the ATHLETE PROVISIONS/INCENTIVES section.

ATHLETE will receive a Quarterly Staff Payment from the following sources and amounts – 10% of gross sales from your Signature Apparel sold online through CoolWick.com, and 10% of gross sales that are made using your Signature Code. Details under the Athlete Provisions/Incentives Section.

ATHLETE, for the duration of this agreement, shall not endorse or use any competing products, which are of the same or similar nature as COOLWICK products in which COOLWICK is currently producing and distributing. 

ATHLETE may wear H5G apparel for PBA regulated competition where it is required.

ATHLETE is not an employee of COOLWICK for any purpose, but is rather an independent contractor. COOLWICK is concerned only with the results obtained by ATHLETE who has sole control over the manner and means of performing the duties required under this agreement. All costs and expenses of performing the agreement will be borne by ATHLETE, unless otherwise stated. ATHLETE does not have the power or authority to bind COOLWICK to any contract or obligation without COOLWICK’s written consent.

This agreement is the entire agreement between the parties. It shall not be modified except by written agreement, signed by both parties.

COOLWICK and ATHLETE agree for the duration of their contract as follows:

• $750 Personal Credit for apparel^* purchases and giveaways on CoolWick.com
• 1 Signature Coupon Code to be used on CoolWick.com for 10% off (coupon code to be distributed by ATHLETE to potential customers)
• 1 Individual Coupon Code to make purchases at 30% off retail price on CoolWick.com (coupon code must be used only by the ATHLETE for the ATHLETE)
• Your Signature Jersey Designs to appear on CoolWick.com (unless otherwise advised, all signature apparel designed by CoolWick will be uploaded for purchase on CoolWick.com)
• Quarterly Staff Payment based on your Signature Coupon Code usage by customers and Signature Apparel sales on CoolWick.com. Payment will be in the form of Personal Credit.

COOLWICK and ATHLETE agree to the following incentive payouts for performance meeting the criteria listed below^:

• PBA/PWBA TV Show Wins - $500.00
• PBA/PWBA TV Show Appearances - $250.00
• PBA/PWBA Regional Wins - $500.00
• PBA/PWBA Regional 2nd Place Finish - $250.00
• Tournament win with top prize $2000+ - $200.00
• Tournament 2^nd place finish w/ top prize $2000+ - $150.00

* The Personal Credit will be at retail pricing levels. Any purchases made outside of using your personal credit will be eligible to use your Individual Coupon Code at 30% off the retail price (staff pricing). Individual Coupon Code cannot be used to purchase Quickship designs. Personal Credit can be used to purchase giveaway items you are promoting on social media. There is no strict schedule for promotions/giveaways; it is recommended to do a giveaway at least 1x per month to continually promote your athletic brand.

^ATHLETE will be required to fill out and submit the Incentive Form within 30 days of the completion of the event for compensation. Failure to submit Incentive Requests within 30 days will result in forfeiture of incentive.
