TALENT RELEASE AND WAIVER AGREEMENT
In consideration of participating in certain marketing and/or related commercial promotional services, and other good and valuable consideration,
the receipt and sufficiency of which is acknowledged, I hereby grant to HC Salon Holdings, Inc., and all brands associated therewith, its affiliates,
subsidiaries, agents, contractors, employees, officers, directors and related companies, successors and assigns (collectively, “Company”) the absolute,
irrevocable, fully assignable and delegable right, including full and exclusive copyright to capture, record, tape, utilize, reproduce, modify, edit, stylize, crop,
digitize, publicly display, exhibit, distribute, transmit, publish, create derivative works from and/or derive by any means or method at its sole discretion
(collectively, “Company use”), my voice, name, image, creative work, performance, appearance, likeness, name, identification, biography, statements and/or
all other publicity rights (collectively “talent materials”) for an unlimited duration and for any purpose, in any manner or media whatsoever, including without
limitation, digital, still, photography, video, film, audio, print, web, social, blog, marketing materials and or other means, including the full and exclusive right
to copyright the same in its own name or otherwise, all talent materials which it or its agents obtained from the talent agency, modeling, acting and/or other
services of the undersigned. In no way is such participation to be construed as an employee-employer relationship.
I waive any and all rights I may have in the talent materials, including without limitation, ownership rights, the review of the talent materials prior to
publication, distribution and/or exhibition. In furtherance of the foregoing, I agree that the talent materials are works made for hire for the Company as
defined in Section 101 of the Copyright Act of 1976. To the extent any talent materials do not qualify as work made for hire, I hereby immediately and
irrevocably: (i) assign, transfer, and otherwise convey to the Company throughout the universe, all right, title, and interest in and to such talent materials,
including all copyrights and other intellectual property rights therein, including all registration, renewal, and reversion rights, and the right to register and sue
to enforce such copyrights against infringers; and (ii) waive any and all claims I may now or hereafter have in any jurisdiction to so-called “moral rights” or
rights of droit moral with respect to such talent materials. I further fully and completely release, hold harmless, discharge, defend and covenant not to sue
the Company, as well as its third-party vendors, insurers, licensees and invitees from any and all claims, demands or causes of action arising out of, or in
connection with the creation of and/or the Company’s use of the talent materials, including without limitation any and all claims for libel, personal injury,
property damage, compensation, invasion of privacy, defamation, rights of publicity, attorney’s fees and costs or copyright. I am voluntarily and freely
entering into this release with the full knowledge and understanding that there may be more serious consequences, damages or injuries or separate or
distinct consequences, damages or injuries as the result of my participation in the creation of or the Company’s use of the talent materials all of which are
forever waived, released and relinquished. Should any litigation arise for the enforcement or defense of this release, the prevailing party shall be entitled to
its costs and reasonable attorney’s fees.
I represent that I have the full right and authority to enter into this this release and no approvals and/or licenses are necessary from any other party
for me to lawfully grant the rights contained herein. I further represent and warrant that the rights granted herein will not conflict with or violate any
commitment, agreement or understanding I have or will have to or with, nor infringe upon any right of, any person or entity. I am of full legal age and have
the right to contract in my own name (or my parent or guardian has consented hereto and joined herein by signing below). I have read the foregoing and fully
understand the contents thereof. This release shall be binding upon me and my heirs, legal representatives, and assigns. This release shall be governed by
the laws of the Commonwealth of Virginia and venue shall lie exclusively in such state’s courts. This release is not subject to any guild, union or other
collective bargaining agreement. Digital signatures transmitted by email in a “PDF” format shall have the same force and effect as an original signature.
