Seams Like Fashion

This Agreement is executed on & by and between the following:   Client:{registered brand owner} and Collaborator: Seams Like fashion LLC/ Khadijah Amatullah Brand collaborator:    The Company is engaged in the manufacture and sale of Clothes, accessories, customized goods that is intended to help expand brands and reach recognition and sales; the Brand owner is a recognized owner and client of Seams Like fashion LLC products and services. The Parties agree and acknowledge that the Brand owner shall adhere to this agreement in order to be in connection with Company (Seams Like Fashion LLC) we help Brand owner's with social media channels, including but not limited to Twitter, Facebook, Instagram, Youtube, Pinterest, among others. The Parties agree and acknowledge that the Brand owner shall: -Maintain the process of getting registered, Must maintain the appointments and if you need to reschedule please do so before business day is over. Compensation Agreement As full compensation to Seams Like Fashion LLC shall be in full and complete before branding project from participant and other obligations under this Agreement and all costs, the parties a􀂨rm the Client shall pay for Clothing items (bottoms, top, shoes, jumpsuit/onepiece), Beauty items and upon the fulfillment of the duties and obligations of the Brand owner. Brand owner may use discount code for shopping on main site on all items. For other services outside this agreement will need to be paid for as standard (unless otherwise stated by Seams Like Fashion LLC., Coordinator). Brand owner price is full price unless otherwise is stated.   Product Use and Ownership The Brand owner shall be provided products by the Company at the SUM agreed apon at regisrtation. The Brand owner agrees that in such provision of products, the Brand owner can, and shall subject the products provided for resale. Should the Brand owner decide to discontinue the use, return, or sell the products, the Brand owner shall notify the Company (Seams Like Fashion LLC) prior to such action.   If you would like to cancel your branding contract you will need to sigh a Cancellation form and Pay any money owed before your contract is completly voided. If a refund is being issued your account will adhere to the above and you wont be charged, as soon as refung is complete your account will be cancelled. Confidentiality The Parties to this Agreement may not disclose to any third party, the use of the works engaged by the Brand owner with the Company without the other party's written consent. Neither Party may sell, nor disclose with any third party any proprietary or confidential information acquired by them in the course of their engagement with the other, without the written consent of the other party. The Brand Ambassador agrees to return to Company all confidential documents, records, or any information owned by the company upon the termination of the Agreement. In case of failure to return the confidential documents, records, or information, the Brand owner shall notify the Company and shall agree on how such information shall be disposed or returned to the Company. Brand owner may not disclose photo or events without written notice from Company to do so. Brand owner will not disclose ideas to third party without written permission from Client. Brand owner agrees not to post/talk maliciously at any point about Company. Brand owner may not reach out to any third-party  or any other servicers met through the Client without written consent from Company. Period and Termination This Contract shall remain effective and enforceable for a period of (agreed between Company, Seams Like Fashion LLC, and Brand Owner) beginning on the date of effectivity of this agreement up until ( months ) thereafter, unless prematurely terminated by either party. Should any party decide to terminate this Agreement prior the date of maturity, the party shall notify the other at least 3 days prior the termination date. Representations and Warranties Representations and Warranties: The Company acknowledges and understands that: 1. Brand owner has the unrestricted right and authority to perform the duties and deliverables that conform to this Agreement; 2. all duties and responsibilities by the Brand owner is compliant with the applicable laws, rules, and regulations of the State agreed upon by Parties, to be performed in this Agreement; 3. The work of the Brand owner will not contain defamatory, disparaging or offensive content to any product or business, or be involved in any pornographic. Separability clause Should any of the provisions of this Agreement be held invalid by any competent court, the same shall apply only to the said provision and the remaining provisions hereof shall remain valid and enforceable.   Agreement Modification No modification or alteration of this contract shall be considered as having been made unless otherwise executed in writing and duly signed by the parties hereto. Judicial Action Any action arising from or brought under this Contract shall be 􀂦led with the proper courts of Illinois, to the exclusion of all other venues that are hereby expressly and willingly waived by the parties.
