  • DEFINITIONS
    For the purposes of these Terms and Conditions of Sale, these words are to have the following meanings: ‘Under The Bonnet Wines LTD’ refers to the private limited company registered in the United Kingdom (Company Number: 09461974) of Flat 6 Woodfield House, Dacres Road, London, SE23 2BL.
    ‘Purchaser’ means the person to whom Under The Bonnet Wines LTD agrees to sell the goods.‘Goods’ means all or any products, which Under The Bonnet Wines LTD supplies to the Purchaser in accordance with these terms and conditions.
    TERMS AND CONDITIONS
    VAT: All listed prices are not inclusive of VAT, which will be charged to the purchaser at 20%. This rate is subject to government change.
    Payment: Until a credit account is established, payment must be received before
    orders can be dispatched. Payment must be made via BACS. Once a credit account has been established, payment must be received within 30 calendar days of the date of delivery. Failures to pay any invoices due may mean that Under The Bonnet Wines LTD suspend further deliveries until payment is received.
    Availability: All Goods are offered subject to availability.
    Title of goods: All Goods shall remain the sole and absolute property of Under The Bonnet Wines LTD as legal and equitable owner until the Goods are paid for in full and the full price of any other goods, subject to any other contract with Under The Bonnet Wines LTD also paid in full.
    Until title of the goods has passed to the Purchaser, the Purchase shall, once it has possession of the Goods: (i) hold the Goods on a fiduciary basis as Under The Bonnet Wines LTD’s bailer; and (ii) maintain the Goods in a satisfactory condition and keep them insured on Under The Bonnet Wines LTD’s behalf at their full price.
    Until title in the Goods has passed to the Purchaser, the Purchaser shall, once it has possession of the Goods: (i) be entitled to resell the Goods in the ordinary course of its business on its own behalf as principal (and not as an agent for Under The Bonnet Wines LTD); and (ii) account to Under The Bonnet Wines LTD for any proceeds of sale of the Goods, including insurance proceeds, and shall keep all such proceeds separate from any other monies or property of the Purchaser.
    Until title in the Goods has passed to the Purchaser, Under The Bonnet Wines LTD be entitled at any time to require the Purchaser to deliver up the Goods to Under The Bonnet Wines LTD and, if the Purchaser fails to do so immediately, Under The Bonnet Wines LTD reserves the immediate right of repossession of any such Goods. For this purpose, the Purchaser grants an irrevocable right to Under The Bonnet Wines LTD and its agents to enter any of the premises where the Goods are stored to inspect and repossess the Goods.
    The Purchaser shall not be entitled to pledge or in any way charge by way of security for indebtedness any of the Goods which remain the property of Under The Bonnet Wines LTD, but if the Purchaser does so, all moneys owing by the Purchaser to Under The Bonnet Wines LTD shall (without prejudice to any other right or remedy of Under The Bonnet Wines LTD) forthwith become due and payable.

    Deliveries: All orders are subject to availability and dellivery schedule.
    Deliveries must be checked to ensure that the total number of bottles received
    matches the total indicated on the delivery note. You must notify Under The Bonnet Wines LTD of any breakages/shortages immediately. If any breakages/shortages are reported after the calendar day upon which the Goods are delivered, we regret that a credit note cannot usually be issued.

    Cancellation and alterations: Any cancellation or alteration must be made at least 12 hours before the scheduled delivery.
    Faulty items: Any faulty items should be clearly indicated as soon as possible by contacting Under The Bonnet Wines LTD. Under The Bonnet Wines LTD reserves the right to visit the Purchaser to check the item concerned prior to making any replacement. Faulty items should therefore be kept for inspection until an assessment has been made. Faulty items should be replaced by a new item, credit note, or refund.
    Credit Notes & Refunds: No credit notes or refunds will be raised for any stock
    purchased more than 12 months before the credit note is requested.

  • First invoice to be paid pro-forma. Once this form is completed correctly, applications for credit will take two weeks to process. For any orders placed in the meantime we require payment in advance. We may continue to take payment in this way until we have established a trading history with you.

    Payment terms once credit established: Invoices will be sent directly to you via email on day of delivery and are to be considered proof of purchase. Payment due 30 days from date of invoice and may be made via BACS.

    These terms are to be read in conjunction with Under the Bonnet Wines LTD and Conditions of Sale, above. By signing below you are acknowledging having read, understood and agreed to those Terms and Conditions of Sale.
