This agreement for photography services is entered into by the person(s) described on page 1, referred to as “Client”, and Pro Studios Image Inc. "Memories by Jackie", an independent contractor. Pro Studios Image Inc. “Memories by Jackie” ® will provide high quality photographic services for the event(s) described on page 1. Unless otherwise noted, we will provide one professional photographer to take photographs using digital camera equipment, producing “Digital Images” in high-resolution .JPG format. In addition to the primary photographer assigned, Pro Studios Image Inc. “Memories by Jackie” ® may use additional photographers and/or assistants at its discretion. Unless otherwise agreed upon, the digital Images will be delivered to the Client electronically over the Internet (Internet Photo Gallery) and via USB (Digital Photo USB). The Internet Photo Gallery will be online for 6 months and will be removed at the discretion of Memories by Jackie ®.

The parties agree to cheerful cooperation for the best possible results. In order to help achieve the best results possible at large events, either the Client or their designee must point out individuals/groups that are important to have photographed. It is the Client’s responsibility to ensure that key individuals are on time, available, and prepared to be photographed. Client will provide Pro Studios Image Inc. “Memories by Jackie” ® with an estimated number of guests expected to attend. If the estimate differs significantly from the actual guests that attend, Pro Studios Image Inc. Memories by Jackie ® reserves the right to adjust the price on the final bill accordingly.

The Client will provide Pro Studios Image Inc. “Memories by Jackie” with a list of suggested photographs that they desire in advance. While every attempt is made to accommodate the Client’s desired list of photographs and create the best images possible, no particular image is guaranteed. Pro Studios Image Inc. “Memories by Jackie” ® is equipped to handle most low-light situations. In situations where flash photography is prohibited or is deemed to be unsafe, the Client agrees to accept the Digital Images as-is, given the technical limitations of low-light photography.

The client agrees to confirm the schedule one-week prior to the EVENT(S). Notification of any changes in schedule or location must be made in a timely manner and confirmation of receipt must be obtained from the COMPANY by the CLIENT.

If the event would last 8 hours or longer the client shall provide one meal for each staff member.

If the Photographer is the sole professional photographer at the event (as specified in the Event Details), it is understood that the Photographer will be the only one allowed to photograph the event. In which case, amateur photographers may take photos during the event if they do not interfere with the contracted Photographer and are not shooting the Photographer’s same posed shots. If a problem arises with any guest or attendee(s) the On-site Event Contact will be advised to handle the situation politely for the Photographer by enforcing the conditions of this agreement.

The Client agrees that no part of the Event Package, including previews (if any) will be delivered until the Outstanding Balance is paid in full. Digital copies will be given to the Client after the Event, in the form of an Online Photo Gallery, or other medium, assuming the Outstanding Balance has been paid

For large events, a non-refundable retainer totaling $500.00 of the agreed upon amount is due upon signature of this agreement. The balance is due three weeks before the event. Any overtime fees approved verbally by the Client during the event are due upon completion of the event. For Engagement Photo Sessions and Portrait Sessions, payment in full is due at the time the photos are taken. Upon signature and receipt of the deposit, Pro Studios Image Inc. “Memories by Jackie” ® will reserve the specified date and time for the event. All deposits are non-refundable even if the date has changed or the event is cancelled for any reason.

Please send payments and correspondence to: Pro Studios Image or Jacqueline Gutierrez. If is a $150 charge for payments returned by the bank for any reason. There will be a $50 late payment fee for any payments that are not postmarked or delivered to the Photographer by the required date.

The event pictures would be available five business weeks or later after the event date. CAPTURE AND DELIVERY: The Pro Studios Image Inc. “Memories by Jackie” is not liable to deliver every image taken at the event. The determination of images delivered to the Client is left to the discretion of the Company. POST PRODUCTION AND EDITING:The final post production and editing styles, effects, and overall look of the images are left to the discretion of the Company.

The Client and the Company agree that cooperation and punctuality are essential to accomplish the goals and wishes of all parties. Shooting commences at the scheduled start time and ends at the scheduled end time. If the Client does not arrive at the appointed time for the photo session or event, shooting will commence at the scheduled start time and end at the scheduled end time. All additional time beyond the scheduled end time will be billed to the Client.

The Company reserves to right to terminate coverage and leave the location of the Event if the photographer from the Company experiences inappropriate, threatening, hostile or offensive behavior from person(s) at the Event; or in the event that the safety of the photographer from the COMPANY is in question.

Although great care will be taken with the Digital Images, this contract limits the entire liability for any claim, loss, injury or failure to deliver Digital Images to the return of any fees paid by the Client under this contract. In the unlikely event of personal illness or other circumstances beyond the control of Pro Studios Image Inc. Memories by Jackie ®, an attempt will be made to procure the services of another professional photographer to fulfill the obligations of Pro Studios Image Inc. “Memories by Jackie” ®. Pro Studios Image Inc. “Memories by Jackie” ® is not responsible or liable for any other damages beyond the amount of this contract. Client agrees to indemnify, defend and hold the Company and their representatives, agents, contractors, employees, successors and assigns, harmless for any and all liabilities, damages, claims, suits, judgments, costs, fees and expenses that arise as a result of or in connection with the services provided. In the unlikely event that digital files have been lost, stolen, or destroyed for reasons beyond the Company’s control, including but not limited to camera, hard drive, or equipment malfunction, the Company liability is limited to the return of all payments received for the Event.

This contract is for the photography services and electronic delivery of the Licensed Digital Images only. Additional services, such as providing high- resolution Digital Images on physical media, touch-ups, or editing are available as a separate order. Any changes to this agreement must be made in writing and signed by all the parties. This agreement constitutes the entire understanding of the parties and is governed by the laws of the State of Texas.By signing this contract, Memories by Jackie ® and the Client agree to all of the terms and conditions stated in this contract.
