INSTRUCTIONS (Important to make sure your vote counts!)
1. You, the member, must sign this proxy. If you forget to date the proxy, the date of the email (if emailed) or the postmark date (if mailed) will be deemed to be the proxy date. On-line proxies are automatically dated when submitted.
2. You, the member, have the right to appoint a person as your proxy holder (other than the persons named, and who need not be a member) to attend and act at the meeting of members. To do this, check or "x" box "B" above and insert the name of the person in the blank space in this form. If you choose to write in a name on the proxy (to have someone other than a Board of Directors representative vote for you), you are responsible for notifying that person, and sending them a copy of the proxy. They Must attend the meeting and vote on each issue for your vote to be counted.
Please Note:
1. You have two options on the Proxy form to name your proxy holder:
Option A
* allows an appointed Board member to act on your behalf.
* they will vote on the items listed on the proxy form, based on what you check on the form, and, if you do not give instructions for any items the board has listed as its preferred choice.
* all votes will be tabulated by the scrutineers.
Option B
* allows you to name a different person as proxy holder.
* allows that person, if they are present at the meeting, to vote on your behalf.
* you are responsible for giving them a copy of the form.
* you are responsible for making sure they understand your instructions.
* they are responsible for submitting your vote at the meeting - it is not tabulated by the scrutineers.
2. ALL Proxy Forms must be submitted to the CVMG to be registered as stated above.
* You must contact your proxy holder and give them a copy of your document.
* Your voting choices will not be tabulated and if your proxy holder does not attend the meeting and submit your vote on your behalf you will not have your vote counted.
3. If any amendments to or variations of matters identified in the notice of meeting are proposed at the meeting, or if any other matters properly come before the meeting, this proxy confers discretionary authority to vote on such amendments, variations or other matters in accordance with the best judgment of the person voting the proxy at the meeting.
4. Proxy must be received prior to 5:00 p.m. (Eastern Daylight Time) on Thursday, June 23, 2022, to allow proxies to be tabulated prior to the meeting. You can send in a proxy in one of three ways:
(1) by using the email link provided and filling out an on-line proxy form (you will get a copy), or
(2) by printing, signing and scanning the paper proxy form, and sending the scan by email, or
(3) by mailing the completed paper proxy form.
This applies whether you choose the CVMG Board of Directors representative, or you write in a different person. Please do not send the proxy more than once, unless it is your intent to change your vote or your proxy holder, in which case the latest dated proxy form is the valid one.
