**ELEVATE THREE BASKETBALL TRAINING LLC -
RELEASE OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNIFICATION AGREEMENT**

READ CAREFULLY BEFORE SIGNING – THIS IS A RELEASE OF LIABILITY

I acknowledge that participation in basketball training, skills development, camps, clinics, open gym, fitness activities, media activities, and related events (collectively, the “Activities”) involves inherent risks.

1. Parties Covered by This Agreement
For purposes of this Agreement, “Released Parties” shall include:

- Elevate Three Basketball Training LLC (E3BT)
- Elevate Three Sports Performance LLC, (E3SP)
- Elevate Three Egaming LLC, (E3EG)
- Elevate Three Podcast Studios LLC, (E3PS)
- ElevateOne Health & Wellness Services LLC
- ChikambaOne Media Group LLC
- Skill Lab LLC
- Indy Holdings (property owner/landlord)
- The City of Indianapolis

and each of their respective owners, members, managers, officers, directors, employees, contractors, coaches, trainers, volunteers, agents, representatives, insurers, affiliates, subsidiaries, successors, and assigns.

2. Assumption of Risk
I understand and acknowledge that participation in the Activities involves inherent risks, including but not limited to:

- Physical injury
- Emotional or psychological distress
- Illness
- Permanent disability
- Death

I knowingly and voluntarily assume all such risks, whether known or unknown, foreseeable or unforeseeable, arising from participation in the Activities or from use of any facilities, equipment, or premises.

3. Release of Liability
In consideration for being permitted to participate in the Activities, I hereby fully and forever release, waive, discharge, and covenant not to sue the Released Parties from any and all claims, demands, actions, causes of action, damages, costs, or expenses of any kind arising out of or related to my participation.

This release includes, to the fullest extent permitted by Indiana law, any claims arising from the NEGLIGENCE of the Released Parties.

4. Medical Representation
I represent that I am physically and mentally capable of participating in the Activities and that I have no medical or other condition that would increase my risk of injury. I acknowledge that the Released Parties are not responsible for providing medical care and that emergency treatment, if rendered, is at my own expense.

5. Property Damage Responsibility
I agree to be financially responsible for any damage to facilities, property, or equipment caused by me (or by my minor child) during participation in the Activities, whether such damage is caused intentionally or unintentionally, and I agree to reimburse the Released Parties for reasonable and documented repair or replacement costs.

6. Conduct & Removal
I understand that the Released Parties reserve the right to refuse or terminate participation at any time if my behavior (or my child’s behavior) is deemed unsafe, disruptive, or harmful to others or to property. No refunds will be issued in such circumstances.

7. Indemnification
I agree to indemnify, defend, and hold harmless the Released Parties from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising out of my participation, or the participation of my minor child, in the Activities.

8. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Indiana.

PARENT / GUARDIAN CONSENT FOR MINORS (UNDER 18 YEARS OF AGE)
I certify that I am the parent or legal guardian of the minor participant listed below. I consent to the minor’s participation in the Activities and agree to all terms of this Agreement on behalf of myself and the minor.

I further agree, for myself and on behalf of my minor child, to release, waive, indemnify, and hold harmless the Released Parties from any claims, including those arising from the NEGLIGENCE of the Released Parties, to the fullest extent permitted by law.

9. Media Release & Authorization
I grant permission to the Released Parties to photograph, record, and/or capture my image, likeness, voice, name, and/or performance, or that of my minor child, during participation in the Activities.

I understand and agree that such photographs, video recordings, audio recordings, or other media (“Media”) may be used by the Released Parties for educational, promotional, marketing, advertising, social media, website, broadcast, podcast, livestream, or other lawful purposes, in any format now known or later developed, without compensation.

I further waive any right to:

Inspect or approve the finished Media
Receive royalties or other compensation
Assert claims for invasion of privacy, defamation, or right of publicity
All Media shall remain the sole property of the Released Parties, and this authorization is granted in perpetuity.

Parent / Guardian Media Consent for Minors
I certify that I am the parent or legal guardian of the minor participant and hereby grant the Released Parties permission to capture and use Media of my minor child as described above. I understand this consent is voluntary and binding.

Acknowledgment
I have read this Agreement in its entirety, understand its terms, and voluntarily sign it, understanding that I am giving up substantial legal rights.
