    Dimensions Educational Research Foundation ("Licensor"), with a principal place of business at:

    AND

     Scope

    • This Agreement relates to the license of Licensor’s video clip library content that is available online and referred to as Ed.Flicks (the “Licensed Content”).
    • The entirety of the Licensed Content are copyrighted materials owned by Licensor or sublicensed by Licensor from third parties and are licensed to Licensee for use subject to the terms and conditions of this Agreement.
    • Upon submission of an executed copy of this Agreement and payment of the license fee, Licensor grants to the Licensee a non-exclusive, non-transferable license for access to and broadcast of all materials included in the Licensed Content through a secure network.  An authorized signature on this Agreement indicates that Licensee has accepted the terms of this license.
    • Licensor reserves the right to update this Agreement.
    • Licensor may terminate this Agreement for substantial or material breach of the Agreement by providing Licensee with written notice in paper or electronic form.  No refund will be provided upon such termination.

    Viewing Audience

    • For purposes of this Agreement, Viewing Audience includes those individuals who view Licensed Content as made available by an Authorized User according to the terms and conditions of this Agreement during the license term.
    • Licensee attests that the total annual Viewing Audience will include {audience} individuals.

    Authorized Users

    • For purposes of this Agreement, Authorized Users are those individuals identified by Licensee as being given access to Licensed Content and bound by the terms and conditions of this Agreement.  Licensee is responsible for ensuring Authorized Users obtain access to Licensed Content as defined below.

    Access

    • Licensee and its Authorized Users of the Licensed Content shall be granted access to the Licensed Content via individual accounts each with their own username and password.
    • Authorized Users of the Licensed Content must agree to the Terms and Conditions via a link provided by Licensor to Licensee. Once the signed Terms and Conditions are received, Authorized User will be provided with access to Licensed Content through their own individual account.
    • Licensee will use reasonable efforts to ensure Authorized Users understand and adhere to the terms and conditions of this Agreement and that by using the Licensed Content they shall be bound by the terms and conditions of this Agreement applicable to them.
    • Licensee is responsible for undertaking reasonable measures to prevent access by unauthorized or unauthenticated persons, and Licensee will be responsible for any unauthorized access and any resulting downloading or reproduction.

    Copyright

    • Copyright of the Licensed Content is owned by Licensor, except when third party copyright is noted on content.
    • Any other use, duplication, or distribution of the Licensed Content in any medium and by any means violates applicable U.S. and international copyright laws and treaties, and you may be subject to prosecution and penalty of law.
    • Misappropriation for commercial for profit use or further distribution is strictly prohibited.

    Permitted Use

    • Any Authorized User may: search, view, and download individual videos from the Licensed Content.
    • Authorized Users may post any videos included in the Licensed Content in a password protected learning management system provided that the materials are distributed only to individuals enrolled in the training/course; materials are not made available for download; no charge is made for access to the materials; materials are not made or distributed for commercial advantage; and that the items bear the appropriate Licensor and third party copyright notices.
    • If this agreement is not renewed, all digital copies of the Licensed Content must be deleted from all storage locations including, but not limited to, computers/laptops, mobile devices, external hard drives, other external storage devices, and learning management systems.

    License Term

    • The license term shall be for one year.
    • This Agreement is renewable on an annual basis and is effective for as long as the Licensee maintains an active, paid account and does not violate the terms and conditions of this Agreement.

    Restrictions on Use of Licensed Content

    • Except as specifically provided elsewhere in this Agreement, the Licensee shall not knowingly permit anyone other than Authorized Users to use the Licensed Content.
    • Neither the Licensee nor any Authorized User shall modify, adapt, abridge, or create a derivative work of the Licensed Content without the prior written permission of the Licensor.
    • The Licensee may not remove, obscure, or modify presenters’ names or copyright notices included in the Licensed Content nor any metadata or digital rights management information that may be associated therewith.  
    • Other than as specifically permitted in this Agreement, neither the Licensee nor any Authorized User may use the Licensed Content for Commercial use.

    This Agreement shall be governed by and interpreted in accordance with the laws of the State of Nebraska, United States.

    Dimensions Educational Research Foundation ("Licensor")

    AND

    Subscriber is granted a non-exclusive, non-transferable license for access to all videos included in Ed.Flicks (“Licensed Content”) for use with a viewing audience of {audience} individuals.

    The subscription is renewable {term} and is effective for as long as the Subscriber maintains an active, paid account and does not violate this Agreement.

    Licensor reserves the right to update the terms and conditions of this Agreement at any time.

    Licensor may terminate the subscription for substantial or material breach of the Agreement by providing Subscriber with written notice in paper or electronic form. No refund will be provided upon such termination.

    The entirety of the Licensed Content are copyrighted materials owned by Licensor or sublicensed by Licensor from third parties and are licensed to Subscriber for use subject to the terms and conditions of this Agreement.

    Subscriber may not modify, adapt, abridge, or create a derivative work of the Licensed Content without the prior written permission of Licensor.

    The Subscriber may not remove, obscure, or modify interviewees’ names or copyright notices included in the Licensed Content nor any metadata or digital rights management information that may be associated with the Licensed Content.

    Any other use, duplication, or distribution of the Licensed Content in any medium and by any means violates applicable U.S. and international copyright laws and treaties, and Subscriber may be subject to prosecution and penalty of law.

  • Subscriber may download any videos included in License Content and post them in a password protected learning management system provided that the materials are distributed only to individuals enrolled in the training/course; materials are not made available for download; no charge is made for access to the materials; materials are not made or distributed for commercial advantage; and that the items bear the appropriate Exchange and third party copyright notices.

    If Subscriber chooses not to renew the subscription or Exchange Press terminates the subscription, all copies of the Licensed Content must be deleted from all storage locations including, but not limited to, computers/laptops, mobile devices, external hard drives, other external storage devices, and learning management systems.

    The license is effective for as long as the Authorized User's organization maintains an active, paid account and does not violate the terms and conditions of the License Agreement.

    Licensor reserves the right to update the terms and conditions of the Agreement at any time.

    The entirety of the Licensed Content are copyrighted materials owned by Licensor or sublicensed by Licensor from third parties and are licensed to Authorized User for use subject to the terms and conditions of this Agreement.

    Authorized User may not modify, adapt, abridge, or create a derivative work of the Licensed Content without the prior written permission of the Licensor.

    Authorized User may not remove, obscure, or modify interviewees’ names or copyright notices included in the Licensed Content nor any metadata or digital rights management information that may be associated with the Licensed Content.

    Authorized User may download any videos included in License Content and post them in a password protected learning management system provided that the materials are distributed only to individuals enrolled in the training/course; materials are not made available for download; no charge is made for access to the materials; materials are not made or distributed for commercial advantage; and that the items bear the appropriate Licensor and third party copyright notices.

    If Authorized User's organization chooses not to renew the License Agreement, all copies of the Licensed Content must be deleted from all storage locations including, but not limited to, computers/laptops, mobile devices, external hard drives, other external storage devices, and learning management systems.
