GEE RENTALS CAR AGREEMENT

DEFINITIONS . In this agreement, unless the context indicates otherwise: “ Additional Driver ” means such person, who in addition to the Driver, is duly authorized by Gee Rentals to drive the vehicle and whose name appears on the rental agreement . " Damages " (in relation to the Vehicle) means the actual expenditure in towing , transporting and storing the Vehicle, repairing any damage (including tire and rim damage), replacing parts and/or accessories ( without allowing for depreciation), remunerating an expert to inspect any incident and report thereon, and reimbursing such expert (an invoice, job card or quotation produced by Gee Rentals to be prima facie proof of any such expenditure) or any other charges incurred related to an incident of whatsoever nature in connection with the Vehicle . “ Driver ” means such person who is duly authorized by Gee Rentals to drive the vehicle and whose name appears on the rental agreement. “ Rental Period ” means the period between the time Renter take possession of Vehicle until Vehicle is returned or recovered and in either case, checked in by Gee Rentals. “ Renter (s)” means all of the persons, jointly and severally, whose names appear on the rental agreement, including, the Driver and/or the Additional Driver. “ Vehicle ” means the motor vehicle described in the rental agreement, including, without limitation, all keys, tires, tools, equipment, accessories, and documents in and on the vehicle when the Driver takes delivery of the vehicle at and includes any replacement vehicle which has been officially authorized by Gee Rentals, whether or not such replacement was authorized or approved by the Driver.

Gee Rentals RESERVATION . Gee Rentals maintains the right to terminate this agreement at any time and for any reason whatsoever by notice (verbal or written), where upon the Renter shall return the V ehicle to Gee Rentals forthwith. If the terms of this agreement are not complied with, Gee Rentals is entitled to take possession of the Vehicle at any location. All costs incurred by Gee Rentals to retrieve the Vehicle will be the sole responsibility to the R enter.

PAYMENT AND DEPOSIT . Gee Rentals accepts the following form of payments: most major credit/charge cards. Cash is an acceptable form of payment at time of rental, however, the security deposit must be paid on a major credit/charge card , such as credit/charge cards issued by American Ex press , Discover, MasterCard , and Visa (“Major Credit Card”) . Major Credit C ards must have the available credit for the estimated amount of rental charges plus the security deposit in order to secure the rental of the Vehicle . Please note that at the time of rental, you will need to present (i) a current driver license, (ii) a valid credit or charge card in the R enter’s name, and (iii) p roof of full coverage insurance. (Note: A confirmation of your reservation does not mean that your debit/check card is acce ptable to Gee Rentals)

SECURITY DEPOSIT POLICY . Security deposits are mandatory for all rented V ehicles. A damage/security deposit is required in order to rent a V ehicle. The amount of the deposit ranges between $2,500 and $10,000 depending on the particular vehicle and the timeframe of your rental. All Renters must provide a damage deposit in the form of a credit card authorization on a Major Credit Card. In the unfortunate event a Vehicle is returned with damage present, we charge the cost of damage against the damage /security deposit. We only process an a uthorization hold on your card of the Security Deposit amount. An authorization hold is a pending charge on a payment account and is not a true charge. We do not actually charge the card (deduct any funds The a uthorization hold will fall off and is released back to your bank account (thus rendering your balance available again) and may take up to 10 business days after the initial transaction date (Date of reservation The damage/security deposit is indeed fully refundable if the car is returned in the same conditio n in which it was rented and no damage is present. Each Renter understands that if there is any damage to the vehicle upon the return, the security deposit may be used to cover any charges resulting in the loss of use of the vehicle, any damages to the veh icle that insurance will not cover and/or the insurance deductible. Renter agrees that the security deposit can and may be used for any damages, excess fuel charges, excess mileage charges, and renter agrees renter will not dispute such charges if they are incurred. Renter agrees that in the event of damage, it will be renter’s responsibility to recover any monies billed against renter’s security deposit from the insurance company.

USE OF VEHICLE . Under these terms, any error incurred at the fault of the renter is subject to a $ 500 call out charge and a charge of $3- 6 per mile traveled . Examples of renter errors include, but not limited to, keys locked in car, flat battery due to lights being left on, flat tires, etc. A free call out will only be issued upon mechanical breakdown. Under no circumstances should the renter use a rental veh icle for business purposes, conveyance (people or goods), to propel or tow another vehicle, to partake in any motor sport, or engage in any high - risk activity. In addition, the rental vehicle may not be used in an area where there may be a risk or incident s of civil unrest, or outside of the borders of the United States. The renter shall use the correct fuel and oils as indicated by the vehicle manual, check the oil, water , and other fluids regularly, and shall contact Gee Rentals immediately if any damage is detec ted on any part of the vehicle. Furthermore, the renter agrees to make adequate provision for the safety and security of the vehicle, including, but not limited to, keeping the vehicle properly locked, secured, and making use of any anti - theft device provi ded by Gee Rentals. It is also the responsibility of the renter to keep the keys of the vehicle under his or her control at all times. Failure to comply with the aforementioned terms will constitute a breach of the agreement, resulting in the renter’s deposit being forfeited. No exceptions will be made.

DELIVERY AND RETURN.

RENTAL DURATION AND RETURN. All rentals are billed in 24 hours/1 day windows. A 1 day rental from Saturday at 9:00AM will be required to be returned on Sunday at 9:00AM. We grant a 1 hour grace period for all rentals after which an hourly charge of $99-$2991 is billed. Any rental that exceeds 3 hours after the scheduled return time will be billed an extra day.

8. REFUND. The vehicle must be returned on or before the return time. If the vehicle is not returned on or before the return time, then there will be a fee equal $_______________ for every hour (with a minimum of an hour and each other is counted by the minute). If the vehicle is not returned by X then we will report the vehicle stolen and reported to the authorities. THERE ARE NO REFUNDS ON EARLY RETURNS.

MILEAGE. Renter shall pay Gee Rentals for any mileage charge per mile as indicated in the rental agreement for all miles exceeding any free/included miles set forth in the rental agreement permitted for the Rental Period.

TOLLS AND TRAFFIC INFRACTIONS . RENTER EXPRESSLY AUTHORIZES PCG TO TRANSFER RENTER’S NAME, ADDRESS, CREDIT CARD INFORMATION AND ALL OTHER DATA NECESSARY TO ENABLE THE COLLECTION OF ALL TOLLS AND ASSOCIATED CHARGES INCURRED DURING THE RENTAL PERIOD.

DRIVER. During the Rental Period the Vehicle may not be driven by any person other than the Renters. The Renter warrants that the Vehicle will not be driven by Renter or any other person whose blood alcohol concentration exceeds the legal limit, or whilst under the influence of intoxicating liquor or narcotic. In addition, the Renter of the Vehicle will have a valid drivers license, will comply with all applicable laws, and will comply in all respects with the provisions of this agreement. If the vehicle is driven by anyone other than the renter, the renter will remain liable to Gee Rentals as if he or she had been the driver.

DRIVER LICENSE AND AGE. An acceptable valid driver’s license issued in your state of residence must be presented at the time of rental. The driver’s license must be valid for the entire Rental Period. If the driver’s license is in a language other than English, an international driver’s permit is recommended and must be accompanied by a valid driver’s license issued from your home country, you will not be allowed to rent with only an international driver’s permit. The Renters driving license country MUST match the point of sale of the product reserved, if not the correct point of sale product will be applied at time of rental which may occur additional charges. Renters must be at least 25
years of age with valid driver’s license and major credit card issued in their own name and not as an authorized user. Vehicles are available to only drivers over the age of 25 with clean driving records (e.g., no major moving violations, DUI convictions, or similar infractions). Unfortunately, we cannot rent any vehicles to drivers under the age of 25. All Renters must be physically present at the start of the rental. Unfortunately we do not allow 3rd parties to pick up vehicles and our employees must physically hand the keys over to only the Renter meeting Gee Rentals requirements. We reserve the right to run an Motor Vehicle Record report on all Renters prior to the start of the rental in order to verify a valid Driver’s License.

INSURANCE. All renters must carry full coverage insurance to be eligible for a rental. Almost all insurance providers will transfer your current coverage from your vehicle to our vehicle regardless of the model/year of your car. We will verify each renters insurance in order to guarantee a reservation. Gee Rentals does not sell or provide any rental insurance packages. In the event of any other loss or damage to the car, regardless of fault, your financial responsibility extends to the full value of the car at the time of rental, less its salvage value, plus expenses for towing, storage impound fees, and administrative fee and a reasonable charge for loss of use. Your responsibility for theft of the car shall not
exceed the reasonable costs incurred by Gee Rentals for loss due to theft up to its fair market value, if it is established that you or any authorized operator failed to exercise reasonable care or aided or abetted in the theft. If Gee Rentals is unable to verify proof when calling the insurance company, the rental transaction will be declined.

FUEL. Renters are expected to refuel their rental vehicle before returning the vehicle to Gee Rentals. All vehicles MUST be fueled with Premium Grade 91+ octane gasoline. If the vehicle is refueled with anything but Premium Grade 91+ octane, they will be subject to a penalty fee and forfeiture of security deposit. Lower fuel grades can severely damage the vehicle’s engine. The renter shall use the correct fuel and oils as indicated by the vehicle manual, check the oil, water, and other fluids regularly, and shall contact Gee Rentals immediately if any damage is detected on any part of the vehicle.3 Additionally, if you decide not to return the car with a full talk of gas, you will be subject to a refueling fee, which will be taken from your deposit on file.

Geographical Limitations. New Jersey, New York, Pennsylvania (the “Geographical Limits”).4 Gee Rentals vehicles cannot be driven outside of the Geographical Limits without prior approval of Gee Rentals, which may be withheld in Gee Rentals sole and absolute discretion.

Tracker/GPS.

Damage to Vehicle. Any damage to vehicle is Customer’s responsibility.

Roadside.

PROHIBITED ACTS AND TERMINATION OF RIGHT TO USE . Renter agrees to the following prohibited acts and limitations on use of the Vehicle, without limitation: (i) no smoking. All Vehicles in the Gee Rentals fleet are considered NON SMOKING rental cars. Cleaning fees will be charged if a vehicle is returned in a condition where it needs to be cleaned and deodorized due to being smoked in. Smoking in any Gee Rentals vehicle may also result to loss of rental deposit; (ii) no pets5; (iii) no standing on cars; (iv) no speeding. If vehicle exceeds the posted speed limit, the vehicle will be subject to repossession and the security deposit will become nonrefundable; (v) Vehicles cannot be driven or moved out of the State of New Jersey6; (vi) Vehicle cannot be driven by any person other than Renter without Gee Rental’s prior written consent, which may be withheld in Gee Rental’s sole and absolute discretion; (vii) Vehicle cannot be used for transporting persons for hire; (viii) Vehicle cannot be used for transport of products for hire as a common carrier, a contract carrier or a private carrier of property; (ix) Vehicle cannot be used for any illegal purpose, in any illegal or reckless manner, in a race or speed contest, or to tow or push anything; (x) Vehicle cannot be used to carry passengers in excess of the number of seat belts provided by manufacturer or outside of the passenger compartment; (xi) Vehicle cannot be driven by any person impaired or under the influence by the use of alcohol, narcotics, intoxicants, or drugs, used with or without a rescription;

RESERVATION GUARANTEE. Although we strive to maintain our 99% perfect track record for reservation accuracy, however we rely on the previous renter to get to our location safely. Unfortunately sometimes accidents/delays do happen, sadly, booking a rental with Gee Rentals does NOT guarantee your vehicle selection, make and model, time frame, price, availability or any other detail. We reserve the right to amend your reservation at any time, with or without notice. (But we will always do everything in our power to ensure you have the BEST POSSIBLE experience.

Cancellation. The vehicle must be returned on or before the return time. If the vehicle is not returned on or before the return time, then there will be a fee equal $____ for every hour (with a minimum of an hour and each other is counted by the minute). If the vehicle is not returned by X then we will report the vehicle stolen and reported to the authorities. You must cancel more than 24 hours in advance or you will be charged a minimum of one day rental charges plus taxes and appropriate fees.

ACCIDENTS. Damage to, loss or theft of, Vehicle must be immediately reported in writing to Gee Rentals, and in no event later than the following day after the accident. Renter must immediately deliver to Gee Rentals every process, pleading or paper relating to any claims, suits or proceedings arising from such accident. In the event of a claim, suit or legal proceeding, Renter shall cooperate fully with Gee Rentals and its representatives. Vehicle may be equipped with an event data recorder or similar device (“EDR”) for the purpose of recording data about the operation of Vehicle. To the extent permitted by law, Renter consents to Gee Rentals or its representatives retrieving and using such data from the EDR.

INDEMNITY OF Gee Rentals BY DRIVER . Neither Gee Rentals nor any of its directors, officers, employees, servants or agents shall be liable for any loss or damage (including, without limitation, any loss or damage to property left or transported in the vehicle, any loss of life or any loss or damage arising from the installation or condition of a child seat or any other accessory in and/or on the vehicle), whether direct, indirect, consequential or otherwise arising from the rental by the Driver/Renter of the vehicle, including, without
limitation, any defect in and/or mechanical failure of the vehicle (howsoever arising and of whatever nature) or the failure of Gee Rentals to detect defects in or mechanical problems with the vehicle and whether such loss or damage results from breach of contract or delict, including negligence or gross negligence or otherwise which may be suffered by the Driver/Renter and/or any third party and/or passenger. Gee Rentals, its directors, officers, employees, servants or agents are accordingly indemnified by the Driver/Renter or his/her estate against any claim of any nature whatsoever and howsoever arising from any damages or loss which might be instituted against them arising from or connected with or pursuant to the renting of the vehicle contemplated in these terms and conditions.

WARRANTY DISCLAIMER AND LIMITATIONS ON DAMAGES. If Gee Rentals breaches any of its obligations under this Agreement and/or if Vehicle has any mechanical failure or other failure not caused by Renter and if Gee Rentals is liable under applicable law for such breach or Vehicle failure, Gee Rental’s sole liability to Renter and Renter’s sole and exclusive remedy is limited to the substitution of another similar Vehicle by Gee Rentals to Renter, subject to availability, and if unavailable, then the recovery by Renter of the pro rara daily rental rate for the period in which Renter did not have use of vehicle or substituted Vehicle. Renter acknowledges that the Vehicle and any other accessories are, by ownership, beneficial interest or lease, property of Gee Rentals or its affiliate, even if owned, registered or titled to a third party. Renter is not an agent of Gee Rentals and has no authority to bind Gee Rentals. Renter agrees Renter received Vehicle and any accessories in good working order and good physical and mechanical condition. RENTER IS TAKING POSSESSION OF THE VEHICLE AND ANY OPTION ACCESSORIES “AS IS” AND HAS HAD AN ADEQUATE OPPORTUNITY TO INSPECT THE VEHICLE AND ANY OPTIONAL ACCESSORIES AND THEIR OPERATION. Gee Rentals EXCLUDES ALL WARRANTIES, BOTH EXPRESS AND IMPLIED, WITH RESPECT TO THE VEHICLE AND ANY OPTIONAL ACCESSORIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Renter agrees not to alter or tamper with Vehicle or any accessories. If Renter determines the Vehicle is unsafe for operation, Renter shall stop operating the Vehicle and notify Gee Rentals immediately. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, UNDER NO CIRCUMSTANCES SHALL Gee Rentals BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES ARISING OUT OF ANY TRANSACTION, PRODUCT, GOOD OR SERVICE GOVERNED BY, OR ANY CLAIM RELATING TO, THIS AGREEMENT. THIS LIMITATION OF DAMAGES, INCLUDES, WITHOUT LIMITATION, ANY INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES THAT MIGHT OTHERWISE BE AVAILABLE TO RENTER. RENTER WAIVES ALL CLAIMS FOR CONSEQUENTIAL, PUNITIVE, AND INCIDENTAL DAMAGES THAT MIGHT OTHERWISE BE AVAILABLE TO RENTER AND SUCH DAMAGES ARE EXCLUDED AND NOT AVAILABLE TO RENTER. RENTER FURTHER ACKNOWLEDGES THAT ANY PERSONAL DATA OR INFORMATION DOWNLOADED OR TRANSFERRED TO VEHICLE MAY NOT BE SECURE AND MAY BE ACCESSIBLE AFTER THE RENTAL PERIOD. Renter hereby releases Gee Rentals from any liability resulting from or otherwise arising out of any such data or information being accessed and/or utilized by a third party.

GOVERNING LAW; VENUE; JURISDICTION. This Application and Agreement shall be governed, construed and interpreted by, through and under the Laws of the State of New Jersey, without regard to conflicts of law principles. Any and all disputes, and any litigation or action arising out of this agreement shall be brought only in the state and/or federal courts located in New Jersey. The parties accept the exclusive jurisdiction and venue of such courts and the application of New Jersey law. The parties irrevocably waive any objection in connection with any such action or proceeding, including without limitation any objection to the laying of venue based on the grounds of forum non convenience. This provision is intended to be a mandatory forum selection clause and governed by and interpreted consistent with New Jersey law.

ENTIRE AGREEMENT. This Agreement and Account Application, any other written agreements that secure or guaranty your obligations under this Agreement, any electronic payment agreement, enrollment forms and any written amendments, modifications (including modifications made by Company as indicated on page 2 above), substitutions, or replacements thereof or thereto, is a final expression of the credit agreement between us and you and may not be contradicted by evidence of any alleged oral agreement or amendment. Any terms different from this Agreement or contradictory to this Agreement that are set forth in a Purchase Order or other communication are expressly rejected and shall under no circumstances modify the terms of this Agreement. Photocopies, electronic copies and facsimile copies of signed originals shall be binding as originals.

LIMITED POWER OF ATTORNEY. Renter hereby grants and appoints Gee Rentals a Limited Power of Attorney: (A) to present insurance claims of any type to Renter’s insurance carrier and/or credit card company if: (i) Vehicle is damaged, lost or stolen during the Rental Period and if Renter fails to pay for any such damages; or (ii) any liability claims against Gee Rentals arise in connection with this rental transaction and Renter fails to defend, indemnify and hold Gee Rentals harmless from such claims; and (B) to endorse Renter’s name to entitle Gee Rentals to receive insurance, credit card and/or debit card payments directly for any such claims, damages, liabilities or rental charges.

Credit Card Authorization. Gee Rentals reserves the right to charge double the amount if renter try’s to do a chargeback.

ENTIRE AGREEMENT. This document contains the entire agreement between the parties regarding the matters contained herein and no party shall be bound by any
undertakings, representations, warranties, promises or the like not recorded in writing by Gee Rentals.
