• Copyright Assignment Agreement

    This Copyright Assignment Agreement ("Assignment"), made this ______ day of ____________, 20__, is an assignment from "Artist") to Paintings for Pediatrics Inc. (the "Assignee"), and to the Assignee's successors and assigns.

  • WHEREAS, The Artist has created and/or owns the work titled _______________________________________________________, which is a ____________________________________________________________________(description of the work, e.g. black and while charcoal drawing of an eagle measuring approximately 5" x 9"), (the "Work"). A digital copy of the Work is attached hereto;

    WHEREAS, The Artist would like to transfer ownership of the rights, title, and/or intellectual property interest in and to said Work, as well as any copyrights granted for such work in the United States and any foreign countries to the Assignee;

    IT IS THEREFORE agreed between the Artist and Assignee as follows:

    Assignment


    1. The Artist hereby grants, sells, assigns, transfers, and conveys to the Assignee, its successors and assigns, the whole and complete right, title, and interest, ownership and all subsidiary rights in and to any and all intellectual property rights, including any copyrights, rights to apply, reproduce, prepare derivative works, prepare adaptations, distribute copies and license such copyrights on the Work. The Artist agrees it shall not be entitled to any royalties on the Work. This Assignment includes the right, title, and interest in and to any and all derivative works arising from the Work referred to herein. The Artist unconditionally waives all moral rights which the Artist may have in respect to the Work. This provision shall survive termination or expiration of this Agreement.


    2. The Artist shall deliver to the Assignees all originals and copies (digital or physical) of the Work, if not already provided. The Artist authorizes the Assignee to cause recordation of the Assignment and/or the Work by the Register of Copyrights and any other government officials to record and register this Assignment and to record and register a Copyright in the Work.


    3. Whether the copyright in the Work shall be preserved and maintained or registered in the United States of America or any foreign country shall be at the sole discretion of Assignee.


    4. The Artist retains a worldwide, royalty-free, non-exclusive, perpetual (for the duration of the applicable copyright), non-transferrable license to:

    a. Reproduce and make copies of the Work;
    b. Prepare derivative works based on the Work;
    c. Distribute copies of the Work to the public by sale or another form of transfer; and
    d. Publicly display the Work.

  • Cooperation

    The Artist agrees to cooperate with the Assignee to the fullest extent possible in conveying the right, title and interest in and to the Work. The cooperation referred to herein includes the prompt completion and execution of any papers necessary, including oaths, declarations, specifications or any other papers required to make good the complete conveyance of the Work as well as assistance in proceedings taking place before the Copyright Office of the United States or any foreign country.

    Miscellaneous


    1. The rights and obligations under this Assignment will inure to the benefit of and be binding upon any of the Artist’s successors and assignees, as well as Assignee’s.


    2. The Artist warrants and representants:


    a. that the Work is an original work;
    b. that the Artist is the sole creator and/or owner of the Work;
    c. that the Work does not infringe any existing copyright; and
    d. that the Artist is not a party to, or will not be a party to, any assignment, agreement or other contract in conflict with this Assignment.


    3. All terms of the Agreement are applicable to any portion or part of the Work, as well as the Work in its entirety.


    4. This Assignment document constitutes the entire agreement between the Artist and the Assignees and supersedes any prior or contemporaneous understandings, whether written or oral.


    5. Headings to this Assignment are for convenience only and shall not be construed to limit or otherwise affect the terms of this Assignment.


    6. This Agreement has been interpreted under the United State Copyright Law and shall be governed in all respects by the laws of the United States of America and the laws of the state of Wisconsin. The Artist and the Assignees consent to jurisdiction under the state and federal courts within the state of Wisconsin.


    7. If any provision of this Assignment is held by a court or arbitrator to be unlawful, invalid, unenforceable or in conflict with any rule or law, statute, ordinance or regulation, it is to be severed so that the validity and enforceability of the remaining provisions are not affected.
