1. The Artist appoints the Recipient as an agent for the sale of his/her art work. The Recipient wishes to represent the Artist under the terms and conditions ofthis contract.
2. The Recipient will supply a consignment agreement to the Artist each time new works are received by the Recipient, showing art work's title, size, and the Artist's given retail price (written agreement required for change to price). See inventory list at end of document.
3. The Artist will document the Title, Date, Medium, Size, Frame details, and Condition of art work, providing a description and artist biography. Art work must be free of visible or structural damage and paintings must have secure hangers to avoid further damage.
4. The Artist's retail price, less the Recipient's commission of 25%, along with the a receipt of sale with purchaser's contact information, will be remitted to the Artist within thirty (30) days of the date of closing the sale. The Recipient will advise the Purchaser at sale or art, that the Artist retains all copyrights/reproduction rights to the art work.
5. With the permission of both Recipient and Artist, installment agreements may be granted with a 40% non-refundable deposit and 3 monthly installments of 20%. The art work will remain in the gallery until the final installment is paid. The Recipient will pay the Artist commission of 25% at each installment.
5. The Recipient assumes full responsibility for any art work (including frames) that is lost, stolen, damaged, or detstroyed while in the Recipient's possession.
6. It shall be the decision of the Artist as to whether a framed painting is allowed to be separated from it's frame and sold as unframeed. Should the Artist agree to sell a framed painting unframed, a maximum of ten (10%) may be deducted from the agreed upon price and the Artist retains the frame.
7. Works by the Artist owned by the Recipient shall no be displayed for sale against works by the Artist on consignment.
8. The Artist may withdraw or replace any or all works consigned on thirty (30) days notice. The Recipient may return to the Artist any and all works without notice.
9. The consigned works will be held in trust for the benefit of the Artist and will not be subject to claim by a creditor of the Recipient.
10. The Artist represents and warrents that the consigned property is the original work of the Artist and that sale of the property does not violate any property right or copyright and and does not contain any libelous or unlawful matter.
11. In the event that a dispute arises relating to or stemming from this Agreement, both the Artist and Recipient agree to refrain from using social media to publically discuss the dispute in any manner.
12. This agreement will terminate on written notice of either the Artist or the Recipient or at the end date of the contract. This agreement may also be terminated by either party by the death of the Artist or Recipient, or if the Gallery moves, closes, or become insolvent. Upon termination, all art work will be returned to the artist within thirty (30) days. All accounts will be paid in full within thirty (30) days.
