1. SERVICES
1.1 The Referral Partner will receive a Referral Fee for assisting Numberly in acquiring new Customers.
1.2 A Customer is defined as an entity or person directly engaging Numberly for its Services.
2. REFERRAL PROCESS
2.1 Whenever the Referral Partner has a Referral, they may send an email to Numberly detailing the name and/or startup name of the Referral.
2.2 Every successful Referral (and final Referral Fee) will be confirmed by Numberly via email to the Referral Partner.
3. REFERRAL FEES
3.1 The Referral Fee paid shall be 10% of the Referred Customer’s first purchase (minus banking and transaction fees).
3.2 The Referral Partner must choose whether the Referral Fee should be paid out to the Referral Partner OR if it should be gifted as a discount to the Referred Customer. This choice holds for all Referrals.
3.3 Referral Fees payable to the Referral Partner will take place via bank transfer (minus banking fees if any) shortly after Numberly receives full payment for the completion of service for the Referred Customer's first purchase.
3.4 Referral Fees payable to the Referred Customer will be deducted from the Referred Customer's invoice for their first purchase.
4. Numberly TERMINATION
4.1 Numberly may terminate this Agreement at any time and without cause by issuing a termination notice to the Referral Partner giving not less than 7 days’ notice of such termination.
5. GOVERNING LAW & JURISDICTION
5.1 This Agreement is governed by, and shall be construed in accordance with, the laws of the United States.
5.2 The Parties irrevocably submit to the exclusive jurisdiction of the courts of the United States in relation to any disputes.
6. SUPERSEDES PREVIOUS AGREEMENTS
6.1 This Agreement supersedes and replaces all previous oral or written agreements, memoranda, correspondence or other communications between the Parties hereto relating to the subject matter hereof.
6.2 Numberly reserves the right to make changes to the Referral Program at any time.
