Retainer agreement
This Retainer Agreement (hereinafter referred to as the “Agreement”) is entered into on the “Effective Date”, by and between Pearl Impressions Inc, (hereinafter referred to as the “Agency”) and the client (hereinafter referred to as the “Client”) (collectively referred to as the “Parties”).
Scope of Work
The scope of this agreement includes social media marketing activities for the Client. Social media platforms mutually shortlisted and agreed upon by both parties shall be managed by Pearl Impressions Inc. Anything beyond the scope of the agreement and activities mentioned will be charged separately.
Hereby, the Agency agrees to provide the services enlisted below (hereinafter referred to as the “Services”):
Creative & Set-Up Cost ($550 one-time)
1-hour intense strategy session includes: a complete audit, content & image brainstorming, competitor research, niche research, and topic brainstorming
Package includes:
- Social media strategy
- 12 static posts a month
- Social media content curation
- Custom designed graphics
- Writing engaging and relevant captions
- Custom ratio for your platform
- Hashtags research
- Scheduling and publishing of content
- Unlimited revisions
- Up to 4 networks
SERVICE FEES
- Parties agree that the service fee is $897 US dollars per month (3 months retainer). All payment transactions shall be made through bank transfer or direct debit (Paypal, Stripe)
- Setup and creative cost: The client agrees to pay the agency a $550 USD one-time social media setup fee, this payment is non-refundable.
- All fees will be billed to your credit card at the current international currency conversion rate. Client is responsible for and shall pay Pearl Impressions Inc. all currency conversion charges, sales, use, value add, personal property or other tax, duty or levy of any kind, including interest and penalties thereon (collectively, “Taxes”) for the use of Pearl Impressions Inc services
- For any upgrade or downgrade in the plan level that you elect, your credit card will automatically be charged the new rate on your next billing cycle.
TERM and RENEWAL
- This Agreement shall be effective on the date of signing this Agreement (hereinafter referred to as the “Effective Date”) and will continue on a month-to-month pre-pay retainer basis.
- This social media marketing contract shall be for three (3) months with an option to extend or new depending on the request and needs of the client.
- Either party may terminate this contract upon written notice with probable reason to the other party 30 days in advance.
- Upon the end of the term of the Agreement, this Agreement will not be automatically renewed for a new term.
- These fees and terms are non-cancelable for any reason, and even if the project is delayed or rescheduled by mutual agreement, the payment dates and amounts must still be met. We guarantee the quality of work in terms of meeting agreements.
CONFIDENTIALITY:
- The agency shall maintain absolute confidentiality with respect to any confidential information received from the Client. The agency shall not disclose any such information without obtaining the client’s specific prior consent.
RELATIONSHIP BETWEEN THE PARTIES
- Agency shall provide the Services under the general direction of Client, but Agency shall determine, in Agency’s sole discretion, the manner and means by which the Services are accomplished. This Agreement does not create a partnership or joint venture and neither party is authorized to act as agent or bind the other party except as expressly stated in this Agreement. All rights, if any, granted to Client are contractual in nature and are wholly defined by the express written agreement of the parties and the various terms and conditions of this Agreement.
WORK SCHEDULE
- The Client shall secure in an attachment to this Contract the work schedule for the Agency during the term. The schedule shall identify and specify the Agency’s requirements and deadlines. Moreover, the Agency can work remotely, given that all communication with the Client is regular and perform the tasks diligently.
EXCLUSIVITY
- The Parties agree that this Agreement is not an exclusive arrangement and that the Parties are entitled to enter into other similar agreements with other parties.
SIGNATURE AND DATE
- The Parties hereby agree to the terms and conditions set forth in this Agreement and such is demonstrated by their signatures below:
REVISIONS
- Unlimited revisions are included within the project timeframe
- Any and all additional revisions requests, updates, corrections, or variations that are placed AFTER the project close date will be billed at an hourly rate of $200/hour
- Any additional design items that are requested AFTER the proposal is signed will be billed separately.
USER RIGHTS
- Pearl Impressions Inc retains the right to display work in portfolios and on our websites and marketing materials unless exclusion is explicitly requested and agreed upon in writing with the Client.
