Groover Labs Membership Agreement

This MEMBERSHIP AGREEMENT ("Agreement"), is a legal agreement between you (as an individual or legal entity) (“Member”) and Groover Labs, Inc. (“G-Labs”) for your use of, as relevant, G-Labs’ coworking and/or makerspace (“Groover Labs”) and related services to which G-Labs may provide you access (“Services”).

Background:

G-Labs is a nonprofit organization dedicated to offering Groover Labs as a shared, community-driven workspace/makerspace/education hub for location-independent workers and entrepreneurs. It exists because of you and for you and the Wichita community. As a member, you will be an active part of what Groover Labs is and does for you and this community. At Groover Labs, we all have to live together. Accordingly, in addition to this Agreement, Groover Labs’ member handbook (“Member Handbook”) contains some rules and guidelines that will help us coexist. Your acceptance of this Agreement includes acknowledging that you have read and understood the Member Handbook and will abide by the rules and guidelines listed there.

Agreement:

1. Services. G-Labs will provide you with access to the physical space and Services that correspond to the Membership level you have chosen.

2. Membership Levels. Membership levels, benefits, and pricing at Groover Labs are detailed at www.grooverlabs.org. Groover Labs staff will help you determine which option is best for you.

3. Selected Membership Level. Please choose one of the following Membership levels:

4. Membership term and commencement date.  Indicate your membership term and start date. If you do not terminate your membership by the deadline noted in the Handbook/Terms of Use, it will renew automatically.

5. Sign-Up Fee. For some membership levels, G-Labs charges a $25 sign-up fee, which covers the cost of a background check, a name badge, and any access keys. This nonrefundable fee will be charged at sign-up.

6. Additional Billing Terms. Memberships will be prorated based on the join date, and then billed on the first of each month or other renewal period. Members may place a credit card on file in their member portal (portal.grooverlabs.org). Members may make other payment methods by discussing with Groover Labs staff. Memberships will be billed automatically until terminated, and, while we’ll do our best to work with you, G-Labs reserves the right to charge late fees and/or withhold services if payments are not timely received.

7. Standard Terms of Use. References to this “Agreement” will be deemed to refer to this Agreement and Groover Labs’ Standard Terms of Use (“Terms of Use”), which are incorporated into this Agreement by reference. You acknowledge that you have read and agree to our Terms of Use, which are available at www.grooverlabs.org. If there is any conflict between the Terms of Use and the rest of this Agreement, the terms set forth in this Agreement will apply and supersede the applicable portion of the Terms of Use.

8. Entire Agreement. This Agreement constitutes the entire agreement and understanding between the parties with respect to its subject matter. This means that all negotiations, understandings and agreements between the parties concerning the subject matter of this Agreement are superseded and replaced by these writings.

I hereby acknowledge that I have read and understood all of the terms and conditions contained in this Agreement and the Member Handbook, and further agree to be bound by this Agreement and Member Handbook regarding my participation in and use of Groover Labs and the Services.
